KUALA LUMPUR: Bursa Malaysia has reprimanded Pasdec Holdings Bhd and seven of its directors for breaching the Main Market listing requirements.

Bursa said in a statement that the seven directors were imposed total fines of RM468,000.

The directors included Tan Sri Zulkiple Kassim who was fined RM61,800, Datuk Sri Tew Kim Thin and Tew Kim Kiat with fines totalling RM79,500 each.

Other directors were Sharina Bahrin, Datuk Sri Sharifuddin Ab. Ghani, Dauk Kamarul Arifin Ahmad @ Abd Rahman and Datuk Mohd Faizal Jaafar who were all fined a total of RM61,800 each.

Bursa noted Pasdec was reprimanded for failing to issue the annual report that included the audited financial statements together with the auditors' and directors' reports for the financial year ended Dec 31, 2019 (FY19) within the extended timeframe of July 31, 2020.

The company had only issued the annual report on October 27 2020, after a delay of 59 market days.

The company also failed to ensure that its fourth quarterly report for FY19 announced on Feb 28, 2020 took into account the adjustments stated in its announcement dated Oct 27, 2020.

"Pasdec had reported an unaudited loss attributable to owners of the company of RM16.362 million in the quarterly report announced on February 28, 2020 as compared to an audited loss attributable to owners of the company of RM27.502 million in the audited financial statements for FY19 announced on October 27, 2020.

"The difference of RM11.14 million represented a variance of 68.1 per cent," it said.

Bursa said Pasdec was required to carry out a limited review on its quarterly report submission.

"The limited review must be performed by the company's external auditors for four quarterly reports commencing no later from the quarterly report for the financial period ended September 30, 2022.

"In addition, Pasdec must ensure that all the seven directors and its relevant personnel attend a training programme in relation to compliance with the Main listing requirements pertaining to financial statements," it said.

KUALA LUMPUR (Sept 5): Kenanga Research has maintained its “Overweight” rating on the technology sector and said the overall 2QCY22 results for companies under its universe were largely stable sequentially.

In a note on Monday (Sept 5), the research house said most of the companies held up fairly well with the likes of Kelington Group Bhd looking towards a stronger 2H thanks to its unique exposure to the aggressive expansions among wafer fabs.

It said Outsourced semiconductor assembly and test (OSAT) companies (such as Unisem (M) Bhd and Malaysia Pacific Industries Bhd) which have China operations may see occasional challenges with the prolonged lockdowns in China, but plants are still able to operate with workers living on site.

“We also see SKP Resources Bhd (SKP) emerging as a winner in the premium household product space after the labour issue saga that plagued the EMS sector in the past quarters.

“Overall, while unfavourable macro factors still persist, we remain sanguine for the local technology sector over the longer term given Malaysia’s: (i) neutral stance in the China-US chip battle, and (ii) expertise in the back-end semiconductor process which will still be highly sought after with aggressive front-end expansions.

“As such we like SKP (OP; TP: RM2.10) for being the last standing proxy to the fast-growing premium household product brand, and Inari Amertron Bhd (OP; TP: RM3.45) for its direct exposure to 5G with heavy customer’s dependency on the group,” it said.

Commentary on Prospects
The economic outlook for FYE2022 remains uncertain with the COVID-19 pandemic continuing to affect
economies globally with rising infection rate impacting businesses and communities. Despite these challenges,

Another subsidiary of the Company, Swapp Asia Sdn. Bhd.’s (“Swapp”) digital business card creation and
management mobile application “Let’s Swapp” went live in January 2022. The Group foresees digital business
cards will gradually replace traditional paper business cards in the near future and expects Let’s Swapp to
contribute to the Group’s revenue in FYE 2023.
The Group intends to venture into the digital nomad hub business. This investment plan is in line with the
government’s announcement on the DE Rantau programme aimed at establishing Malaysia as the preferred
digital nomad hub in ASEAN while boosting digital adoption and promoting digital professional mobility and
tourism across the country. Entry into this business involves the purchase of landed properties at strategic

KUALA LUMPUR (Sept 29): Beside Malaysian Anti-Corruption Commission (MACC), the Royal Malaysian Police (PDRM) and Bursa Malaysia are two other authorities that are currently investigating Caely Holdings Bhd, a lingerie maker whose founder and spouse are being accused of misappropriation of RM30.55 million funds.

Caely said in a press statement that the company has initiated internal inspections and will engage independent forensic specialists to conduct investigations in order to support and facilitate the authorities’ probes.

In April, Caely disclosed that MACC had issued a freeze order on all operational bank accounts of the company and its subsidiaries. The bank accounts remain frozen until now.

Meanwhile, in response to the article titled “Will Caely’s new board leave no stone unturned?” published in The Edge Malaysia weekly (Sept 24-28), the company’s newly appointed executive chairman Ng Keok Chai stressed that the company’s new board of directors “vouch that they will leave no stones unturned and will provide full assistance on the ongoing investigation on the misappropriation of RM30.55 million funds from Caely (M) Sdn Bhd as reported in the article”.

Ng, who served 36 years in the Royal Malaysian Police, is currently among the four former police officers sitting on the board of Caely.

The Edge article pointed out the uncertainty of the civil lawsuit filed by Caely to recover the alleged misappropriated funds, as the board which initiated the legal action has been removed.

There are 12 defendants in the legal suit including the founder Datin Fong Nyok Yoon, who holds 7.38% stake; her spouse Datuk Chuah Chin Lai, who is the former managing director; current executive director Leong Seng Wui, and the single largest shareholder Datuk Seri Goh Choon Kim, holding a 21.05% stake.

The group sued the 10 other defendants for their conspiracy with Chuah and Fong to cover up the misappropriation and breach of fiduciary duty.

Fong quit as non-executive director last month, citing health reasons. Her husband Chuah stepped down from the managing director position in April 2021.

Seven directors had been booted out after the High Court last month ruled that the resolutions to remove the board members were passed at the extraordinary general meeting (EGM).

Others are Koo Chen Yeng, the daughter of the second largest shareholder Datuk Seri Tee Yam @ Koo Tee Yam; and former executive chairman Wong Siaw Puie. Tee Yam holds a 19.12% stake in Caely.

Our factoring business under Ikhlas started operation in January 2022 and continues to contribute revenue and
earnings to the Group. We expect this business to perform profitably this calendar year and also in the coming
financial years.
Another subsidiary of the Company, Swapp Asia Sdn. Bhd.’s (“Swapp”) digital business card creation and
management mobile application “Let’s Swapp” went live in January 2022. The Group foresees digital business
cards will gradually replace traditional paper business cards in the near future and expects Let’s Swapp to
contribute to the Group’s revenue in FYE 2023.
The Group intends to venture into the digital nomad hub business. This investment plan is in line with the
government’s announcement on the DE Rantau programme aimed at establishing Malaysia as the preferred
digital nomad hub in ASEAN while boosting digital adoption and promoting digital professional mobility and
tourism across the country. Entry into this business involves the purchase of landed properties at strategic
locations to transform them into digital hubs and equipped them with the relevant IT tools and services which
the Group possesses and can be transferred and put to use for this purpose.

the CN-235-220.
Throughout his career, General Tan Sri Dato’ Sri Hj. Suleiman has been assigned to
several staff and operational appointments, and of importance was his appointment
as the Director of Armed Forces Development Plans in the Malaysia Armed Forces
Headquarters. In 1989, he was appointed the Base Commander of RMAF Base,
Butterworth, a Fighter Operational Air Base. Later, he was assigned as the Commander
of the RMAF Air Training Command. He was then promoted to Brigadier General RMAF
and took over command of No. 1 Air Division, an Air Defence (and Fighter) Command.
He later moved to the post of Brigadier General Staff (Operations) at the Air Force
Headquarters in Kuala Lumpur. On his promotion to Major General RMAF in June
1994, he was appointed as the Chief of Staff Operations and later on, was assigned as
the Chief of Staff Policy and Plans. In August 1996, he assumed the post of the Deputy
Chief of Air Force, and was upgraded to the rank of Lieutenant General RMAF on the
same post, in June 2000.
General Tan Sri Dato’ Sri Hj. Suleiman was promoted to the rank of General RMAF and
assumed the appointment of the Chief of the Royal Malaysian Air Force on 11 June
2001. He retired on 4 June 2003 at the age of 56.

Sdn Bhd. VHGLOBAL Sdn Bhd is an advanced patient-centric global and telehealth
platform.
He started off his career in 1990 as a senior member of the technical staff of the
research team of MODCOMP, Inc., a Florida-based research company focused on the
R&D of real-time systems. He has worked with numerous customers to benchmark
their needs, including National Aeronautics and Space Administration engineers.
He left in 1991 and joined ICON Business System, Inc. (Florida) as Senior Consultant.
He was subsequently promoted to Vice President Engineering and was responsible in
overseeing the entire engineering and R&D divisions of ICON Business Systems, Inc.
(Florida).
He joined USM in 1992 as a lecturer and was the founding Director and Professor at the
National Advanced IPv6 Centre, USM. His recent achievements include being awarded
Fellowship Award by the Wireless World Research Forum steering board member in
April 2010. He was also awarded the National Academic Leader for Innovation and
Commercialization in 2008 & 2009 by the Minister of Higher Education and Malaysia
Innovation Award by the Prime Minister in 2007 and again in 2009. During his tenure at
USM, he has a research partner/consultant to many companies in Malaysia including
Telekom Malaysia Berhad, NCR Corporation, IBM Inc., MIMOS Berhad, Cabletron
Systems Sdn Bhd and Compquest Sdn Bhd.
He also holds numerous positions in global organizations including Chairman, Steering
Committee of the ITU-MUST IPv6 and IoT Centre of Expertise, A13 project, which
is a research-based project sponsored by the Japanese Government. He was also
a nominated candidate for the position of Director of the Internet Corporation for
Assigned Names and Numbers in 2000 (ICANN). He was also the Head of APAN
(Pacific Advance Networks: www. apan.net) for Malaysia. He is one of the four Steering
Committee Members and the IPv6 Domain Head for MYREN (Malaysian Research
and Education Network) and was the Chairman of the Asia Pacific IPv6 Task Force
(APV6TF) and Emeritus Chair of IPv6 Forum Education Programme. He was the
Chairman, Steering Committee of the ITU-MUST IPv6 and IoT Expertise Centre.
Over the years, he has published over two hundred (200) national and international
level research papers as well as written chapters and provided writing materials for a
few books in the area of multimedia conferencing.

Longhouse has invested into locally produced tele-movies “Ada Hantu” which has been released in Disney+ while
“The Assistant” is under post-production. The production team is now working on a new IP sitcom “My Ofis” which is currently
under production. The storyline revolves around an advertising creative office environment that deals mainly with office politics
amongst its management teams and its workers. MyOfis is expected to run for three seasons with the 1st Season expected to
be broadcasted in Q1 of 2022.
Meanwhile, our team is in final negotiation for a co-production agreement with CCTV Animation Group Co. Ltd., an animation
company under the state-run media broadcaster China Central Television (CCTV) for a 52-animated series – “Panda and Friends”
featuring pandas (China’s national animal) and indigenous animals of Malaysia (The characters are inspired by Sang Kancil, Sang
Harimau, Tapir, Hornbill and Orangutan) to be known as “Panda and Friends”. The co-production of “Panda and Friends” is part
of an initiative founded by CCTV Animation to promote and share cultures throughout different countries. The animation series
was launched by China in collaboration with other countries to feature characters that are synonymous or related to China and
the collaborating countries.
The Group had recently concluded a private placement exercise raising RM8.7 million in preparation for this project. The team
is also in partnership talks with FINAS and MDEC for the production on this series aiming to promote our local landmarks and
culture to the world stage.

Dalam makluman kepada Bursa Malaysia pada Jumaat, syarikat itu berkata JVA dibuat melalui anak syarikat tidak langsungnya, Ikhlas Al Dain Sdn Bhd.
