I totally agree and suspect that. When cheap sale don't want to buy. Now when it is going up, wanna scare us so that can buy cheap. Based on the volume and momentum, possible to see 80 sen between 2 to 3 weeks time barring any external factors.

Limit down on what basis? It has already broken previous high. I expect it to gain more ground. I am hopeful that we will see 80 sen in the next 2 to 3 weeks if not sooner.

Will a Tier-1 property company be created?

Back to the OSK Holdings-OSK Prop-PJD merger proposal.

It does look that OSK Holdings may have a better chance of buying out OSK Prop but the chances of securing all the shares in PJD seems less likely.

And without completing the buyout of PJD, it is unlikely that the plans to create a first-tier developer would come to fruition.

Besides owning the block of RHB Cap shares, OSK Holdings owns investment properties worth RM359.3mil that include Plaza OSK at Jalan Ampang and a parcel of freehold land next to it. OSK Holdings NTA as at June 30 was RM2.75 per share, 27% higher than its current share price of RM2.17.


OSK’s recent buyout attempts

Previous buyout attempts involving the OSK group have also seen unattractive offers being made.

Just last year, two takeover bids were rejected – the attempted buyouts of OSK Holdings at RM1.68 per share and OSK Venture International Bhd for 58 sen apiece.

The independent advisor for those two previous deals had come out to say that the offers were “not fair” and “not reasonable”.

Minorities will have to wait to see what the independent advisor have to say of the latest offer.

That is why I don't understand what is all the fuss about. Same like Dubai Group sold their RHB shares to their sister company way beyong market price of RHB. Did the price sky rocket? Pity those who sold at 60 sen and I thank you for selling it to me. All I will do now is wait for my upside :). Either I breakeven or make a killing.

Gogorock, there is no EGM in the first place because there is not even a GO for PJDEV shares. OLH is selling his PJDEV shares to OSK Holdings in exchange for OSKH shares. He is not offering to buy any PJDEV shares from the rest of us. It is a no brainer to see the current prices because he has not made any offer to us.

The most likely result is only ong and pac will covert their shares to Osk holding. Ong holding in Osk hold will be about 55%. Osk prop will be a subsidiary and Y/E consolidation will be done. Pjd will be an associate co. and share of holding taken in bal. sheet and share of profit taken in P/L a/c. The point is, eps will increase as there is a 30% increase in new shares but profit will increase by more than 50% next year.
Osk hold. market value is 2.80 . Osk prop. market value is also 2.80. Now both value at 2.00 therefore ong will not lose out. Osk nta is 1.87 but takenover at 2. Ong has increased his holding to 55%, he is in control.
Instead of holding Pjd share directly, ong has only transferred it to Osk which he controls. He rather loses out on the smaller investment in order to gain control of Osk. Investment in Pjd around 250m but in Osk prop. 400m. and Osk hold. around 1billion. Win 2 , lose a little in 1. Small price to pay to gain control of Osk which will be cash rich. Osk at present ong holds 41%, sure he will not offer a better deal to Pjd which is a smaller co. and in which he has a smaller holding. If the offer is better to Pjd he will lose big.

PJDEV will be an associate company of OSK. OLH and PAC converting their shares over to OSK. So be patient and you will be rewarded buying at the current price.

Key summary from the Edge Weekly headlines OSK Holdings plan to acquire a 73.6% stake in OSK Properties and a 31.7% stake in PJ Development. So PJDEV is not going to be privatized and no need to worry about selling to OLH at 1.60. He is selling his stake to OSK Holdings

Guys there is no GO for PJDEV nor an MGO. We won't get a letter for sell to OLH. He wants to aqcuire 31% of PJDEV there is no intention to take the company private and it will still be listed on the KLSE. Silly for people to sell at 60 sen last week. With strong earnings next month expect the share to be back up again.

Interesting write up in today's Star and Edge Weekly. The take away is as long as OLH does not own more than 90% of the shares, he cannot take the company private. For OSKP, it might be difficult but look at HLFG. Also, based on the proposal for PJDEV, OLH is looking to acquires 30++ percent. Looks like when the dust settles, panic sellers would be kicking themselves. Just hold and we shall see. This is just a knee jerk reaction by people like OLH trying to buy the shares cheap.
