PORT KLANG: ‎Pengurusan Air Selangor Sdn Bhd (Air Selangor) ‎will take control of the Selangor water industry by Oct 15 following the extended deadline for the fulfillment of the conditions precedent in the conditional sale and purchase agreement (SPA)‎ with Puncak Niaga Holdings Berhad.

Selangor Mentri Besar Azmin Ali said that there would be no more delay as the state was certain to tie up all loose ends by the deadline.

“As far as I am concerned, Air Selangor will take over Syabas on October 15. That was the last briefing given during the state exco meeting.

“'We are going through all the processes and we are confident that Air Selangor will take over the entire water industry by October 15,” he said on Saturday.

‎Azmin said Air Selangor has taken the initiative and is in the midst of ironing out several technical issues before the takeover is formalised.

‎Puncak Niaga had, on Nov 11, 2014, signed a conditional SPA to sell the company’s water assets in Selangor, Kuala Lumpur and Putrajaya to Pengurusan Air Selangor Sdn Bhd for RM1.55bil.

Last month, Selangor and the Federal Government concluded the deal with the signing of four agreements detailing the conditions precedent for the master agreement to be enforced.

‎Under the master agreement, Puncak Niaga will hand over its subsidiaries – Puncak Niaga (M) Sdn Bhd and Syarikat Bekalan Air Selangor (Syabas) – to the state government’s Pengurusan Air Selangor Sdn Bhd (Air Selangor) in return for RM1.55bil cash.‎

Azmin noted that sufficient water supply would be a priority for the state ‎once it takes over Puncak Niaga and Syabas.

“I have gave my assurance to industries and consumers ‎in the state earlier.

“We will ensure the distribution of treated water will be done fairly with the completion of ‎Selangor’s Mitigation Project 2,” he said, adding that once the issue is solved there would be no more need for water rationing in the state.

Confusing statement

KUALA LUMPUR (Sept 15): Pengurusan Air Selangor Sdn Bhd (Air Selangor) will have to pay the water concessionaires in the state, namely Puncak Niaga (M) Sdn Bhd (Puncak Niaga), Syarikat Bekalan Air Selangor Bhd (Syabas) and Konsortium Abass Sdn Bhd, by February next year, said Energy, Green Technology and Water Ministry secretary general Datuk Loo Took Gee.

Speaking to the media at World Class Water Management and Technologies for a Sustainable Future today, Loo said once the payments are made, Air Selangor would start the process of taking over the water treatment assets from the companies.

However, there is one concessionaire, Syarikat Pengeluar Air Sungai Selangor Sdn Bhd (Splash), left that has yet to agree to the sale of its water treatment plant to Selangor government due to pricing issue.

Commenting on this, Loo said state government has one year effective from Sept 8 to make an offer to Splash.

Yesterday, Puncak Niaga Holdings Bhd (PNHB) had warned that it will consider terminating the sale and purchase agreement (SPA) with Air Selangor, and take possible legal action if the conditions precedent in the agreement could not be fulfilled by Oct 15.

The threat of terminating the SPA came when PNHB has agreed to an eighth extension on the stop date of the SPA by one month to Oct 15 from Sept 14. And the group warned that this is the "final extension".

Puncak Niaga Holdings Bhd has agreed to a further extension until Oct 15 for the fulfilment of the conditions precedent stated in the conditional sale and purchase agreement (SPA) with Pengurusan Air Selangor Sdn Bhd (Air Selangor). This marks the eighth extension since Puncak Niaga signed the SPA with Air Selangor last November. Executive chairman and managing director Tan Sri Rozali Ismail also said in a statement that the deal might be terminated should it not be concluded by then. (Source: Starbiz, Bursa)

Comments: With the long drawn-out water deal between the Selangor and federal governments finally concluded last week with the signing of the final four agreements by both parties, we do not expect any further delay to the sale of Puncak’s water assets.

We understand that the Selangor government is currently in the process of transferring the titles to the federal government. Once this is done, this should pave the way for Puncak to receive the delayed proceeds from the sale of its water assets. Recall that Puncak will receive RM2.90/share upon disposing its water assets and that it plans to distribute RM1.00/share in special dividends.

We maintain our HOLD rating and TP of RM2.60 (10% discount to the existing Selangor Government’s offer price of RM2.90 for Puncak’s water assets). The discount is to account for Puncak’s existing challenging business in the oil & gas industry due to low crude oil prices.
