PMB has RM1.7bil assets
PELABURAN Mara Bhd (PMB) is the investment and asset management arm of government agency Majlis Amanah Rakyat (Mara) and has about RM1.7bil worth of assets under its management.
Set up in 1967, the group does private equity (PE) investments, portfolio fund management, unit trust management and provides corporate advisory.
It has four core investment areas which are the oil and gas, infrastructure, real estate and technology sectors.
In November, it said it was aiming to attract five to 10 Shariah-based investors to join Basil Property Trust, a global real estate PE fund and its latest fund initiative.
The fund is registered under the Monetary Authority of Singapore.
It is a collaboration between PMB and Al Rajhi Group’s AEP Investment Management Pte Ltd which targets business space assets like commercial offices.
There is a target to raise some US$200mil (RM662mil) from this fund by the end of this year, mostly from Shariah-based investors in this region as well as those from the Gulf Cooperation Council countries .
The internal rate of returns will reportedly be above 15%.

PMB pays RM41mil for 26.8% in container shipping firm BY YVONNE TAN
HAVING emerged as a strategic investor in loss-making container shipping firm PDZ Holdings Bhd, state-owned Pelaburan Mara Bhd (PMB) says it plans to use this vehicle for future asset injections.
“We feel that it is a good idea to go into a public-listed company (plc) with the clear objective of helping to turn around the company and create value for shareholders, which include us,” says its group CEO Nazim Rahman (pic).
Based on an average cost of 18 sen per share, PMB, an investment and financial services group which carries out direct and private equity (PE) investments, paid some RM41mil for a 26.83% stake in the company, it said in a filing to Bursa Malaysia yesterday, confirming an earlier StarBiz report on its emergence in PDZ.
The stake included that of PDZ’s major shareholder Robert Tan Hua Choon who sold off his 19.13% direct stake.
At 18 sen per share, the deal is raising some eyebrows as PDZ finished at 15.5 sen per share at yesterday’s close.
The stock had been languishing at the 8 sen level in early January. However it started to move up over the next couple of months and stayed in the 12 sen to 14 sen range until recently.
Despite this, PMB isn’t too concerned about the price it is paying.
“As an investor, we will generate returns in the form of dividends if the company does well, or if the price goes higher, there will be capital gains,” he tells Starbizweek.
This PDZ deal is the first major deal for former lawyer Nazim since he joined the group last year. It is also PMB’s first big one with a public-listed company.
“We bought into PDZ because it has a relatively healthy balance sheet; RM200mil in sales (although it remains loss-making), cash balance of RM24mil with borrowings of about RM6mil to RM7mil...”
This, he says gives PMB a platform “without much baggage” to bring the company forward.
“Compare this to taking over a company with a very bad balance sheet and having to spend a lot of time turning it around with a debt restructuring exercise and so on.”
Oil and gas assets
The plan for PDZ is still on the drawing board, Nazim says but hints that it will involve a possible injection of oil and gas assets into the company.
PMB he says, does not currently have any oil and gas assets though, but has identified “a few good ones” here and in Indonesia.
That said, he does not confirm if Efogen Sdn Bhd, the oil and gas company earlier rumoured to be a target of PDZ is among the assets identified.
“The plan is we remain as a strategic investor at this level and eventually work with the existing shareholders to acquire some good assets.”
There are also no plans currently to dispose of PDZ’s loss-making container shipping business, which is still affected by the financial crisis of 2008 that resulted in over-capacity and low freight charges.
In order for the acquisition of assets to happen, Nazim says that PDZ has to raise about RM100mil, based on back-of-the-envelope calculations and that will be done via a private placement or a rights issue.
He declines to provide details on this or comment on the prospect of the lack of interest of other shareholders participating in a rights issue.
On the possible injection of assets, Nazim says it could be paid for in cash or PDZ shares or a combination of both.
“Eventually, we would like to allow the entrepreneurs which are currently running the assets to own a stake in PDZ, we will not be the ones running the show.”
Still, he says nothing is confirmed as PMB needs to get in the company proper, to see what it can do for it.
Amidst this, questions are being raised as to why PMB cannot just acquire the said assets, build up value in the company and go through the initial public offering route thereafter, exiting from the investment like most PE investors do.
“That is an option but that would take a lot of time and we think now is a good time to go into a plc,” he says.
Liquid platform
What is important for us is to have a platform that is “liquid enough” to exit as a PE, says Nazim.
“I am not saying that we will be in there for the short-term, we are a strategic investor.”
If PMB was to inject an asset it owns into PDZ, the deal would be a related party transaction which means that it will have to abstain from voting to get the acquisitions approved by shareholders.
“If the other shareholders do not like the assets and the valuations, that is a matter of discussion, I think we can work on friendly terms with the rest.
“Again, the objective even for the rest of the shareholders is for their share price to rise and they want value...”
PMB at the moment does not have effective control and will not take up a management role at PDZ.
Nazim does not rule out PMB having board representation at PDZ moving forward.

Abundance, CA is issued by d bank not Dsonic. Here d bank is betting with u, the mother will not perform. Since d CA came into d scene, mother didn't perform that well....

Tawakkal, yes, theoretically 1:1 rm2 if reached 4. What if at price rm3/ ? Will bursa approve? And if approved, the new price will be rm1.50?
Also note, d proposal was made during good times ( before price double nose dives) when it was almost rm5- heading towards rm6/-. If rm6, after bonus ( 2:1? Not sure now...) it's rm2/- Things had changed since.
We need more details, to discuss further.

Bonus issue is quite similar to a stock split, where d total number of issued shares increases, the ratio of number of shares held by each shareholder remains constant. In short, the new share price will go down ( after being floated with so much more volume).
If we know what's the ratio like and based on what price we based the 'split', we will know the actual price.

I think it means it is dissolving a subsidiary. Usually, co takes such decision when it's investment is losing money/ not performing well etc. Usually is seen as a positive move. I, of course, stand to be corrected.

Some co, no real biz, but cash rich. Maybe cash fr trading co share ... Heheheh.... No good management would allow its share to head towards 5-6 sen leh... Why the shareholders allow such lousy management to stay and still lead a public company is a mystery....Would serious investors want to be shareholders of such co? Food for thoughts.... Heheheh.... A counter will be strong if there are mid/long term investors.
And This is what happened when people play the market for overnight profit. Traffic jam, motor trapped in a bad jam.... Dun kill the goose that lays golden eggs ! If target is much much for than 30-40 sen! why flock to sell at current price range? Sell at a higher price leeh.... Agree or not? More money mah.... ;)

During even a bad trading month, this counter still hold steady is very good oledi :) some counters simply can't tahan such external pressure! ( Ukraine crisis, mh370 MIA, HK/US markets softening etc...). Hold tight. Once macro economy eases a little , this counter will soar! Have faith.

Say u hold 1 yr counter such as this ( or better counters) , im quite confident u can earn more than 3%. But if u run here run there, punt here punt there, cut loss everywhere....
