Vote yes. Kalau tak jadi macam ni. http://www.thestar.com.my/business/business-news/2016/04/04/cliq-energy-appoints-crowe-horwarth-for-preliquidation-services/

Sending around newspaper articles in these days of smart phones and instant global 24 hour connectivity, whilst appreciated, is hardly a value added activity. Better for management to spend all their time trying to convince heavyweight investors as to the value of the deal and get them to buy the stock. This will allow the yield investors to exit and deal succeed. Right now, more than 50 pct vote no. The egm was good to meet people who quietly quietly hold 10-20 million and vote no. Several Datuks. Since this is price sensitive information i.e. The number of proxy votes who voted no, the board is obliged under law to disclose this. Immediately.

Any spac will only be approved when the share price is above cash redemption value. This will only occur when the management are able to entice new shareholders to buy the shares in the market and this buying will allow the yield investors to sell out. Management also can lend confidence to the market by buying i.e. Eat your own cooking. Talk is cheap. Paying out what is already shareholder money and calling it a reward is stupid and deemed to fail. Reach being proactive in organizing a briefing next week before they submit formally to SC. Once submitted, they can't market the deal dilute to secrecy / confidentiality. Reach has the benefit of the mistakes of Cliq and sona. Also they have maybank who advised Cliq and also hong Leong who advised hibiscus. Hong Leong also very market friends and commercial.

Tambun is not in batu kawan. Tambun not competitor to murly and aspen. In batu kawan, after Desmond has sold the abad naluri land to ecoworld, money ecoworld and aspen. Premium outlet and also paramount are not pure property play and their gdv considerably smaller. Remember that the IKEA commercial centre will be the centre for batu kawan to feed the industrial area and also likely for entire SPS. Aspen have first mover advantage over ecoworld. Also this is an asset injection play so the share price should have considerable upside. Aspen have the monopoly for IKEA outside of kl area. Next is jb. Which is a no brainer. Assuming aspen has sales of Myr 750 a year which is conservative. And say realised over 3 years. steady state you have assuming 25 pct gross margin, 180 mil PBIT. Which is 130-140 mil pat. At 10 x pe, this is 1.4 bil market cap. At tambun 7x Pe, this is still close to a bil mkt cap. Smart investors have started to collect the shares so that they can play a major role in agreeing to the deal.

Any of the board members or management bought any shares in the market recently after the circular came out as a sign of confidence ? Even for a few ten or hundred thousand ? Market is looking for direction and inspiration.

Very very confusing. I hope sona management can convince new investors to buy sona shares in the market. I hope next 30 days is different from the past 3-4 weeks. Fingers crossed for a successful QA.

The capital repayment is shareholder money anyway. Whether you pay out or you keep it in the company, same thing to a shareholder. Like a dividend or bonus issue, in theory at least, the share price should drop by precisely the capital repayment amount. Obviously markets not perfect. Look, no one asking sona to goreng shares. Also to buy out predators is possibly immoral, and not treating everyone equally and possibly illegal. What sona management has failed to do is to make the market excited about the company and new shareholders come in to buy out the old shareholders. The stale share price is proof of this. In fact, the board is potentially irresponsible for holding an EGM where everyday since the circular has been distributed the share price has been below the cash redemption value. I hope the vendor doesn't sue the board for irresponsibility. These Aussies can be very kiasu lah. Anyway, tulus iklas my best wishes to sona management for a successful QA. Everyone wins by a successful QA.

Apparently many people already lodged their proxy vote with the company secretary including their yes / no vote. Anyone have any inside jalan to find out what is the tally at the moment ? The key is CS / PA. They vote yes, deal is ok. They vote no, deal is dead. Strange that CS keep buying into Cliq despite the announcement that they are proceeding into liquidation. Expiry is in less than 3 weeks. Is CS a yield or capital gains investor ? I guess we will know on 30th.

My broker commented how strange it is that so far management only talk talk talk. Cakap cakap kosong. Not a single one of them bought even a single share at current market price as a show of confidence. Ha ha. Their silence In action is indeed deafening. Let us see next week.

Reach warrants is implying a dead deal. Reach is cornered by a few malaysian HNW and now CS /PA. If SONA fails, Reach is dead. We wait till next week.
2016-03-23 00:04 | Report Abuse
PA is a pure arb yield fund. CS is a mixture of high net worth and prop desk. There are other Malaysian HNW with about 15 pct who confirmed will vote no. The promoters need to make sure PA and as much as CS as possible, vote yes. The only way is to buy them out. Apparently, still not done yet. At this rate, the Promoters risk this deal failing. Everyone else can vote yes, it doesn't matter since any 25 pct can decline and deal is dead. Promoters still have a few days le to make sure deal can succeed. Wish them all the best.

In fact, more people will buy and vote no, as the yield is delicious. Let us see what management can come up with. Maybe they have a sugar daddy make last minute entrance.

All the major liquidator in town are involved with the liquidation of another malaysian spac. All the big 4 accounting firms all submitted proposals. My investor friends also obtained a legal opinion and liquidator opinion. No secret that in 30-45 days you will get 99 pct of the money and in 6-12 months you will get the balance. Only way this will take longer is if the company is insolvent ie liabilities exceed assets In which case the board and audit committee are fraudulent. They will be sued and can go to jail. Sona has about 500 mil or so in the trust. Every 1 pct is 5 mil. That is substantially more than enough for liquidation costs and fees and any taxes. Note that spac has no operating income so income tax minimal. I dunno who is spreading rumors that liquidation is less than 48.5 cts and will take 1-2 years. Pls pls pls read the prospectus, circular, and get liquidator and legal opinion. Insha Allah this will success but with share price lembap I also dunno.
2016-03-17 10:28 | Report Abuse
They are fixed income funds. Redemption is 48.5 cts. Where did you get 47.0 cts ? Don't believe the rubbish you read pls. Same PA buying Cliq which is going into liquidation as per bursa disclosure.

CS and PA are in Cliq, SONA and Reach. CS also in red sena likely fronting for PA as they did for the other spacs. You are right, CS and PA are working with all these management to ensure a successful QA. Wishful thinking indeed.

I agree that CS and Pac Alliance are working in concert. But imagine you are in their shoes and you want deal to succeed. Ie you will vote yes. Surely you will make a statement to that effect since you know that this will galvanise the public and convince others to also vote yes. Even if you don't want a public disclosure, you would tell your broker to gently spread the word in the market. At the very least the promoters will be doing so, having secured 2 important anchors to vote yes. So far habuk pun tada. The warrant collapsing to 6.5 cts isn't really a clarion call of confidence. Today one of the local bank has a briefing for top clients. Let us see. But honestly how retail vote is inconsequential. Their total shareholidng is small. Any 25 % vote no, deal is dead. Many yield investors already stated intention to vote no or to sell their block to someone who will vote yes. btw, anyone wishing to vote No will surely turn up at EGM. Those who are absent doesn't matter. As long as 25 % vote no, deal is dead. Insha allah promoters find a way to make this happen.

No need to wait for 30 March as many shareholders already indicated to their custodian / banker they are voting no. > 20 % already. Promoters appear to be unsuccessful so far in convincing anyone. After 23 March, buyers have no vote, so who will buy ? Deal has only 7 days left. Not a single statement of support by the major shareholders, nor the Promoter nor a single institutional investor.

You need to see what their oil price assumption is for 2017/18 and see if you agree with it. In simple terms, if you think oil will be > 50-60, then buy and vote yes. Else sell or vote No. I was told Promoter overseas and speaking to funds and also to CS and Pacific Alliance to convince them. Anyone can confirm this ? If any of these funds can make a public statement that they will vote yes, then the stock will fly. Have you seen any brokers report as to what is the NAV based on different oil prices ? At the moment, way below cash value so likely fail. But insha allah, Promoter succeed.

All the 440 shop lots at Aspen IKEA sold out. Ecoworld in process of buying Malton / Abad Naluri land next door for premium to what Aspen paid for its own land. Ecoworld product always premium product. Aspen has monopoly on all IKEA outside of Klang Valley. IKEA plans already submitted to Penang council MPSP. Next IKEA is Johor clearly. If Premium Outlet can do well, so can an IKEA centred development. Remember for Aspen project in Batu Kawan, IKEA own 80 % of the mall and 20 % of the property development. Of course 100 % of the IKEA store itself. The Johor project is the massive one, not priced in. IKEA Batu Kawan itself will be massive. Yi-Lai is a MYR 2.00 stock. Not a single analyst is promoting now except RHB. When all analyst start writing, stock will be 2.00.

I was told that if you hold the shares you can vote anytime up to the EGM day itself. To own the shares, you must buy before 23 March. After 23 March if you buy, you cant vote. So ask yourself this, who in their right mind will buy after the 23 March ???? You don't control your destiny (you could end up with 48.5 cts cash or you could end up with an oil and gas stock). Certainly no institution will do this. So if no buyers but there are potentially seller, which direction will the stock go ? If you are the Promoter and you wish to ensure success, how much higher must the stock be before 23 March to be withstand the selling, if any (remember, no logical buyer) after that date. You have between tomorrow 10th March and 23 March ie 10 or so business days to get the stock to this level. Ask yourself this question. Do you think this is realistic ? This SPAC at the moment, with at least 15 % already doing the paperwork to Vote No, is dead. Completely dead. Remember that any 20 %, and I mean any, vote No, and this deal is dead.

Below 50, vote No. My broker say over 15 % will vote No and have already prepared the Nominee forms. These are large holders, but non institution. He has to push convincing above 50 else any rational investor will simply vote No. Wait for share price to collapse after the deal, if approved and buy cheaper. or just get cash back.

My friend attended the Jan 2015 AGM which of course had the last (and only) Annual Report. The cut off date for the shareholder list must have been Dec 2014. Since then ie 15 months ago, a lot has changed (oil price, macro, MYR, Muhiyuddin etc etc) and many shareholders have come and gone. As of end Nov 2015 which is the latest I have via my broker, Tabung Haji is 4.93 %, Credit Suisse 4.27 %, one certain tycoon with his parties acting in concert almost 12.00 %. The rest are very small. Norges is 1.57 %, KWAP is 0.92 %. Interestingly the free float is very small. The top 30 shareholders hold 66 % of the shares. So the price is easily affected by any big buyer or seller. For your information. I am awaiting the next Annual Report which should be in 3-6 months time since their year end is now end March. That will have the latest shareholding list. For now, we all watch SONA. If SONA fails, no point watching REACH anymore.

No price support no deal. Has to be between 55-60 to ensure a successful QA. Else everyone will sell and deal will be dead. I understand quite a few major shareholders already agree vote No by proxy. Nearly 15 %. I was told promoters still sleeping. Ha ha. Easy money come, easy money go. So far, not a single major shareholder has come out publicly and said they support this deal. Ha ha. Mati lah.

If the QA fails, redemption is about a month after expiry of the 3 yr date which is August. If QA succeeds, dissenting shareholders get money back in 5 days after EGM. This is latest news. Pls have a look at the prospectus, I agree that let us decide at EGM but in reality since any 20 pct decline, the deal fails, then if indeed 15 pct already agree to vote no, likely the fixed income funds who not allowed to hold oil and gas equity, then this deal is dead already. Once it becomes clear deal is dead, investors will sell sona eve before the EGM, to the same level of other spac.

Did you hear deal dead? I was told by broker a few major shareholders close to 15 % already agreed to vote no, and get back 48.5 cts in August. Buy 47 and get 48.5 in Aug, make 3 pct risk free. Ha ha ha.
