Our official response is as follows:

On the weekend of 3-4 April 2021 (more than 5 weeks ago), the Edge Weekly carried the first speculative article entitled “Highway trust proposal back on the drawing board”.

A few days later on 6 April 2021, several mainstreammedia news outlets quoted the honourable Minister of Works, YB Datuk Seri Fadillah Yusof as saying, “The Government is reviewing its initial rejection of a proposal by Gamuda Berhad to take over four highways”.

“Initially, the Cabinet decided against acquiring Gamuda’s highways due tothe concern of increased financial burden to the government.”

“However, Gamuda came back with a new proposal for a new scheme as what was done by PLUS, where the concession will be extended, with a fixed rate but that is nowunder review,”he said.

Following this on 30 April 2021, the Minister announced that toll hikes for all highway concessionaires (not just Gamuda related ones) for 2021 shall be postponed to at least 2022, and the Governmentwould have to pay RM2.25 billion in compensation as a result. This latest announcement of toll-hike deferral had widespread media coverage. As a result, there was renewed media interest on our highway restructuring proposal and it was reported in the abovementioned queried Edge Weekly article, “When contacted, Gamuda declined to comment”.

Notwithstanding the above, we are now responding to BursaMalaysia Securities Berhad’s official query:

We affirm the honourable Minister’s statement above made on the 6 April 2021 and we affirm that our proposal to the Government does involve the sale of the highway concessions at fair market value, to an independent entity funded entirely by private debt capital markets, and that the speculated enterprise value of RM5.2 billion in the recent 8 May 2021 the Edge Weekly article, is incorrect.

We also affirm that theproposal involves keeping the current toll rates unchanged with no further increases, with a short concession extension in order to fully recusethe Government from paying any compensation (as is legally required of them as per the current Concession Agreements) for keeping the toll rates as they currently are, for the entire proposal period. In our proposal, the Government would have no stake norinterest in the buying entity, and therefore need not spend any of its own monies in the acquisition and further, need not provide any Government Guarantee.

We will update BursaMalaysia Securities Berhadonce we have a definitive decision regarding our proposal and all of its salient details, from the Government. Until then, we are unable to comment further as we are still in talks with the Government.

CGS-CIMB keeps Axiata target price at RM4.20 as business deal with Softbank Corp looks positive

KUALA LUMPUR (May 12): CGS-CIMB Research said it is positive on Axiata Group Bhd’s recent business deal with Softbank Corp, and maintained its "add" call with an unchanged target price (TP) of RM4.20.

Softbank Corp will invest RM250 million (US$60 million) for a 23.07% stake in Axiata’s digital marketing subsidiary ADA via the subscription of new shares. Post-deal, Axiata Digital Services (ADS) — in which Axiata owns 96.5% — will remain the largest shareholder of ADA with a 63.47% stake.

Following this partnership, ADA expects to benefit from the unlocking of significant synergistic opportunities.

“The deal values the whole of ADA at US$260 million (RM1.07 billion), or US$200 million on a pre-money basis, which is a 2.2x jump from its US$89 million valuation in 2018 (based on the Sumitomo Corp deal).

“ADS’s 63.47% stake is worth US$165 million (RM679 million).

“Thus, the implied enterprise value (EV) of ADS is US$615 million, with Axiata’s 96.5% stake (balance 3.5% owned by Mitsui & Co) therefore worth US$593 million (RM2.47 billion, or 27 sen per Axiata share), assuming Boost and Apigate’s valuations are still valid.

“This is 19% higher than ADS’s pre-money valuation of US$500 million during the Mitsui deal in May 2019,” said CGS-CIMB analysts Foong Choong Chen and Sherman Lam Hsien Jin in a note yesterday.

They continue to view Axiata’s recent digital business deal positively as it helps to illuminate the value of the assets, but maintain the group’s TP for now until it is closer to the monetisation of ADS via an initial public offering (IPO) or outright sale.

“Axiata’s FY21F EV/OpFCF of 12.9x is 34% (-1.0 s.d.) below its 12-year mean and at a 25% discount to its local mobile peers,” said the analysts.

SoftBank Corp invests RM250m in Axiata’s digital marketing unit for 23.07% stake

KUALA LUMPUR (May 11): Japan’s SoftBank Corp is investing RM250 million (US$60 million) for a 23.07% stake in Axiata Group Bhd’s digital marketing subsidiary ADA. The price tag values ADA at RM1.07 billion (US$260 million).

Axiata president and group chief executive officer (CEO) Datuk Izzadin Idris said ADA expects to benefit from the unlocking of significant global synergistic opportunities.

SoftBank is both a financial and strategic investor, given that it has interests in digital companies globally, including LINE, Cinarra and Incudata, he added.
