PETALING JAYA: Property developer KSL Holdings Bhd has set a dividend policy of paying a minimum of 40% of annual core net profit from operations, excluding fair value gains, to shareholders with effect from the financial year ending Dec 31, 2015 (FY15).
KSL chairman Ku Hwa Seng said the dividend policy is aimed at enabling shareholders reap the returns in tandem with its expanding business.
"Our business is growing positively, buoyed by the stronger demand in our property development segment and the steady income from our investment properties, notably our integrated KSL City Mall and Hotel in the heart of Iskandar Malaysia. The dividend policy is not only to reward existing shareholders, but also to attract and establish a larger institutional investor base for the long term," he said in a statement yesterday.
The quantum and frequency of the dividends are subject to various factors, including the group's financial performance, cash flow requirements, availability of distributable reserves and tax credits, future operating conditions, as well as future expansion, capital expenditure and investment plans of the group.
For FY14, KSL achieved core net profit from operations of RM256.4 million, after netting off RM83.8 million from fair value gains.
In the fourth quarter ended Dec 31, 2014, the board proposed a final single tier dividend of 5 sen per share in respect of FY14. Together with the earlier-paid interim single tier dividend of 5 sen per share, the total dividend payout amounts to 10 sen per share. This represents an estimated dividend payout of RM93.1 million of the group's core net profit for FY14, equivalent to a payout ratio of 36.3%.
The dividend payout in FY14 translates to a dividend yield of 4.7% based on the share price of RM2.12 as at March 13, 2015.

Traders may buy as a bullish bias could be present above this threshold, with a target price of MYR0.39, followed by MYR0.42. The stock may fall and consolidate further if it cannot sustain above the MYR0.35 mark. In this case, further support is anticipated at MYR0.325, where traders can exit upon a breach.

BIMB’s FY14 net profit was in line with our expectations at 105% of our forecasts but above street estimate at 108% of consensus. The net DPS of 14.7 sen for FY14 was within expectations. BIMB missed the end-Feb 15 deadline for the release of its 4QFY14 financial results due to the delay in getting Bank Negara’s clearance. FY14 net profit surged 90.6%, catalysed by lower MI. We maintain our DDM-based target price (COE of 13.5%; LT growth of 4%). Despite its swift loan growth and superior ROE, we still rate BIMB a Hold due to concerns over (1) weak fee income expansion, and (2) an upturn in credit costs. We prefer RHB Capital.

The Board of Directors of KSL Holdings Berhad (“KSL” or “the Company”) wishes to announce that KSL has put in place a dividend policy where a minimum of 40% of KSL Group’s annual net profit from operations (excluding fair value gains) will be distributed to shareholders in the form of dividends in each financial year subject to the factors outlined below. The said dividends would also be eligible for the option of reinvestment by shareholders under the existing Dividend Reinvestment Plan (“DRP”).
Shareholders should note that this dividend policy, which shall take effect from the financial year ending 31 December 2015, indicates the Board’s intention of rewarding shareholders and is not legally binding and therefore subject to modification (including reduction or non-declaration thereof) at the Board’s absolute discretion.
The ability, quantum, and frequency of KSL to pay future dividends to the shareholders are subject to various factors including but not limited to the financial performance, cash flow requirements, availability of distributable reserves and tax credits, future operating conditions, as well as future expansion, capital expenditure and investment plans of KSL Group.
As the Company is a holding company, its income, and therefore its ability to pay dividends, is dependent upon the dividends and other distributions that it receives from its subsidiaries. The payment of dividends or other distributions by the Company’s subsidiaries will depend upon their operating results, financial condition, capital expenditure plans, loan covenants and other factors that their respective boards of directors deem relevant.
