If Aktivis Persatuan Pengguna Islam Malaysia (PPIM) already start shouting at EPF and PNB....This means report already launch to PPIM regarding EPF. The next step will be a possible involvement of Government i.e PM Office, Sarawak Government and Politician i.e from Opposition as this PPIM will drag all this people and bring them to a task to push EPF and PNB to stop selling the share. Expected other politician coming in defense of SD. Im waiting for Sarawak politician leader, Najib Razak, Mahathir and Anwar to start push EPF to stop selling the share.

From what i know from my friend the reason PNB & Sarawak Govt still holding tight to SD because something coming up for SD in the next budget to be table in October 2021. I'm not sure whether it is true or not but it seem that EPF also still holding the share a lot and only released little. Its actually very weird. Possible the reason this big investor still holding to the share.

The legal tussle between Serba Dinamik Holdings Bhd and KPMG may well end up be termed as a "shop lot auditor" case, according to industry insiders.
With a strong message sent by the company's new chairman Datuk Ilyas Pakeer Mohammed on the capabilities of KPMG and the engagement of Tan Sri Muhammad Shafee, a lawyer who has a track record of taking auditors to task in defence of his high-profile clients, one cannot help but to pay a little attention to the claims of Serba Dinamik and the nature of the suit.

Serba Dinamik vs KPMG, a "shop lot auditor" case?
Serba Dinamik alleged that KPMG had owed and breached its statutory duty under Section 320 of the Capital Markets and Services Act 2007.
Section 320(2) of the Act has traditionally been used to protect auditors from liability when they lodge reports to the regulators.
But in the context of the claim, Serba Dinamik challenged that the requirements under Section 320 had not been complied with and therefore actionable against KPMG.
Serba Dinamik's lawyers, the insiders said, had weaponised a law auditor's generally seek refuge under, against KPMG. This was quite possibly a situation where the hunter had become the hunted.
Looking at key timelines presented in Serba Dinamik's statements of claim, problems between the company and KPMG arose on May 3 this year at a special board of directors meeting where "key issues" of the auditor were presented to the board.
While KPMG took the position that these matters required a third-party independent review to assess the veracity of its concerns, Serba Dinamik, on the other hand, claimed that the issues were trivial in nature and could have been resolved on an auditor/management level.
The veracity of the "key issues" aside, ultimately, with KPMG taking the position that a third-party independent review was required, the audit firm was implicitly saying it could not conclude nor form an opinion on the audit until the outcome of the review was completed, the insiders said.
However, despite the position taken on the independent review, KPMG allegedly then filed a report to the Securities Commission (SC)!against Serba Dinamik a few days later.
"KPMG taking this position where they themselves are unable to make up their mind on the issues raised pending the independent review, later went to the SC to lodge a report. This on its own is very peculiar as to what state of mind they were in," said an insider familiar with the situation.
The two seemingly contrary positions taken by the audit firm forms the basis of the breach of statutory duty Serba Dinamik is taking KPMG to task with.
Under Section 320(1) and (2) of the Capital Markets and Services Act 2007, an auditor is only immune from a court action arising out of a report to the regulators if it forms a "professional opinion that there has been a breach or non-performance" (of securities laws) and that they have acted in good faith when doing so.
"How could KPMG have formed a professional opinion as required under Section 320 of the CMSA to justify their report to the SC if they themselves are waiting for the outcome of the third-party independent review? These are two irreconcilable positions," said the insider.
"To make matters worse, after taking a professional view that there is a breach of the securities laws, KPMG then wants to continue with the statutory audit. This does not make sense because they have pre-judged the issue and therefore their audit report will no longer be independent."
"In my view (Serba Dinamik's second largest shareholder) Datuk Abdul Kadier Sahib was right in seeking an EGM to remove KPMG as auditor way back then. It's unfortunate this was not communicated effectively in his notice," said the insider.
The civil suit between Serba Dinamik and KPMG appears to turn on the question as to what where the parameters are drawn towards an auditor's duty of confidentiality during the audit process versus a conflicting duty to report any irregularities, an uncharted territory in both law and audit practice.
"There is of course a duty for auditors to report any irregularities to the SC, but the act specifically requires professional judgement to be taken beforehand. This is because a report or the SC investigation on its own has the potential to cause adverse speculation in the market that has irreparable consequences.
"If KPMG is ultimately held responsible for causing this without legal basis, Serba Dinamik must be entitled to some compensation," he said.

The subsidiary will focus on capacity building and partnership with various agencies as well as international players.
Serba Dinamik announced a partnership with the Malaysian Space Agency (MYSA) in March to strengthen the country's economic development and space technology particularly.
According to the company, Malaysia had yet involved in the space technology industry, despite being prepared to do so.
MYSA has taken the initiative to introduce the Malaysian Space Board Bill 2020, which was tabled for the first reading last year through the Ministry of Science, Technology and Innovation.
Mohd Karim said Serba Dinamik's main objective of diversifying into space technology was "to connect information and communication technology".
"This is because it is one of the company's core competencies to provide Internet access to particularly areas that do not have such access in the states that are supplied or not supplied with satellite technology.
"This is important to support the company's various initiatives on bridging the technology gap that requires broadband and Internet connection to realise its use," he added.
Mohd Karim said by providing such facilities and infrastructure, the Fourth Industrial Revolution (IR) 4.0 would indirectly open up a larger market for related industries.

Many big MNC replaced KPMG because they cannot trust KPMG I believe. From the reply from SD to KPMG question also show KPMG not doing their job properly and even after management change the Financial year just to accommodate KPMG delay. I don't know any company can trust KPMG anymore. Company like SD doing business with local MNC such as PETRONAS and International company cannot afford to continue entertain this nonsense behavior of KPMG.

Mohd Abdul Karim: What has been announced on the independent review is status quo, and it will remain as what it is (the board agrees in principle to appoint EY for the independent review). In terms of the timeline, we will work out the necessary timeline to meet the deadlines imposed onto the company. It should be manageable.

Focus Dynamics acquires 19.37% stake in Saudee Group as part of robotic burger kiosk venture
KUALA LUMPUR (June 21): Focus Dynamics Group Bhd has subscribed to 138.05 million rights issue shares of Saudee Group Bhd, equivalent to a 19.37% stake in the latter’s share capital.
In a statement today, the group said the share subscription was pursuant to the memorandum of understanding (MOU) inked by the two companies in relation to the rolling out of a robotics-based manufacturing facility and the development of robotic burger kiosks.
“After six months of exploration and discussion, both the companies have decided to cement the partnership, with Focus taking a substantial stake of 19.37% in Saudee.
“The funds will be deployed into research and development (R&D) to streamline Saudee's current operations by including more robotics processes in their current manufacturing operations and additional allocation for automated and robotic burger kiosks,” said Focus Dynamics.
The parties have set up a working committee to jointly develop the technology, aiming to launch the robotic kiosks within 12 months.
It said the kiosks will feature seamless and automated functions, such as providing accurate measurements of dressings, perfectly grilled meat patties and toasted buns at automated kiosks and food trucks.
The company said the outlets will be available via a franchisee model either under its own brand or via owner-operator models.
“Automation, digitisation and artificial intelligence have been Focus' primary direction with its F&B concepts. With the launch of Mixobot in its flagship premises Lavo in April 2021, Focus intends to bring about the whole technological push into the F&B space in the years to come,” it said.
Focus Dynamics fell 0.5 sen or 12.5% to close at 3.5 sen for a market capitalisation of RM223.03 million.

DNeX group MD sees opportunities to unlock and create value as Foxconn emerges as substantial shareholder

KUALA LUMPUR (June 14): Hon Hai Precision Industry Co Ltd’s subsidiary Foxconn Singapore Pte Ltd has emerged as a substantial shareholder of Dagang NeXchange Bhd (DNeX) with a 5.03% stake.
The Cyberjaya-headquartered technology firm said it received an official notification from Foxconn yesterday (June 13) that the latter had acquired 120 million shares from DNeX's existing shareholders.
DNeX group managing director Tan Sri Syed Zainal Abidin Syed Mohamed Tahir said the group is always open to any collaboration with strategic partners and investors that could bring value to it.
“We foresee that this latest development can bring great potential to DNeX and we believe Foxconn’s entry can offer opportunities to unlock and create value across the high-technology sector's value chain and beyond,” he said in a statement today.
Syed Zainal Abidin said potential areas for collaboration between DNeX and Foxconn are semiconductor and downstream products, electric vehicles (EVs) and businesses related to the EV value chain.
Moving forward, he said DNeX is focused on growing its business and transforming the company into a technology player capable of competing in the global marketplace.
Together with Beijing Integrated Circuit Advanced Manufacturing and High-End Equipment Equity Investment Fund Center (Limited Partnership), DNeX is currently finalising the acquisition of SilTerra Malaysia Sdn Bhd, which manufactures semiconductor wafers that are supplied to multinational fabless and integrated device manufacturer companies.
Syed Zainal Abidin said the outlook for the semiconductor sector is expected to stay bullish with increasing demand continuing up to 2024, which could lead to sustainable positive earnings for SilTerra and DNeX.
“This makes the acquisition of SilTerra timely and strategically compelling for DNeX. We are confident that our business in the semiconductor market will grow at a strong pace,” he added.
