MEMORANDUM OF UNDERSTANDING BETWEEN PNE, ARZON SOLAR, LCC, SANICHI TECHNOLOGY BHD AND AT SYSTEMATIZATION BERHAD

Further to our announcements made by the Company on 18 May 2020, 27 May 2020, 29 June 2020 and 26 August 2020 pertaining to the Memorandum of Understanding entered into between PNE, ARZON SOLAR, LCC, SANICHI TECHNOLOGY BHD ("STB") AND AT SYSTEMATIZATION BERHAD ("ATS") for the purpose of collaboration for PNE, STB and ATS or any of their subsidiaries to form a joint venture company (“JVCo”) among the parties to design, research and development and production of medical grade mechanical air ventilators and to be distributed and marketed globally ("MOU"), the Board of Directors of PNE wishes to inform that there is no material development to the MOU since the last announcement.

The Company will make the appropriate announcement on any new development to the MOU, if any.
This announcement is dated 25 November 2020.

Mercury Securities is pleased to announce that Bursa Securities had, vide its letter dated 25 November 2020, approved the listing and quotation of up to 750,044,000 Placement Shares to be issued pursuant to the Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:-
(i) ATS and Mercury Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Private Placement;
(ii) ATS and Mercury Securities to inform Bursa Securities upon the completion of the Private Placement; and

吉隆坡13日讯）美全（MTRONIC，0043，主板工业股）主要股东丹斯里李金友强调，只要美全账目清楚，拥有充裕现金，他将通过增持股票，并展开全面收购计划。

他说，美全于今年3月通过发售附加股及债券为公司筹资7000、8000万令吉，加上公司在电子工程及自动化领域拥有良好纪录，这促使他入股美全，希望全面发展这家深具潜能的公司。

李金友也是绿野集团（CHHB，5738，主板产业股）创办人兼执行主席，他在美全面对董事部纠纷之际，于今年5月24日入股美全20%，引起市场关注。
美全是一家亏损连连的公司，李金友为何会购买美全的股票，其核心价值在哪里？
李金友接受《南洋商报》独家专访时，娓娓道出他选择入股美全的原因。

基本面良好
他说，美全在建筑领域的电子工程、自动化业务拥有良好纪录，由于美全一名前高层曾在绿野服务，因此让他对美全有深一层了解。
“美全的股票分散，在股东拿督斯里彭昭发引领下，美全在今年3月为公司筹资约8000万令吉，意味着这家公司股票每股价值达7仙，具有良好基本面。”



没牵涉派系纠纷
要开特大委1董事

李金友表明，虽然美全面对派系纠纷，惟他没牵涉其中，他于5月入股美全后，曾经致函要求委任两名专业人士担任董事，却没有受到董事部理睬。
若美全召开特大，股东应提出询问，为何大股东推荐专业人士进入董事部却不被接受？”
昨天，美全宣布，在本月15日召开的股东特别大会将如期进行，至于要在本月18日召开的特别，则被高庭宣判无效不得召开。
早前，该公司宣布要在本月15日召开特大，而另外一批人马在要在18日召开另外一场特大，不过后者被高庭禁止。

拥8000万现金物有所值
账目要清晰股价才会升

李金友今天指出，美全拥有约8000万现金，它绝对是值得投资的股票。
他认为，不论哪个派系召开特大，都应该讨论公司的业务及财务状况，以对股东有所交代。
“如果召开特大只是为了开除或委任新董事，对我而言，这一切都毫无意义，只要商讨公司业务，展示清晰账目，才能让小股东及社会安心，股价才会上扬。”

李金友认为，任何一家挂牌公司都应该让股权说话，股东没有必要展开无谓的争论。
“原本有人献议可以卖出51%股权，才促使我入股美全，我打算增持，从20%增至30%，最后希望能展开全面收购行动。”

应委彭昭发任执行董事

李金友披露，他将行使单一大股东的权力，尽快通过律师向大马交易所报备，接着召开持大，提案包括委任彭昭发担任执行董事及另2人担任董事，以及委任国内五大审计师之一检查美全的账户和现金流向。
