let assume the nearly impossible scenario.
after insas-wa list, all the insas-wa holders convert into insas mother share overnight.
lets assume the closing price of insas is *RM1.25 before the issue of the newly converted insas shares get list on open mother.
there will be 40%(0.4) more shares in insas total issued shares.
it should be calculate like this : Rm1.25/(1+0.4)

the RPS is not convertible, not without 1 warrant.
''5 shares will become 8 shares in near future'' is not correct
*5 shares will become 7* shares in a long* future ( 5 years ) is more likely
because nobody will assume those insas-wa holders will convert to mother share immediately at the time it get list on open market, so there will be no immediately dilute in insas earning.
let assume the nearly impossible scenario, all the insas-wa holders convert to insas mother share right after insas-wa get list, it is still a good news, because the company have more money to deploy, and probably make a much bigger return to enhance the value of insas.
insas ceo, dato thong have 25% stake in insas, i dont think he will issue this right and fork out 25% of the RPS, just to rip himself off.

It depend. The question is, which type of investor are you?
low risk investor will sell insas-wa and buy/keep RPS ;
high risk investor will sell RPS and buy/keep insas-wa.
everyone have their own preference.

*can, if BNM lower the interest rate , and low risk investor will rush to buy the RPS, but the RPS wont up go up like crazy. at most RM 1.1 to 1.2
the crazy money making is in it warrant, exercise price RM 1, and you get 2 free warrant.
in future, assuming insas share price go up till RM 2, the warrant is worth at least RM 0.90 to RM 1.00
the catch is, it depend on the insas share price, hence higher risk.
if you have confident in insas, and the company deliver good result , you can make big money with your investment in insas and insas-wa.
RPS? not much, it is just like fixed deposit, instead of deposit in bank, you are deposit to insas.

this insas RPS is not convertible, instead of calling it as preferred shares, it more like a bond, a redeemable bond, 4% interest a year , last for 5 years, but the company can redeem the bond anytime within 5 years period if they want to, and after 5 years, if the bond holder want to extend the bond maturity date and insas agree with it, it also can be arrange.
this bond is very flexible for insas, if bank negara raise the interest rate, insas win, if BNM lower the interest rate, they can choose to redeem it.
then what is the benefit of buying this RPS?
-get 2 free warrant
-fixed 4% interest rate
who might interested for the RPS?
-low risk investor
who might interested for the warrant?
-high risk investor

potential is there, if no privatization until 2018 , ytlpower probably can easily go up till RM 3 - RM 4 and good dividend after 2018, but can you wait 5 more years ah? if they announce to privatize with 2.4-2.5 price in the next 2-3 months, i think most will find it very hard to resist.

Rm 2.3 - Rm 2.5 will be a good takeover price, i dont think anyone can endure 5 more years without any dividend ( ytlpower need the cash for Project 3B )
the cashflow from the 3B electricity plant only will flow in after 2018, if the takeover price above Rm 2.3, i think most shareholders will take it and cash out.
