The issued price (also known as Norminal or Par Value) of the ICUL was 13 sen. Previously one needs to surrender one ICUL plus 13 sen cash to exchange for one ordinary share when the conversion price was 26 sen.

Now the conversion price will be reduced to 20 sen but the issued price (also known as Norminal or Par Value) of ICUL remains the same at 13 sen. Hence, going forward, one will have to surrender 1 ICUL (issued price @ 13 sen) plus 7 sen only to exchange for one ordinary share after the ex-date for the impending rights issue for the mother share.

It's worthwhile to look at the existing loan stock ICUL as its conversion price will be reduced to 20 sen arising from the impending rights issue. In other words, one has to pay 7 sen only plus one ICUL to exchange for one ordinary mother share after the ex-date for the rights issue. This may be a good opportunity to ride on the next rally of this counter.

Moreover, there is growing optimism that the property sector index is likely to outperform the KLSE Composite Index in the next 12 months among the analysts as per the latest The Edge Magazine.

REVIEW OF PERFORMANCE (extract from its quarterly announcement)

For the current quarter, the Group recorded a revenue of RM82.8 million, and profit before tax of
RM11.8 million, compared to a revenue of RM21.7 million and a loss before tax of RM20.9 million
for the preceding year corresponding quarter. The better performance over the preceding year
corresponding quarter’s was mainly attributable to contributions from sale of land as well as higher construction progress achieved across all our development projects in Seri Kembangan.
The Group recorded revenue and profit before tax of RM82.8 million and RM11.8 million
respectively as compared to RM58.3 million and RM4.6 million respectively in the immediate
preceding quarter. The increase in revenue was mainly contributed by revenue from sale of land
and higher progressive recognition from residential development projects in Seri Kembangan. The improved profit before tax was mainly attributable to higher profit contribution from our development projects in Seri Kembangan and also a gain from sale of land.

COMMENTARY ON PROSPECTS

Bank Negara Malaysia reported that Malaysian economy grew 4.5% in the fourth quarter of 2016, compared with 4.3% in third quarter of 2016, underpinned by continued expansion in private sector expenditure. For the whole of 2016, GDP grew at a slower pace of 4.2% compared to 5% in 2015.

In view of prevailing weak sentiment in property demand and cautious consumer spending, the
Group will continue to launch new projects and also manage current business operations prudently

Prospects
The on-going construction works will contribute positively to the performance of the Group for the
financial year ending 31 March 2017. The property market is expected to improve for the remaining financial year ending 31 March 2017. It is expected that there will be stable revenue and profit derived from water supply and services sector. For the property investment and investment holding sector, the rental receivable in Kepong Brem Mall is expected to continue contribute positively to the results of the Group

Maybe the major shareholder sees great hidden value in the company and that's why it's prepared to pump in more money and assets into the company. Otherwise it could have just sold its assets to the company by draining the existing cash pile plus bank borrowing without the proposed rights issue.
