moneysucker it is a good trade though, as if deal turned out to be RM2 bil for P1 cash you would probably double / triple your investment. Even now you still make a bit profit!

But if you guys are into wireless internet for long term i suggest you look into YTLP as it is undervalued now. Yes will turn profitable this quarter and the share price will rebound. Based on my observation, the share prices of telco will be under pressured until capex fully spend and profit starts kicking in. In 2-3 years, P1 will be where Yes is now.

jayhao2000 That is a big 'if' ... first P1 has to grow very much, second Gpacket has to be able to raise fresh capital to follow the cash call. Well, look at Yes you will get the answer where P1 will be in 3 years, as Yes already spent 2x the amount of P1.

foong2 Gpacket grops because it is receiving zero money for selling control to TM. On the other hand, TM drops as it is gonna commits up to RM2 bil capex in this deal, so dividends investors don't like it. Just like how they dont like it when YTLP undergo massive capex for Yes. TM investors will only see fruits in few years, as this is normal for telco.

3398uni Pls learn to read, it is gpacket pn17 not P1. TM don't care about gpacket, in fact TM has been raping Gpacket. Read carefully TM will dilute gpacket 30% P1 with the massive rm1.6 bil cash call. After the cash call gpacket will only own maybe 3% of P1?

lclwp i had been a long term gpacket investor for 5 years, I made decent money by going in / out within this period. So i understand this stock fundamentals very well. I sold all my 300,000 shares after CC Puan unloaded 100 mil shares of his 1 month ago. From that time onwards i knew something like this is brewing. I only invest for long term value, though may go in and out if sporting a pattern.

Furthermore, if TM fully subscribes to the RM1.6 bil capex (i don't think Gpacket has the financial capability to follow), Gpacket shareholding in P1 will be further diluted. It think evetually it will be diluted to below 5%. So long term view also very negative!

After this deal, Gpacket will have a fixed interest of RM16 mil (accrued interest) + RM4.2 mil (fixed tenancy agreement). That's already RM20 mil fixed cash outflow per year. Its solution + communications business last year profit was only RM2 mil. I don't see how they can turn around, unless TM list P1. But that's at the discretion of TM, but what is the incentives for TM to do so? Besides, they plan to continue to have capex of up to RM1.6 bil in the coming years, so P1 will continue to bleed in the next few years, so no point listing also.

How nice to witness all these short term speculators (hoping to buy bungalows / BMW banking on P1 getting acquired for RM2 bil), now changing tune on the spots suddenly becoming long term investors. Basically what you got here is TM raping GPacket by acquiring P1 for zero and at the same time becoming a loanshark by lending GPacket RM200 mil @ 8% loan. This RM200 mil loan will just delay GPacket inevitable demise while insiders continue to unload their shares to naive investors.

More digestion: All loan previously owed by P1 to Gpacket is already factored into the 30% post acquisition via IPCS. This deal is lousy, why Gpacket has to pay 8% interest for the rm210 mil loan, while Gpacket only received 1% for its upcoming rm250 mil loan back to P1? Pls note Gpacket will loan rm60 mil back to P1 after the deal, the rest of the rm210 mil will be used to settled other loan. I think Gpacket will be left with nothing after this except the solutions business and 30% non controlling interest in P1. What an epic failure for gpacket!

As I dissect the agreement more, after the deal gpacket will own 30% of P1 as it will take over Intel 5%. There seems to be a clause that gpacket and minority will have to loan back rm250 mil to P1 (presume frm the rm200 mil in the first place).

TM acquiring P1 at rm350 mil for 57% values P1 about rm650 mil. Gpacket previous holding of P1 57% will dilute by more than half to 25%. So 25% of rm650 mil is about rm200 mil. That's the value of p1 owned by gpacket after this deal. It is a major gain for TM, but what other choice gpacket has? Alternative choice gpacket will be insolvent without this deal.
