Kuala Lumpur High Court Civil Suit No : WA-22NCvC-773-11/2018 Konsortium Lord-Saberkat Sdn Bhd (Plaintiff) v Petron Malaysia Refining & Marketing Bhd (Defendant)

Petron Malaysia Refining & Marketing Bhd ("Petron") wishes to inform that Petron was served with a Writ and Statement of Claim from the solicitors of Konsortium Lord-Saberkat Sdn Bhd ("Lord Saberkat").



Previously, Lord Saberkat had filed a writ against Petron based on allegations that Petron failed to pay Lord Saberkat for the works and tasks that were allegedly ordered by Petron and were allegedly carried out by Lord Saberkat per the Standard Transportation Agreement No. 2005-01FM dated 19 December 2005, as amended ("Agreement") between Petron and Lord Saberkat ("the First Suit"). This Agreement was for the supply of transportation services by Lord Saberkat to Petron for the delivery of fuel to Petron's service stations in Peninsular Malaysia.



Petron refers to the announcements to Bursa Malaysia Securities Berhad made on 3 November 2014, 30 June 2015, 14 July 2015, 21 July 2015, 24 July 2015, 10 December 2015, 6 January 2016, 8 November 2016, 15 December 2016 and 10 January 2018, in relation to the First Suit.



For the First Suit, the High Court on 30 June 2015 dismissed most of Lord Saberkat's claims and subsequently both Lord Saberkat and Petron separately filed an appeal against the judgment of the High Court. The Court of Appeal heard the two appeals together and dismissed Lord Saberkat's appeal and allowed Petron's appeal. Lord Saberkat then filed a motion to seek leave to appeal to the Federal Court and this motion was dismissed by the Federal Court. Lord Saberkat then filed for motion to review the Federal Court decision and was also dismissed by the Federal Court. Subsequently, Lord Saberkat filed a motion to amend the Order made by the Court of Appeal dated 10 December 2015 and was also dismissed by the Court of Appeal on 24 September 2018.



Lord Saberkat has since filed an application for leave to appeal to the Federal Court in relation to the dismissal by the Court of Appeal, which has been fixed for case management on 20 December 2018.



Lord Saberkat has now filed a new claim against Petron allegedly over a breach of contract in relation to the same Agreement ("the Second Suit").



The claims filed by the Lord Saberkat pursuant to the Writ and Statement of Claim, as pleaded therein, are as follows:



a) Damages amounting to RM109,183,517 particulars of which consists of the following :

Loss of Orders amounting to RM62,732,065;
Loss of Profit amounting to RM24,126,724; and
Depreciation, Loss of value of Lord Saberkat's dedicated fleet of road tankers amounting to RM22,324,728
b) General damages;

c) Interest on damages from the date of the Writ until satisfaction of the judgment at such rate as the Court deems fit;

d) Costs; and

e) Such further and other relief as the Court may deem fit, just and equitable.



Petron has intructed external counsel to act on its behalf and Petron will defend its position and take all necessary legal action as deemed appropriate. Petron strongly denies that there are any such breach of contract and claims as alleged by Lord Saberkat.



Petron does not expect or anticipate any impact to its finances or operations as a result of this Second Suit.

Jon - where did you get this info?

Petron has good steady earnings, good volume traded i.e. liquidity, good dividends & PM's son's interest. Why is it such a laggard? Why are suitors avoiding this counter?

Maybe because she's not a virgin? haha

What terrible results! When results were good, dividends were pittance;

now results are poor, dividends will be non-existent.

Actually the effect is like a bonus issue because what was once taken out of circulation is re-issued back to shareholders. The resultant earnings diluted because it is divided by a wider share base.

Distribution of treasury shares = bonus shares - it just cuts the cake into smaller pieces. Hence there'll be a drop in share price. Even dividends per share will be much smaller because there'll be too many shares to pay feed dividends.

Share price trades at a relatively fixed multiple to it's earnings. EPS will be diluted and share price will also fall on that basis.

B. Kawan shares after all the painstaking accumulation over the years will be wasted if redistributed.

Looks like shareholders of B Kawan are the strong & silent type. I seem to be the only one raising issues here. I feel like I'm talking to a wall. haha

How come no dividend announcement?

I feel the commentary is rather opaque - just repeating what we ourselves could determine form the data provided.

What I find somewhat disturbing is the steep rise in receivables. Why? - it drains the cash flow, we incur a financial cost, there may concomitantly be higher bad debts and the remote possibility of phantom sales (hopefully not).

Fabien - I think Petron's fortunes will be affected insofar as to a lower market value of their inventory levels which if marked-to-market will show a loss in the income statement.

However it's a downstream entity. Some products are fixed in their prices and some, there could be a time lag before Petron is compelled to reduce the price - which by then the old high-priced inventory may have run down hence not severely denting profit margins. As for the fixed price ones (like engine oil), it translates into fatter profit margins.

Please someone - correct me if I'm wrong.

It's a question of price vs valuation. The price may be low but I valued it higher. The truth will be revealed (and I will hopefully be proven right) when the quarterly results are announced.

This is what i extracted from an overview about Petronas Dagangan - can anyone spot the difference with Petron?

Basically the key difference i believe is that Petron has a refinery

petdag PE is about 17+; petron PE is about 4+.Something's seriously wrong. Maybe we're missing out something.

Kawkaw - logically a profitable company that pays out dividends at a rate lower than EPS, the chances of falling below 6 (barring unforseen circumstances) becomes lower & lower as time goes by

TQ TQ TQ silom - At least now we shareholders know the full tax impact. Noted that the total taxes (Gaming, Pool-betting & Service) for profitable NFO draws amount to approximately 17.9% to 18.3% of gross sales.

I love it when the govt is transparent. There's greater accountability and less room for corruption.

Even if the current govt was run by monkeys which ate bananas all day long, they would be better than the previous who were busy filling their pockets at every opportunity.

I asked the board's opinion as to whether there'll be any additional taxes this coming budget. They said unlikely as the business is already struggling and existing taxes are heavy. Lamented about the usual illegals. Members shared some views on this including lobbying together with other NFOs.

The new CEO is not that articulate & some members don't seem to have a good opinion about him. However he comes across to me as someone who understands the business well.

One sharp member pointed out in the notes to the accounts where it was revealed that the directors paid about RM6m+ (0 previous year) on special bonus. They forgot to explain as they were inundated with questions.

Levying taxes is a skilled art.

The key to a good tax system is to "pluck the goose's feathers with minimum hissing".

Petrol and gas is still a necessity despite rumours on taxes

& now, the end is near, & so I face the final curtain ... haha

Considering the route across the market, Petron is holding up pretty well

A strong finish - good!

Sometimes when parties want to acquire a stock for cheap, they may make sure that the price lingers at a low level for a long time so that players would reckon that that is indeed the actual value of the stock. They then nibble or swallow large gobs and before you know it, it becomes pretty expensive to buy.

What a rotten deal! We the shareholders have no clue as to how the initial large figure was derived and how the final settlement was arrived. Was it just arm-twisting by LHDN? Did somebody make money here?

The payments will certainly be a bloody big strain on the future cash flows.

Next time the govt is short of money, just pick on Magnum again & say that you owe the govt say RM100m back taxes. Then a few months later negotiate down to RM60m - That's easy 60m in the pocket for doing nothing but bullying!

If everyone who can hold actually hold & not sell then the share price (all things equal) will rise to its fundamental value

I believe that 30 sen dividends is a definite possibility

if it goes any lower, I'm there to catch it. This Co so far is making good profit so its value should rise in tandem.

Don't fret fellow investors - if the same earnings momentum keeps up, the share price will eventually rise and we can expect a handsome dividend. You can't keep a good guy down for too long.

Nice to see a party going on with a lot of conversations - always happens when petron is on a bull run!
