Yes, we can add the value from the free Warrant B that we can have if we subscribe. We can sell it at let say 1.5 sen. The value of one share after subscription will be depend on the market price of the share after the the listing of new RI shares. The NOSH will be greater and the probabilty of the price to be pushed down also greater.

Please be noted:

6. A Head of Agreement between Kanger and Constellation Holdings Ltd, Dubai regarding the setting up of medical examination gloves manufacturing operations in Malaysia.

Progress of the agreement:

a) Based on an announcement at BURSA dated 11 August 2020.

- The company has received a formal Expression of Interest letter (“EOI”) dated 9 August 2020 from Constellation Holdings Limited, Dubai for collaboration in the setting up of medical examination gloves operations in Malaysia.

b) Based on an announcement at BURSA dated 14 August 2020.

- The company had, on 13 August 2020 entered into a heads of agreement with Constellation Holdings Limited.
- Kanger is setting up a glove manufacturing plant in Ijok, Selangor for about RM77 million.
- Kanger has incorporated a wholly-owned subsidiary, Kanger Glove Manufacturing Sdn Bhd, which will acquire around five acres in Ijok for RM6.8 million.
- Kanger Glove would spend RM70 million to build the plant and install up to eight production lines to produce medical, surgical and/or nitrile glove.

c) Based on an announcement at BURSA dated 21 August 2020.

- The Company provided additional information pursuant to the queries by BURSA.
- The company need to apply for the relevant regulatory approvals for setting up the factory.

d) Based on an announcement at BURSA dated 30 August 2021.

- Kanger Abridged Prospectus For The Right Issue reported that, as at the LPD, Kanger has acquired the 3 lots of identified land pursuant to the completion of SPA I, SPA II and SPA III. The 3 lots of identified land acquired at the total amount of RM6.8 million.

- Acquisition of land under SPA I was completed on 19 March 2021, involving the purchase of a piece of vacant leasehold agriculture land held under PM 51, Lot 3518 Seksyen 2, Pekan Bestari Jaya, Daerah Kuala Selangor, Negeri Selangor measuring approximately 0.4887 hectares for a purchase consideration of RM1,000,000.00 to be entirely satisfied via cash.

- Acquisition of land under SPA II was completed on 19 March 2021, involving the purchase of a piece of vacant leasehold agriculture land held under PM 52, Lot 3517 Seksyen 2, Sungai Rambai, Batang Berjuntai, Pekan Bestari Jaya, Daerah Kuala Selangor, Negeri Selangor measuring approximately 0.484 hectares for a purchase consideration of RM1,000,000.00 entirely satisfied via cash.

I think there are no such investor who sell at this lower price in preparing for RI share subcription.

Selling or buying at this range of price would be done by operators, traders and the current shareholders (Shareholders who are planning to cash out and opting out to subcribe the RI shares)

Not agree on your first point. Later I will explain in the next post.

For the second one, its not only will be decided by fundamental. Sometimes it also will be determined by any plans by the company or its operator to cook up the price before the last date of subscription.

The main logic that I can think is concerning the success of the RI exercises will depend on the price of the share before the last date of acceptance of the RIs.

For Kanger, the price should be at premium compared to the the RI exercise price of 6 sen.
If not, the RI exercise will be a failure and the BOD's objective to collect a sufficient fund from the RI exercise will be a failure.

On that matter, I always noted two possibilities:

Firstly, concerning who is Mr Kuah. Which reported has many past experiences in fund raising activities. Therefore I always asking myself:

Do you think that Mr. Kuah will let Kanger fails in the incoming RI exercise??????


Secondly, concerning there is a possibility that before the last date of acceptance of the RI shares, some sort of good news expected to be announced to make sure the price can be cooked up. This thing should be pre-planned by some companies in order to make sure that their RI exercises will success.

I have this feeling because, I studied BCMall RI before, there was some big news from the company's announcements on the said time frame of the BCMall RI exercise. BCMall share price was at around 15 sen (RI exercise price = 8 sen) before the last date of acceptance of the RI. The results was, BCMall has a successful RI exercise.

By the way, it's only based on my observations and predictions only. TAYOR

SEKADAR PANDANGAN SAYA SENDIRI. PARA PEMBACA YANG SUDI MEMBACA BOLEH KOMEN, TAK KIRA POSITIF ATAU NEGATIF

Kita mungkin boleh perhatikan kebanyakan syarikat yang buat consolidation ialah apabila syarikat mengalami kerugian terkumpul yang banyak selain daripada NOSH yang besar. Pada kebiasaannya, banyak syarikat yang mempunyai masalah kerugian terkumpul yang besar akan buat capital reduction bersama-sama dengan proses consolidation.

Dan biasanya, syarikat yang mempunyai BOD yang hanya memiliki peratus saham yang sedikit suka buat consolidation. Ini kerana kesan negatif consolidation banyak ditanggung oleh pelabur runcit berbanding pemegang saham insider.

NOSH yang besar bukan jadi sebab mewajibkan sesebuah syarikat membuat consolidation. Kecualilah:

1. Keadaan kewangan syarikat amat memerlukan consolidation dibuat, contohnya dalam keadaan kerugian terkumpul yang banyak dalam kunci kira-kira.

2. Keadaan harga saham yang terlalu rendah di pasaran akibat masalah share spread yang terlalu besar yang menyebabkan pihak syarikat ingin buat consolidation bagi tujuan memastikan harga di pasaran menjadi lebih tinggi dan menarik minat lebih pihak pelabur institusi dan pelabur runcit untuk membeli saham syarikat tersebut.

3. Kemungkinan “ADA UDANG DISEBALIK BATU” dalam kalangan pengurusan sesebuah syarikat tertentu.
Terdapat segelintir syarikat yang mempunyai pengurusan yang mungkin menggunakan proses consolidation sebagai jalan mudah untuk menyelesaikan masalah dalam syarikat sambil mengaut kepentingan peribadi.


KESIMPULAN DARI SAYA:

1. Dari segi NOSH yang besar dalam Bornoil. Jika NOSH besar, keadaan kewangan okay, harga saham pun OKAY, syarikat tersebut rasanya tak perlu buat consolidation.
Sebagai contoh, lihat saja MY E.G. Bukannya nak buat consolidation tetapi menambahkan lagi jumlah NOSH syarikat sampai 8 bilion unit melalui Bonus Issue.

2. Dari segi FA saya rasa Bornoil masih okay dan menyakinkan:

(a) Syarikat berada dalam keadaan kaya dengan tunai (cash: 4QR 2021, tunai dan Fixed deposit RM35.4 juta) dan hutang (loan) yang kecil.

(b) Syarikat berada dalam keadaan untung. Berasaskan 4QR 2021 report, 4QR 2021, EPS = 0.52 sen sesaham dan untuk FY 2021, EPS = 0.42 sen sesaham.

(c) Keuntungan terkumpul adalah RM86.7 juta, bermaksud wujud excess dalam penilaian bagi nilai sesaham.

(c) NTA berdasarkan 4QR 2021 adalah 11 sen. NTA mempunyai premium yang besar berbanding harga semasa @ 3-3.5 sen. Ini bermaksud, harga 3 -3.5 sen sepatutnya menjadi "ATTRACTIVE" untuk pelabur kerana harganya yang berada pada paras diskaun dari nilai sebenar syarikat berasaskan NTA nya yang lebih tinggi.

3. Dari segi prospek perniagaan saya rasa Bornoil juga okay dan berdaya maju:

(a) Mempunyai perniagaan asas dari segi makanannya yang cuba untuk dikembangkan lagi. Masalah sekarang hanya kesan negatif pandemik, dan selepas pandemik kemungkinan syarikat mengembangkan lagi perniagaan makanannya adalah baik.

(b) Beberapa projek pelaburan sedia ada berasakan perlombongan bahan mineral yang belum sepenuhnya direalisasikan termasuk lime stone dan eksplorasi emas (gold). Potensi syarikat dari segi keberuntungan di masa hadapan adalah tinggi.

4. Dari segi share spread dalam Bornoil juga saya rasa okay:

(a) Peratus pegangan saham dalam kalangan “insider” Bornoil lebih kurang 25% dari keseluruhan saham. Bermaksud, masalah share spead yang terlalu besar dalam syarikat boleh dikurangkan.

(b) Kuasa untuk memilih sama ada untuk bersetuju atau tidak terhadap apa-apa cadangan consolidation saham dalam kalangan insider yang mempunyai peratus pegangan saham yang tinggi. Dengan itu, BOD mungkin kurang berkemungkinan untuk menjalankan consolidation saham jika ada bantahan dari pihak pemegang saham insider yang mempunyai kuasa VOTING yang lebih banyak.

mikeann Share is grossly oversold.

The shares at 0.045 is at 52 weeks low, having plunged from 0.33 .

It has also dropped from 0.07 about 4 weeks ago to its present level of 0.045 .

The risk to reward ratio at 0.045 is in favour of investor who buys as there is negligible downside risk.

Rebound is imminent. Immediate resistance is at 0.07.

I THINK WE CAN EVALUATE WHAT HAS HAPPENED CURRENTLY, JUST THE INFORMATION NEEDED TO PREDICT THE NEAR FUTURE BEFORE THE END OF DATE OF ACCEPTANCE AND PAYMENT FOR THE RI ON 15 SEPTEMBER 2021.

But near the date of the RI to be executed, the price will be markup higher than the issue price of the RI.

These scenario surely not be absolutely will happen to Kanger, but it has high chance or probability to follow suit.

I noted, before the McQuire PP subscription, the NTA around 12 sen. After 70 % of the PP subscription by McQuire, the NTA just reduced from 12 sen to 11 sen only. There is an effect from the dilution of shares from the increasing of the company share from the 70% subscription of PP by McQuire.

@suprnoob. Please study the balance sheet in the last QR report. NTA at 11 sen. Please use some basic accounting before making such nonsense speculation. Let us consider, there are another 30% of PP by McQuire to be completed. I think it only will dilute the NTA, maximum to 10 sen, not 0.1 sen as you said.

But when I invested in a certain company, I will not surrender and cut loss until there is no point of prospects and opportunities for the price of the company share to be appreciated and gives me some sort of profit in investment in the future. For your information, I'm still holding Nexgram's shares, and will hold it until I can make some profit from it, or will cut loss if there is no hope for the investment to be turned around.

4. I'm not the one who own the shares of a company and after that keep daily condemning the company as "the scam company" or whatever.

SOME OF the SPAMMERs/NAYSAYERs at certain company are the frustrated investor who are been trapped in the company. Peace99 @Pop888, relax, Kanger follows SOP, there was valuation done on the service apt, gotten 19%discount bcos buying in bulk. Kanger tak bayar 142mil sekali gus, tapi ikut jadual, pay only when certain work is done, macam kita beli rumah dari developer. The last 10% payment in 1st quarter 2024when apts ready to hand over. Almost sure can raise full sum....if not, as stated in prospectus, will borrow from bank.
