The Board of Directors of PUC (“Board”) is pleased to announce that Presto Universe Sdn Bhd (“PUSB”) has on 15 November 2021 entered into a joint venture agreement (“JVA”) with Colorpixel Sdn Bhd (“CPSB”) and KH Lim Capital Sdn Bhd (“KLCSB”) to undertake the Business (as defined in the announcement) through Presto Color Sdn Bhd (formerly known as Presto Play Sdn Bhd) (“PCSB” or “JV Company”) (“JV”).

The JV will provide an opportunity for PUC and its subsidiaries (“PUC Group”) to leverage on the
JV partners’ expertise to undertake the Business by expanding into subscription based digital
content business under PUC Group’s Omnichannel segment. The JV will also create an avenue
and platform for content creators in the digital content industry to monetise on their digital content.
The integration of the Business into the Presto Digital Ecosystem which is owned and operated by
PUC Group will improve the attractiveness of the Presto Digital Ecosystem by expanding Presto’s
reach to content creators and users. In addition, the Business will be complementary to PUC
Group’s other businesses namely digital media and advertising business under the Omnichannel
segment as well as e-commerce and e-payment under the Presto segment.
