(i) the historical price movement of N2N Shares;



(ii) the 5-day VWAP of the N2N Shares immediately preceding the price-fixing date, with a discount of not more than 10%;

(iv) the future working capital requirements of N2N Group.



The Exercise Price represents a discount of RM0.05 or approximately 5.68% to the 5-day VWAP of the N2N Shares up to and including 14 December 2018 (being the last trading date immediately preceding the price-fixing date) of RM0.88 per Share ("5-Day VWAP").



Further, the Exercise Price represents a discount of RM0.04 or approximately 4.60% to the theoretical ex-bonus price of N2N Shares of RM0.87, calculated based on the 5-Day VWAP.
