The net profit of acquired tech company in FY21 is RM20 million. With 10x PE (conservative for a tech company), market cap should be around RM200 million, meaning the target price theoretically around RM0.49. Even if you put a 20% discount it will be RM0.36, or market cap of RM160. Market cap now is already RM136 million, let's see what happens next week.

明达全球（MINDA，5166，主板消费股）大股东建议展开强制全面献购活动。

周二（2月7日），该公司向马交所报备，其董事会当日接到 Special Flagship Holdings Sdn Bhd（SFHSB）的通知信，指SFHSB和SMRT控股（SMRT，0117，创业板科技股）已签署股权买卖协议，将以4945.5万令吉现金价向SMRT控股收购SMR Education Sdn Bhd（SMRE）的100%股权。

目前，SMRE 掌握 MINDA的42.08%股权。

在交易达成后，SFHSB将成为 MINDA的控制股东，并计划展开强制献购，买下SFHSB与丹斯里巴拉尼雅班（Tan Sri Dato’ Dr Palaniappan A/L Ramanathan Chettiar）未持有的其余股票，潜在出价为每股7.12仙。


巴拉尼雅班是SFHSB和SMRT控股的大股东。

不过，MINDA 的强制献购活动仍取决于SMRE 的交易最后是否完成。

SMRT 多项建议
另一方面，除了上述交易，SMRT控股今日也宣布多项买卖计划建议，包括以7200万令吉收购N’osairis Technology Solutions Sdn Bhd（NTS）36%的股权。

周二，大华继显代表SMRT董事会向马交所报备，该公司建议以7200万令吉现金向Permata Kirana Sdn Bhd 购买NTS的180万股或36%股权。


另外，SMRT董事会也建议建立不超过已发行股本20%的股权免费送股计划（Share Grant Plan），赠送股票给董事、员工和子公司。

根据文告，上述收购与脱售计划需经股东批准，并在即将举行的特别股东大会上寻求股东同意。
