Pursuant to Paragraph 10.09 of the Bursa Malaysia Securities Berhad (“Bursa Securities”) Main Market Listing Requirements (“Listing Requirements”), the Company had at its 32nd Annual General Meeting (“AGM”) held on 25 April 2017 obtained shareholders’ approval to renew the Shareholders’ Mandate for the Company and its subsidiaries to enter into recurrent related party transactions of a revenue or trading nature (“Shareholders’ Mandate”).

The Shareholders’ Mandate shall, in accordance with the relevant provisions of the Listing Requirements, lapse at the conclusion of the Company’s forthcoming AGM unless authority for its renewal is obtained from the shareholders of the Company at the AGM.

With reference to the above, the Board of Directors of Takaful Malaysia wishes to announce that the Company intends to seek the approval of its shareholders for the Proposed Shareholders’ Mandate at the forthcoming AGM. The estimated aggregate value of the Recurrent Related Party Transactions (from the date of last AGM on 25 April 2017 to 31 March 2018) as disclosed in the Circular to Shareholders dated 3 April 2017 was RM2.666 million while the actual transaction value from the date of last AGM on 25 April 2017 to 29 January 2018 was RM2.075 million. The actual transaction value for the year ended 31 December 2017 was RM2.690 million.

A circular containing the information on the Proposed Shareholders’ Mandate will be sent to the shareholders of Takaful Malaysia in due course.

This announcement is dated 29 January 2018.

The separation of family & general takaful into 2 umbrella makes cost of doing biz by Takaful Malaysia increase by 2 TIMES compare to previously which under one company.

If you can see the higher expenses in Takaful Malaysia comes from management costs with the separation i can see general takaful which contribute only 30% of group income will have problem balancing between revenue & cost. General takaful growth in group level also recorded only 3% compared to family which record double digit growth.

Hopefully Takaful Malaysia looking seriously in this matter by considering M&A, digitalisation & seeking foreign partners to set up footsteep in country beyond Indonesia.

I would recomend selling on both BIMB BERHAD & TAKAFUL MALAYSIA due to;

1.TAKAFUL MALAYSIA will experience increasing cost due to the separation although family segment may save the day but the profit margin will drop below 9%.

2.BIMB BERHAD pending from group restructuring is like gem stuck in the mud. Huge fair value loss if Takaful Malaysia share on the downtrend coming months put BIMB under presurre not to forget with cost increase in Takaful Malaysia group level probably lowering dividend payout by Takaful Malaysia.
Hopefully loan growth surpass 9% & increasing the digitalisation which currently only contribute 5% .

Technically there will be KNEE JERK REACTION in coming months when separation license kicks in with immidiate effect as fast as 2nd quarter result (July 2018).

The staff cost incurred as opex is minimal to its overall profits. Takaful is able to absorb the cost.

Takaful is growing steadily in the past 8 years with excellent track record. High ROE, high DY, low capex, good operating cashflow generated, PE is only 13x. The demand of its products is increasing from year to year.

My personal view is a treacherous day trader keep on throwing in small quantity to lower the price to lure the less confidence investors to throw out their shares so that he can collect it cheap. The fundamental is definitely no problem. From the last QR, if the loss from capital market is excluded, the EPS for that quarter is around 10 sen. Many gov related stocks which we deemed as good shares in the past were plunged to historical low after GE14 and caused many investors/ fund managers lost money. This may be only one time exceptional case. So, i expect the QR for next quarter to perform well since the insurance business is enjoying continue growing.
