On 16 October 2017, the Manufacturing Division of the Group had successfully listed on the GEM of the Stock Exchange of Hong Kong Limited (“HKEX”) via Furniweb Holdings Limited (Stock Code: 8480) (“FHL”) by way of public offer and placement of 126 million shares (“Share Offer”). PRG currently owns 54.19% of the issued share capital of FHL. The Manufacturing Division has diversified its products to Polyvinyl Chloride (“PVC”) related products and expanded its footprint in the People’s Republic of China (the “PRC”) through the acquisition of Meinaide Group which was completed on 28 June 2019.

As part of the Group on-going exercise towards streamlining its structure and business segments by disposing and dissolving its non-performing subsidiary/ associate companies, the Group entered into a conditional share sale agreement for the proposed disposal of 60% equity interest in Premier De Muara Sdn. Bhd., for a cash consideration of RM7.2 million. The proposed disposal is pending for shareholders’ approval which the extraordinary general meeting date has been fixed on 10 June 2020.

in the annual report 2019 :). We remained cautious on our business strategies and will continue with cost rationalisation in the short-term to mitigate the pandemic risk. We will also leverage on digital marketing through various social media platforms to create brand awareness and generate more sales.
The Group is also evaluating the structural impact of COVID-19 pandemic may have on its long-term business strategies and portfolio of businesses to decide the next course of action. This may include disposing of non-profitable entity to conserve the Group’s cashflow or to reallocate resources to expand existing promising product lines. We will maintain our focus and adjust our strategies, organisation and people to adapt to the rapid change of business environment.

The Group’s total assets grew by RM156.0 million or 36% from RM433.7 million to RM589.7 million in 31 December 2019 while gearing ratio remained low at 6%. As at 31 December 2019, the shareholders equity of the Company was RM158.8 million. The net asset per share at the end of the current financial year is RM0.39 per share.

prg is a potential entity for share grab later. No substantial shareholder could control the prg now. interesting.
PRG Holdings Bhd’s managing director of its property and construction division Datuk Wee Cheng Kwan ceased to become a substantial shareholder in the furniture company after disposing 14.05 million shares, representing a 3.39% stake on the open market on March 20.
Post disposal, Wee has 12.39 million shares or a 2.98% stake.
Wee first bought a stake in the company in 2013, which was then called Furniweb Industrial Products Bhd, prior to its restructuring.
In July 2019, Wee owned a total of 39.5 million shares, or a 9.51% stake in the company.

Focusing on bread-and-butter developments
Formerly known as Furniweb Industrial Products Bhd, PRG Holdings started out as a manufacturer of accessories and bi-products for the furniture, textile, medical, automotive and food industries. It later included property development and construction as its core business.
The company is divesting its 60% stake in Premier De Muara Sdn Bhd, the JV developer of Picasso Residence, for RM7.2 million. Picasso Residence is a high-rise luxury residential project in Jalan Jelatek, off Jalan Ampang, Kuala Lumpur, comprising 472 units in two 38-storey towers.
A JV project with Almaharta Sdn Bhd on a 60:40 basis, Picasso Residence was launched at prices starting from RM950 psf, with unit built-ups ranging from 1,013 to 2,480 sq ft. As at February 2018, Picasso Residence had a GDV of RM800 million and has achieved a take-up rate of 65%, comprising mostly foreign buyers.
According to Na, the company has entered into a share sale agreement with Liveintent Sdn Bhd for the proposed disposal. Liveintent is a private limited company principally involved in real estate activities with its own or leased properties, business management consultancy services and wholesale of goods. PRG Holdings will be holding an extraordinary general meeting on the disposal in the coming months. At the time of divestment, Picasso Residence was about 35% completed.
“We are of the view that the proposed disposal would enable the company to focus on property development projects other than Picasso Residence, and at the same time, provide the company with the flexibility to reallocate its cash and other resources efficiently among those projects,” Na says via email.
“Our focus now is really on affordable homes, similar to what we are offering at Embayu. [We believe] that’s where the real demand is. We are targeting the mass domestic market with affordable prices at around half a million ringgit, as we strongly believe that affordable properties will continue to be in demand, especially in prime areas in Selangor and Kuala Lumpur,” he says, adding that the company will continue to look for land in strategic areas to add to its land bank or form JVs with landowners for upcoming projects.
“Meanwhile, our [aim] is to get Embayu up and running, and since we have the right product offering, we are very confident that, with all the resources ploughed into this project, it will be delivered [to our buyers] on time and meet their expectations.
“We believe Damansara West will only get more vibrant with young people moving in ... those with a high propensity to spend, including college students. It will be the next growth area,” says Na.

Manufacturer-turned-property developer PRG Holdings Bhd is planning to officially launch Embayu @ Damansara West on April 19. The condominium is located in Seksyen U5 in Shah Alam, Selangor, and has a gross development value (GDV) of RM270 million. It is a joint venture (JV) project between PRG and the land owner, Baycity Park Sdn Bhd.

focusing on property Dev and exit from manufacturing are possible. KUALA LUMPUR (June 17): YNH Property Bhd’s share price climbed as much as 18 sen or 5.63% to hit its all-time high of RM3.58 in the morning session, albeit in thin trades.
The property counter later fell on profit-taking to settle at RM3.19, or down one sen from Tuesday’s close, with 10.27 million shares traded.
Still, it is at its peak following a recent rally that started on June 9. In the period, the counter has gained 18.15% as opposed to the 2.9% decline in the Bursa Malaysia Property Index.
At its last close, YNH Property is the third most expensive stock across Bursa Malaysia in terms of price-to-book value (P/BV) after its sister company Rapid Synergy Bhd and HCK Capital Group Bhd (see chart).

YNH Property, controlled by non-executive director Datuk Dr Yu Kuan Chon with a 32.58% interest, last saw its shares trade at 1.45 times P/BV against net book value of RM2.20 per share.
Rapid Synergy, which has Yu as the common shareholder with 29.44% control over the company, trades at a hefty P/BV of 3.42 times based on its last close of RM5.68 and net book value of RM1.37 per share.
Meanwhile, HCK Capital, whose shares settled at RM1.21, traded at P/BV of 2.45 times, against net book value of 49 sen per share. The company is controlled by Sarawakian tycoon Tan Sri Clement Hii whose 63.36% stake is held via Hiichiikok Equities Sdn Bhd.
The valuations are much higher than the P/BV ratio of 0.38 times fetched by the Bursa Malaysia Property Index, which tracks 94 property stocks across the local bourse.
YNH, which developed a township in its home state Perak, has always boasted that it has interesting assets yet to be capitalised such as a 95-acre plot in Genting Highlands and a three-acre parcel on Jalan Sultan Ismail near the Petronas Twin Towers.
YNH expressed plans to launch two high-rise projects this year with gross development value of RM700 million each in a parcel in Genting Highlands, as well as in Dutamas. That was, however, before COVID-19 hit and disrupted the supply chain.
The group is set to release its first quarter ended March 31, 2020 (1QFY20) results by the end of this month.
For the financial year ended Dec 31, 2019 (FY19), YNH's net profit jumped 170% to RM42.17 million from RM15.61 million, thanks to lower cost of sales amid recognition of balance of profit for the completion of Sfera Residensi in Puchong, and profit contribution from the Kiara 163 project in Kuala Lumpur. Full-year revenue slid 1.32% to RM349.33 million from RM354.02 million.
The results leave YNH shares at a trailing 12-month price-to-earnings ratio of 40 times, as opposed to 200 times PER for Rapid Synergy and 66 times in HCK Capital.

probably the substantial shareholders takda duit now, very likely when they have money , they will enter the open market to sapu more shares to control the company. that's why other substantial shareholders blocked the debt settlement with Mr lua using shares valued at ~18sen during the EGM recently. :). 30% free float in the open market

FURNIWEB HOLDINGS LIMITED
Loss for the Financial Year The loss for the Financial Year amounted to approximately RM50.8 million (2018: profit of RM0.9 million), representing a decrease of approximately RM51.7 million as compared to 2018. The loss incurred was mainly due to (i) impairment losses amounted to approximately RM43.3 million on goodwill, assets held for sale and interest on associate; (ii) loss of approximately RM7.7 million from the Retail Division which was still at the start-up stage; (iii) fair value change of profit guarantee amounted to approximately RM2.6 million; and (iv) the one-off professional fees for the Acquisition of approximately RM1.5 million during the Financial Year.
However, the overall decrease in profit was partially offset by the profit contributed by the PVC Subsidiaries. Setting aside the loss incurred by the Retail Division, one-off impairment losses and fair value change of profit guarantee, professional fees and corporate expenses, the Manufacturing Division made a profit of approximately RM7.1 million (2018: RM3.0 million) for the Financial Year.

I want to see thorough clean up for prg this year. prg was formerly known as furniweb , a profitable and dividend paying company.
after new Mgmt plus new substantial shareholders, a lot of shitty deals caused the company losing money since 2018.
hope for a clean up now onwards :p
