Crescendo proposes three-to-one share split

KUALA LUMPUR (July 22): Crescendo Corp Bhd (KL:CRESNDO) has proposed the subdivision of every one of its shares into three shares to improve the trading liquidity of the property developer's shares.

As of July 3, the issued share capital of Crescendo was 280.46 million including 1.04 million treasury shares, the company bourse filing showed. Upon completion of the share split, the total number of issued shares will be enlarged to 841.39 million, the company said in a bourse filing on Monday.

Based on the last transacted market price of Crescendo share on July 3 of RM3.63, the theoretical adjusted reference share price per subdivided share upon the completion of share split will be RM1.21, the company said.

Crescendo has also proposed the establishment of an executive share option scheme of up to 10% of its share at any point in time within the five-year of its enforcement period.
The two proposals are expected to be completed by the second half of 2024, with UOB Kay Hian appointed as principal adviser.

Shares in Crescendo have gained by as much as RM1.33 or 55.63% since March 15, on the back of land disposals by the company in Pulai, Johor to data centre operators. The stock charted a historical high of RM3.95 on June 12. Year to date, the counter has gained RM1.28 or 52.24%.
At Monday’s close, the counter ended nine sen or 2.36% lower at RM3.73, valuing the company at RM1.04 billion.

Crescendo’s net profit for its first quarter ended April 30, 2024 rose by 22 times year-on-year to a record RM389.03 million, boosted by said land sales in Johor, totalling RM219 million. Revenue rocketed to RM527.28 million from RM58.34 million, driven by its property development and construction division.

Theta Edge Berhad (KLSE:THETA) Full Year 2023 Results

Key Financial Results

Revenue: RM144.0m (up 53% from FY 2022).

Net income: RM9.58m (up 26% from FY 2022).

Profit margin: 6.6% (down from 8.1% in FY 2022). The decrease in margin was driven by higher expenses.

EPS: RM0.081 (up from RM0.065 in FY 2022).

This acquisition of PXH is set to boost BMG's growth and earnings potential.

BM Greentech has signed a term sheet with the shareholders of solar firm Plus Xnergy Holding Sdn Bhd (PXH) to acquire the company for RM110 million, to be paid with new shares in BMG.

The vendors of PXH group have provided an accumulated profit guarantee of not less than RM44.0 million during and for the entire period of four years.

The purchase consideration will be paid through issuance of 81.48 million new shares in BMG at RM1.35 per share.

BMG plans to issue new BMG shares at RM1.35 a piece to its direct holding company, QL Green Resources Sdn Bhd, a subsidiary of QL Resources Bhd with the aim to maintain QL's shareholdings in BMG above 50 per cent of the equity interest in BMG.

"The term sheet demonstrates BMG's long-term commitment to its vision to be the regional partner of choice for innovative and cost-effective green energy and water solutions which achieve lasting sustainability. "As the regional leader in biomass energy solutions provider and an emerging rooftop solar photovoltaic company, the proposed acquisition will strengthen BMG's position as the leader in diversified clean energy solutions provider in the region," the company said.

The board also expects that the proposed acquisition will foster a synergistic partnership between BMG and Plus Xnergy and is envisaged to drive mutual growth of both groups of companies moving forward.

BMG will also inject additional equity funding of up to RM50 million to fund the PXH Group's business growth and expansion.

UUE Holdings gets RM27m underground cable contracts

KUALA LUMPUR (July 15): UUE Holdings Bhd (KL:UUE), an underground utilities engineering company, said on Monday it has secured two contracts worth RM26.93 million.

Both contracts involve installation, testing and commissioning of 11-kilovolt underground cables and accessories, UUE said in an exchange filing. UUE will have 730 days from the starting date to be informed later with an option to extend the contract period for another 365 days, the company noted.
“The contracts are expected to contribute positively to the earnings and net assets per share of the company over the duration of the contracts, upon commencement of the contracts,” UUE said.

REDtone Digital Bhd has acquired a total of 8.4 million shares, representing a 7.12% stake in Theta Edge, from the open market.

This makes REDtone the fourth-largest shareholder in Theta Edge, after Lembaga Tabung Haji which holds a 27.28% stake, Threadstone Capital Sdn Bhd (13.56% stake) and Inter Pacific (9.4%).

Please read the quarter report carefully, QR +1.2m due to one off -5 mil for the listing expenses, if not the QR will be +6.2m

UUE has superior margins than peers.

Excluding listing expenses, UUE’s recent PAT margins are trending around 15-16%, which is far superior to listed peers such as MN Holdings (6-7%) and Jati Tinggi Group (3-4%).

This is mainly due to two key differentiating factors, which are:

1) UUE mainly specialises and focuses on the trenchless HDD method, which offers better margins.

2) The group has its own HDPE pipe manufacturing, which complements its main business.

Theta Edge is also understood to have been shortlisted for the National Immigration Information
System or NIISe project, alongside Dagang Nexchange Bhd (DNeX) (KL:DNEX), The Edge Malaysia weekly reported on May 27-June 2, 2024 edition.

The NIISe project involves the integration of data from 13 modules of the existing border control system, including the foreign workers segment, advanced passenger screening system, facial and fingerprint biometrics, professional visit passes, passports and travel documents.

The company's largest shareholder is Lembaga Tabung Haji with a 27.28% stake, followed by Threadstone Capital Sdn Bhd with 13.56%. Threadstone Capital is owned by Zainal Abidin Jalil, a former substantial shareholder of DNeX.

Investment Merits- Powerwell

1-Strong business relationship with Siemens and Schneider. Besides manufacturing its own brand “Powerwell”, it does third-party brand manufacturing for Siemens (LV switchboards and MV switch gears), a leading supplier of systems for power generation and transmission, and Schneider Malaysia (LV switchboards), the Malaysian arm to Germany conglomerate Schneider Electric that specializes in electrical equipment.

2-Decent orderbook for 1-2 years. YTD, their orderbook is c.RM70m, with a tenderbook of more than c.RM280m. Also, according to the management approximately 80% is data center, 10-15% is manufacturing while the rest is from infrastructure projects.

3-Healthy balance sheet. As at 3Q24, Powerwell’s net cash stood at RM63.8m, translating to net cash per share of 11.0 sen (c.27% of share price).
Dividends. Since listing in year 2020, Powerwell has started paying dividends in FY24 (twice). Also, we noticed the latest dividend is 2nd interim, which mean there will be a final dividend to be declared down the road that may translate to a dividend yield of more than 5% and decently attractive for long term investors.

4-Eligibility for Main Market transfer. Based on the current earnings trends, we believe Powerwell’s will be surpassing the threshold for the transfer to main market listing requirement and this is likely to be the next catalyst moving forward.

5-One-stop solutions. Powerwell intends to provide high-voltage products, besides the low and mid voltage products to provide a one-stop solutions service for contractors.

UUE venturing into lucrative subsea HDD.

The extension of services into subsea HDD following the planned acquisition of a Maxi rig HDD machine (MYR7m) enables the group to offer more comprehensive service packages. Such diversification should enable UUE to win higher-value projects (with better margins amidst higher specialisation) and attract a broader range of clients, such as those in the water and O&G industries.

Theta Edge appoints new chairman

Theta Edge also announced the appointment of former secretary general in the Ministry of International Trade and Industry Tan Sri Abd Rahman Mamat as its new chairman of the board, taking over from Tengku Datuk Seri Hasmuddin Tengku Othman, who has held the position since Nov 29, 2021.
Abd Rahman also sits on the board of MBSB Bhd (KL:MBSB), Lotte Chemical Titan Holding Bhd (KL:LCTITAN), MCE Holdings Bhd (KL:MCEHLDG), and ECA Integrated Solution Bhd (KL:ECA).
Besides Abd Rahman, Theta Edge also appointed Datuk Dyg Sadiah Abg Bohan as a non-independent non-executive director of the board.
"These appointments are part of the efforts to drive the group's business in response to changing economic conditions with fresh new ideas," the company said in a statement.
"Theta firmly believes that this decision marks a significant milestone in Malaysia's digital journey and will provide the necessary focus, drive, expertise and support to help accelerate the nation's digital transformation," it added.
