BP Plastic has reported a strong growth for both its top and bottom line. The growth seems won't stop here since the new machine just started contributing from 4th Qtr 2015. In addition, another new 3-metre Cast Stretch Film machine chip in final Qtr 2016 which would add extra 13% of its existing capacity.

Is it the waste management plant so powerful that contributing the great reduction of material costs by mixing DMMA with MMA in the production of cast acrylic sheets?

KUALA LUMPUR: Asia Poly Holdings Bhd has proposed a rights issue and a special bumiputra issue with the aim of raising funds to retire part of its borrowings and to set up a waste management plant, as well as complying with the bumiputra equity requirement.

In a filing with Bursa Malaysia, the cast acrylic sheet manufacturer proposed a two-call 2-for-1 rights issue along with free detachable warrants on a 1-for-3 basis.

The ACE Market company, whose share price has more than tripled since the year started, also proposed a special issue of up to 15% of its enlarged issued and paid-up capital to bumiputra investors to be recognised by the International Trade and Industry Ministry.

The proposed exercise, among others, allows the company to raise capital without incurring interest costs, issue new Asia Poly shares without diluting the existing shareholders’ equity interest, and adhere to the 12.5% bumiputra equity requirement.

The issue price of 10 sen per rights share will be payable in two calls - first call of 5 sen per rights share to be payable in full on application and second call of 5 sen per rights share to be payable via capitalisation of the share premium and retained earnings of the company. Entitled shareholders won’t have to fork out more cash after paying for the first call.

The warrants, meanwhile, will have an exercise price of 10 sen per warrant.

On the proposed special bumiputra issue, Asia Poly noted that the Securities Commission, in a letter dated April 23, had given it 18 months (by Oct 22) to meet the 12.5% bumiputra equity requirement. As at Dec 12, 2014, bumiputra investors held only 0.63% equity interest in the company.

Based on the first call of 5 sen per rights share and an assumed issue price of 22.5 sen per bumiputra share, Asia Poly expects the exercise to raise total gross proceeds of between RM14.8mil and RM17.69mil.

Of the proceeds, it plans to use RM8.9mil to RM11.8mil to repay bank borrowings, RM3mil to set up a waste management plant and RM2mil for working capital.

Asia Poly said the group had total bank borrowings of about RM18.45mil as at July 15. At the prevailing interest rate of the group of about 4.75% per year, it expects interest savings of about RM0.56mil per annum as the result of repaying the bank borrowings.

On the waste management plant, Asia Poly, which operates a factory in Klang, said the plant would allow it to break down and depolymerise the scraps/strips from polymer units to monomer units which are known as depolymerised methyl methacrylate monomer (DMMA).

“The DMMA will have an average purity of 96% to 98% and can be used in the group’s own production of cast acrylic sheets, where the DMMA can be mixed with MMA to produce new cast acrylic sheets,” it said.

The cost of DMMA is cheaper than MMA by 20% to 30%. By mixing DMMA with MMA in the production of cast acrylic sheets, the Asia Poly group will be able to reduce the total cost of raw materials and thus improve its gross profit margin.

It said the waste management plant would have a production capacity of up to 100 tonnes per month, which will be able to handle the recovery of 40 tonnes of scraps/strips per month.

Asia Poly shares have surged more than 40% since mid-June, and earlier this week reached the highest closing price (76.5 sen) in years. The counter closed unchanged at 75 sen on Thursday.

PUCHONG: Solution Engineering Holdings Bhd expects to register a huge jump in earnings to over RM6 million for the financial year ending Dec 31, 2015 based on an internal revenue projection of RM42 million.

According to its managing director Lim Yong Hew, the profit growth will be driven by increased sales, as it is confident it will bag RM30 million worth of contracts in the second half of the year.

"This would bring our total order book to RM50 million by then," he told SunBiz in a recent interview.

For the financial year ended December 31, 2014, Solution Engineering saw a five fold surge in net profit to RM3.66 million compared with RM740,000 a year before.

Solution Engineering is involved in engineering equipment, lubricants, automation and biotechnology segments.

Last year, the engineering equipment division, which provides technical training equipment to the education industry, contributed 80% to the group's top line.

Lim said the group is looking to form strategic partnerships with government agencies in a bid to grab more opportunities within the engineering equipment business.

Solution Engineering also has plans to increase contribution from overseas markets which currently make up 15% to 20% of the group's revenue.

Lim hopes to increase it to at least 50% in the next few years.

The company has a presence in Southeast Asia, Bangladesh, Pakistan, the Middle East and Africa, covering 35 countries. The Middle East and Africa are deemed as the most promising overseas markets.

Over the longer term, Lim said the group has plans to venture into North and South America.

"We've to cover the whole world, but we've to identify the right partners and agents," he noted.

Going forward, Lim said the group is committed to improving its research and development (R&D) capability to come out with new products as well as increasing production capacity and facility.

Last year the group registered a lower net profit margin of 10%, due to the employees' share option scheme (ESOS) cost.

"Quite a number of our projects have a gross margin of 40% to 50%, but after deducting the operating expenditure, tax and finance charges, then it comes out to be around 15% before incurring the ESOS cost," Lim said.

The group is also looking at potential acquisitions, but nothing has materialised as yet.

"We've been approached by foreign companies, but that was out of our affordability range. It's still at preliminary stage, but we've initiated the discussion," he said.

Lim is hoping that the group could embark on one or two acquisitions, in its quest to move to the main board.

"We hope to have one in electrical and electronic, one in mechatronic, so this would complement our existing product range. But we (won't pressure ourselves), the acquisitions must be synergistic to the current business," he added.

Lim said the company's new 35,000 sq ft workshop will be operational by 2016 as construction work on it will begin soon. Partial funding for the workshop has been secured, with land and construction cost to range between RM10 million and RM15 million.

"We'll relocate our operation here (Puchong) to the new workshop upon completion," he noted.

With the new plant, Lim said the group's production capacity will more than double with full utilisation rate.

On challenges, he pointed out that Malaysian products are not widely accepted due to some perception issues, hence it may take some time to change the market mindset. "We position ourselves as a mid-range player, not too high end," he added.
