Some call warrants are maturing this month. One issued by Maybank IB of 100m units with Exercise Price of 1.38 and one issued by RHB IB of 35m with EP of 1.15. It would be in their interest to press down the price of MyEG so that they do not have to make hefty payouts to CWs holders. Just a thought.

Don't see any smoke around but some dark clouds drifted by at end of day.

First 3 Qtrs results are fine, all up YoY and QoQ this year, inspite of Covid-19 disruption. Besides in the past few days, the eGovernment Services contract has been extended for another 3 years and the vaccine deal signed with Anhui Zhifei Biopharmaceutical Co Ltd happened. These are going to contribute positively to FY21.

BERJAYA CORPORATION BERHAD INKS FRAMEWORK AGREEMENT WITH
CHINA SPORTS LOTTERY HKJC INFOTECH (BEIJING) CO., LTD. FOR
MUTUAL COOPERATION IN LOTTERY OPERATIONS

Kuala Lumpur - Berjaya Corporation Berhad ("BCorp") and China Sports Lottery HKJCINFOTECH (Beijing) Co., Ltd. ("CSLJC") today signed a Cooperation Framework Agreement (“Framework Agreement”) to cooperate on lottery management, business development and technical and market solutions to further expand the areas of cooperation and explore opportunities to jointly develop the third-party lottery market under a responsible gaming framework.

The Framework Agreement will be for an initial five-year term commencing from 26 August 2020, subject to renewal.

Stemming from the “Belt & Road" Initiative, this bilateral cooperation aims to further enhance the technical and business management capabilities of BCorp and its subsidiaries in lottery operations, enrich its lottery product offerings, study opportunities for expanding into the third party lottery market, and promote the rapid and healthy development of the lottery business on the basis of mutual respect, trust, and friendly consultation with CSLJC to broaden business cooperation for common growth and development.

CSLJC is a Sino-foreign cooperative joint venture established by China Sports Lottery Technology Development Co., Ltd. and HKJC Business Ventures (China) Limited, a business unit of the Hong Kong Jockey Club. As the core technical service provider of sports lottery in Mainland China, CSLJC provides customers with technical services on various types of lottery product design and development, operation and promotion, technical architecture design, core trading system research and development, testing and operation services and lottery omni-channel construction, based on WLA-SCS and ISO20000 certification system standards providing safe, stable and professional system integration services.

Commenting on the signing, BCorp Executive Chairman Tan Sri Dato' Seri Vincent Tan said, "This Framework Agreement is the result of constructive engagement and negotiations between BCorp and CSLJC following their successful experience-sharing and training in 2018 and 2019 on mobile phone and internet lottery distribution channels and lottery development as encouraged by the “Belt & Road” Initiative in China and Hong Kong.

Through this collaboration with CSLJC, the BCorp Group will be able to leverage on the expertise and experience from CSLJC to further enhance our existing lottery business as well as explore fresh opportunities in the lottery and gaming industry in new regions," Tan Sri added.

Stockraider, you are right, my thinking got muddled up. Crossing the 90% line by VT will, instead, render BJLand's public spread falling below the 10% minimum level and result in trading suspension. This would not be in tune with VT's grand plans going by what he had outlined in the news days before Christmas in 2018. Even 90% they cannot compulsory acquired mah, but they can threaten delisting of bland share mah, sending many shivers that more minority shareholders willing to sell mah....!!

It makes sense that BJLand continues shares buyback, for a song as the present market price is, to hold as Treasury Shares.

By the time the treasury shares reach a little over 5.1% of the outstanding number of shares issued, BJCorp's percentage of shareholdings of BJLand will reach 90% to trigger off a Compulsory Acquisition, without having to buy a single extra share over what they already own.

Current Treasury Shares in BJLand stand at just under 1.623%.

In the event that BJLand is delisted from KLSE and becomes a takeover target after that, the rules on Corporate Take-overs or Compulsory Acquisition will still apply.

Therefore you won't be 'slaughtered'. Moreover, VT has turned vegetarian, become a disciple of Tzu Chi Foundation and therefore embracing the teachings of Buddha. That should mean something at the least, no?

I feel VT will make his necessary moves and declare control of more than 90% of all the outstanding shares when he is ready leading to suspension of trading and sit on it for the BJLand to be delisted. Then he will make a reasonable offer that you won't refuse. A nicer scenario could be a reasonable offer after suspension of trading but not waiting for delisting. A reasonable offer being not less than 38c a share.

As at 1 Oct 2019, both Penta and Macquarie were not among the top 30 largest shareholders according to the 2019AR. I can only imagine that perhaps the 488 million shares that may be in the hands of foreign funds at one time earlier this year could be in the hands of shareholders friendly to VT now.

As at 18 July 2018, the following holdings were known to be in foreign hands being part of the top 30 shareholders indicated in AR2018;
1) Penta 223,773,096
2) Macquarie 246,000,000
3) Goldman Sachs 129,404,924
4) Credit Suisse 48,050,000
Total 647,228,000

There may be more unpublicised foreign accounts holding BJLand shares in the list of shareholders.


Based on relevant KLSE records since 18 July 2018, the same foreign funds may still be holding the following amounts of BJLand shares;
1) Penta 166,185,989 announced 05.05.2019
2) Macquarie 144,415,368 sold 101,584,632 to Penta on 18.01.19
3) Goldman Sachs 129,404,924
4) Credit Suisse 48,050,000
Total 488,056,281 (9.801% of NOSH)

The actual figures may be vastly different to those shown above since all the four stakeholders are not substantial shareholders for quite a while already and are not required to announce their subsequent acquisitions or disposals.

It is hard to fathom why and how any regular fund would be invested in a stock like BJLand because of funds' usual strict charters. I can only surmise that these accounts holders are friendly parties to VT.

The privatisation of BJLand is only the precursor of the real show that will unfold in the next restructuring of VT's empire. Make sure you place your bet on the potential monster multi-bagger in BJCorp after a successful wrapup of BJLand. Don't miss the main event.

VT directly owns 1.8% of BJLand and 21.8% of BJCorp respectively, so you can see where his efforts will be concentrated in. Cheaply acquired assets will end up with the later.

I believe the whole enlarged Berjaya Corp organisation will be revamped involving possibly breaking up, streamlining, and regrouping into several separate listed entities which are easier to read and appraise by the market. The murkiness in the reporting of the current setup will clear up as the reports of the new streamlined businesses will be more simplified and transparent as a result. Their values will be enhanced as well due to improved clarity.

This transformation will therefore be the key to unlocking the latent wealth in BJCorp.

ie. Issued Shares 5,000,326,000
Treasury Shares 20,699,000
ie. Outstanding Shares 4,979,627,000

Shares directly and indirectly held by VT totalled 4,241,586,872 as 7th Aug 2019.

Therefore VT's percentage shareholding in BJLand is 85.1788% as of last night.

Ok, I agree that the effective date to be used should be the date the transacted was made as recorded by KLSE and that being 5th Mar 2019 implies it stays relevant until 4th Sep 2019. When the SSA becomes binding doesn't matter in this situation.

Actually the conditional sale agreement for Penta to sell to BJLand shares to BJCorp was 30 Jan 2019.

However the actual completion date of share swap of BJLand shares by Penta & BJCorp was only completed on 6 March 2019.

Therefore the 38 sens share swap offer by BJCorp for Penta's BJLand shares still stands until 6 Sept. 2019 (6 Mths). Anybody can counter verify at link below...

Had VT launched a GO a few days ago, the Penta deal would have had a bearing on the new offer.

The privatisation exercise appears to be in the works with all the repositioning moves. The only problem is it's unconfirmed and the market can only speculate wildly about the details.

Since the SSA was dated 31 Jan 2019, it's already past the 180 days period that BJCorp would have been bound to offer at least the same Penta deal to minority shareholders of BJLand should and when the company make a General Offer to wrap up all BJLand shares. The new reference price is 16 sen unless there are new purchases made by BJCorp and PACs at higher prices or considerations later and before a General Offer is made.

VT had his Murphy's Law moment or rather period. A number of things have encountered serious hiccups. Vietnam projects, GMOC, Jeju Island, Selangor Turf Club, Ascot Sports internet gaming licence just naming off the cuff.

However, he is not out of business yet, is he? By the look, almost all the cows are coming home, especially the fat ones.

I look ahead to make a lot more with BJCorp, the main course, later. BJLand is only the entree.

VT said the re-packaging of several hotels under BJLand for listing on SGX needs to be carried out before the privatisation exercise. In the meantime, the revaluation of the hotels, small details discussion and ironing out with relevant minority shareholders, etc etc, presumely are also happening, not to waste time.

Upside from today's close to the nominal 38c benchmark, a perceived offer price starter, is 61.7%, a whooper by any measure. Most of our average prices are higher than the present level but there is still opportunity to average down or accumulate more.
