@ktsk88, the news rpt didn't sound like an outright purchase of P1. It is more of buying a controlling stake. If that's true, we may not get special dividend but I do hope I'm wrong. Because that would be more of a private placement since it talked about dilution of P1 shareholding for existing shareholders (not GP).

Assuming that TM is buying GP's P1 stake for RM1.5B...

P1 stake sale : RM1.5B
GP bank borrowings (as of Dec 2013) : RM0.221B
Nett of debt : RM1.279B
Total outstanding GP shares : 690.4M
Total outstanding GP-WA : 197.6M

Net cash/share to GP (non-diluted) => RM1.279B/690.4M = ~RM1.85/GP share

-OR-

Net cash/share to GP (fully diluted) => RM1.279/888M = ~RM1.44/GP share

This means, GP gets ~RM1.85/share if no GP-WA converted and ~RM1.44 if all GP-WA converted to new GP shares. You're welcome to check the numbers and calculations.

Puncak gains RM3.78/share net of liabilities. So, yes no reason to sell off unless margin/contra players.

Even if worst case scenario, Puncak goes for arbitration, the min. is still this original offer. If arbitration decides worth more, then Puncak stands to gain more. So, where's the disconnect?? There's none.

Don't wonder too much. Mkt is inefficient. It's rojak of all human behavior.

Even if offer remains the same...Puncak still stand to pocket a huge sum of cash per share. I don't see why the concerns. If worried then just stay away.

@crownford_bl, the price came down again because there's no offer yet to the concessionaires...only an MOU between both gov'ts. However, it is still a step fwd compared to all the false starts previously.

@upsidedown119, shareholders won't get the entire RM13.60 because S'gor gov't offer of 5.6b has an equity & liability portions. Only the equity portion is cash payable to Puncak, i.e. about RM2.80/share.

upsidedown119, there is not enough info to calculate that. Even if there is a RM4b top-up, it may not all go to Puncak.
