Friends.

1. You better find more information about this issue. Better get true information based on what happened recently to the company after the company triggered with MUGC (GN3/PN17 listed issuer) but has been given relief.

Officially, currently Nexgram is not in the list of GN3 listed issuer company because it has given the relief by BURSA. The issues related to the MUGC which was triggered on Nexgram can be

2. Based on the 3Q 2021 report, Nexgram's shareholder equity on consolidated basis of its shares excluding treasury shares

= (RM121,482,625 ÷ 215,119,923) x 100%

= 56.47 %

Conclusion:

3QR on 2QR, shareholder's equity of its shares increased from 51.23% in the last 2QR 2021 report to 56.47%.

3. Nexgram won’t be listed as GN3 issuers because:

a. The capital reduction has been approved and be executed. Its can helps to clear off the accumulated losses in the companys account, and the company will record the small accumulated profit in the company’s account.

b. Nexgram's shareholders equity on consolidated basis of its shares (excluding treasury shares)
in 3QR 2021 was getting better, already at 56.27%.

c. There is no more new MUGC triggered in FY 2020 up to today because its shareholders equity on consolidated basis of its shares (excluding treasury shares) has surpassed the 50% figure.

@wistlebower99. I invested in this company started from few years ago. I agree with you about the past records of the company which always in red started from FY 2016 up to FY 2020. Before that the company's FY was profitable.

But started from 2QR 2021 of FY 2021, there are some improvement has been reported in term of revenue and profitability of the company. Also it shareholder equity on consolidated basis of its shares excluding treasury shares has been improved @ above 50%. A great achievement for the company in turning around its FA conditions. All these improvement almost because of its new busineses related to healthcare / medical.

Kita mungkin boleh perhatikan kebanyakan syarikat yang buat consolidation ialah apabila syarikat mengalami kerugian terkumpul yang banyak selain daripada NOSH yang besar. Banyak syarikat yang mempunyai masalah kerugian terkumpul yang besar akan buat capital reduction bersama-sama dengan proses consolidation.

Dan biasanya, syarikat yang mempunyai BOD yang hanya memiliki peratus saham yang sedikit biasanya suka buat consolidation. Ini kerana kesan negatif consolidation banyak ditanggung oleh pelabur runcit berbanding pemegang saham insider.

NOSH yang besar bukan jadi sebab mewajibkan sesebuah syarikat membuat consolidation. Kecualilah:

1. Keadaan kewangan syarikat amat memerlukan consolidation dibuat, contohnya dalam keadaan kerugian terkumpul yang banyak dalam kunci kira-kira.

2. Atau ada UDANG DISEBALIK BATU dalam kalangan pengurusan sesebuah syarikat tertentu.

JIKA NOSH besar, keadaan kewangan okay, harga saham pun OKAY, syarikat tersebut rasanya tak perlu buat consolidation. LIHAT SAJA CONTOH MY E.G. Bukannya nak buat consolidation tetapi menambahkan lagi jumlah NOSH syarikat sampai 8 bilion unit melalui Bonus Issue.

KAJIAN KES MELIBATKAN NEXGRAM:
1. Nexgram telah melaksanakan capital reduction dan ianya akan secara rasmi diambil kira ke dalam akaun bagi 4QR 2021. Semua kerugian terkumpul akan di offsett dengan perolehan capital reduction dan kunci kira-kira akan mula menunjukkan baki retained earning bermula dalam akaun 4QR 2021.
2. Berlaku perubahan struktur pemegangan saham dalam Nexgram. Pemegang saham dari kalangan BOD telah bertambah, contohnya Hj Mazru telah pegang kepentingan 7% dan ianya mungkin akan ditingkatkan sehingga 25% kepentingan saham.

Kesimpulan: Atas dasar tiada lagi masalah kerugian terkumpul yang besar dalam syarikat dan kepentingan saham yang dipegang dari kalangan insider syarikat adalah besar, maka saya rasa kemungkinan syarikat untuk membuat consolidation adalah lebih rendah.

Nota sebagai rujukan.

Capital reduction = Kurangkan modal saham, kesannya mungkin mempengaruhi par value saham. Boleh dilaksanakan untuk syarikat yang mempunyai keuntungan terkumpul atau pun kerugian terkumpul.

Consolidation = Kumpulkan beberapa unit saham sedia ada menjadi satu unit saham. Contoh 10 saham dikumpulkan menjadi satu saham. Boleh juga dibuat untuk syarikat yang mengalami keuntungan dan syarikat yang mengalami kerugian terkumpul yang banyak. tetapi consolidation lebih biasa dibuat untuk syarikat yang mengalami kerugian.

It's true. I stuck in this company for years already. I am sticking to hold the shares as I still have a piece of hopes on the company. By the way, I 'm NOT blindly made that decision without any effort to do some research on the company's development into the positive condition.

Thanks MZM2511 for the sharing. I fully support the fact and research analysis that you are sharing here with newbies and oldbies.

As an investor, we look forward for this stock to skyrocket to its actual value with so many good things put in the pipeline.

I personally foresee the price is too much undervalue and will fly anytime. I am looking forward to its Q4/2021 result.

To newbies, for stock selection, use your analytical analysis to choose the right stock based on fact and some technical know-how and not listening to bad-mouthing day-and-night non-stop like "Tin Kosong".

MZM, can tell why the directors has the privilege of "Conversion of Irredeemable Convertible Preference Shares"

Why is the preference share not listed ?

@whistlebower99. It's been given to a director which is BOD Tn Hj Mazru, and two other ICPS receipients are Ozura and Capital Day (2which are not the BOD but the trade creditors). Three of them were the creditors of Nexgram at that time.

The company at that time have difficulty to pay for the debt owed from the creditors because the company in financial stress (in FY 2019), therefore the company settled the amount owing to them by offering them a big amount off ICPS.

The big quantity of ICPS offered to them was influenced by the low price of Nexgram shares at that time. For your information the price of Nexgram's share was around 0.5 sen - 1.0 sen (End of 2018 - July 2020).

it's a real azab what when this Cap Ayam Nexgram from 16 sen collapsed 8 sen then 6 sen to 4 sen now 2 sen

meaning dah me- LIMKOP {( 16 -2 )/( 16 } = 87.5 % dari 16 sen

Betol2 azab beb - dana anda from RM 100 ,000 dah jadi CIPUT RM 12,500

Kalau terjerat dari 8 sen , now dah Jadi 2 sen , then camno ? ,,,- dah LEBORR 75 %
maknanya Beb dana anda RM 100,000 dah tinggal RM25K , dah HANGUSSS RM 75K
