Shareholding in JVCo:

i. PHB will hold 49% in the share capital in JVCo; and
ii. WRP will hold 51% in the share capital in JVCo.

Contribution to the JVCo:

i. PHB shall provide a cash contribution of up to RM100,000,000.00,
subject to the approval of the shareholders of PHB; and
ii. WRP shall provide assets contribution worth up to RM105,000,000.00,
subject to the approval of the Board of WRP.

As mentioned in Section 3 of this announcement, WRP is principally involved in manufacturing
and marketing of disposable medical, industrial and other specialty gloves, urological catheters
and other related products and services. WRP has a worldwide coverage in every key market
sector through their regional offices in Europe, United States of America and South America.

Barring any unforeseen circumstances, pursuant to the Proposed Joint Venture, PHB's new
business activities in the Gloves Business may contribute 25% or more of the net profits of PHB
Group and/ or result in a diversion of more than 25% of the NA of PHB Group moving forward.
As such, PHB is required to seek the approval from its shareholders for the proposed
diversification of the existing principal activities of PHB Group to include the Gloves Business
pursuant to Paragraph 10.13(1) of the Main Market Listing Requirements of Bursa Malaysia
Securities Berhad ("Listing Requirements") ("Proposed Diversification"). Further details on
the Proposed Diversification will be announced concurrently with the Proposed Joint Venture,
upon the signing of the Definitive Agreement in relation to the Proposed Joint Venture.
