SAUDEE GROUP BERHAD ("SAUDEE" OR "THE COMPANY") - PROPOSED ACQUISTION OF PROPERTY BY PERUSAHAAN SAUDEE SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF THE COMPANY

Saudee Group Berhad (“SAUDEE” or the “Company”) is pleased to announce that its wholly owned subsidiary, Perusahaan Saudee Sdn. Bhd. has on 17 December 2021 entered into a Sale and Purchase Agreement (“Agreement”) with Stocks N Options Sdn. Bhd. [Company No. 200301024491 (626911-H)] for purchase of one unit of four and a half storey shoplot as further defined in Section 4 of this announcement, for a total purchase consideration of Ringgit Malaysia Seven Million and Three Hundred Thousand (RM7,300,000.00) only, upon the terms and conditions as stipulated in the Agreement (“Proposed Acquisition of Property”).

RATIONALE FOR THE PROPOSED ACQUISITION OF PROPERTY

The Company intends to venture downstream into the food and beverage sector. In this
connection, the Company intends to use the Property as a Saudee concept store to create
brand awareness and reinforce the brand positioning of its products through marketing and
advertisement.

With the concept store, the Company will have an outlet to introduce and promote new products of the Saudee Group as well as for marketing activities as to increase its sales revenue through retail sales from the outlet.

BASIS AND JUSTIFICATION IN ARRIVING AT THE PURCHASE PRICE

The Purchase Price is based on the arm-length transaction with a series of negotiation with
the Vendor. The price is at willing buyer and willing seller based on the average advertised
market value of properties nearby the Property. The average advertised market price of
property in the surrounding area is about RM1,480 per square feet compared to the Property
purchased by the Company which is valued at RM1,235 per square feet.
