Come come, Any dip is a buy ... hehehe , it's an no-brainer business with guarenteed 150m earnings over 3 years from the acquired company, with the basic 15m profit per year.
It will be 65m per year. With consideration of enlarged sharepool 371m , EPS will attained 17.1c per year..
The EPS of 17.1c is a "95% guaranteed" profit .... not to mention the bonus $$ from the property development kicks in ..
Mean any short fall of profit within the time period of 3 Years the guarantor will paid right after the end of 3 year .. Doesnt mean only get the guaranteed 150 m profit after 3 years .. From the day completed the acquisition will start generate income from the target company d :)
Of course only if the company doesn't generate any income from the ongoing project in the first 2 years then need to wait for the third years to see how the company doing by then or claim from the guarantor at the end of the period lo .... The guarantor guarantees 150m profit , for the next 3 years.
It means if the Kerjaya Prospek - the vehicle that they going to inject in , unable to attain a total profit of 150m , the guarantor will pay up the remaining sum of money as compensation.
If the Kerjaya Prospek attained 150m profit and above, then the guarantor will pay nothing. So we are very very very fair to consider that 150m is already in our hands.
For conversion , 150m divided by 371m share, that will be around 40c profit already in hand. This is shown in 1.13 , the day before announcement. Rally up to current price.
1.13 + 0.40 = 1.53 , at least.
Any price fall below 1.53, is an ABSOLUTE undervalue.

Thank you ccs999, KPSB is family owned by controlling shareholder Datuk Tee, and proposed acquisition for 380 million via issuance of 280M new shares and has an order book of approximately RM2.3 B.

The highlights : (1) KPSB has no debt with orderbook of 2.3b. (2) Issuance of 280M share at price of RM 1.14
The most important stuff :
(3) Profit guarentee of 150m for 3 years. - Dato Tee say Rm 200m cumulative profit is "sap-sap-water" for the future 3 years.
RM 200m / (280m new issuance share + 95m share cap+ 25m warrant conversion ) = RM 200m / 400m (roughly estimate) = RM 0.50 already on hand for the next 3 years.
(4) Mr. Tee told that FUTUTEC will doing business with CASH only, without debt. Because that gives FUTUTEC a superb profit margin. With the "cash" only business, we can expect there will be a healthy healthy cashflow kicking in
Cashflow = Hard Cash in company = Dividend
And a company with strong cash position won't tumble easily during downturn =D
Joel, Sofea, you are not getting the shares because you are in the queue. There is no one to sell to you at that price, hence, you get nothing.
For relatively new investors here.. you need to watch the prior price movement BEFORE the announcement. Prior KPSB injection HoA announcement, this stock is thinly traded ... sometime not even 100 shares is traded.
