（吉隆坡13日讯）鼎昇集团（PRG，7168，主板消费股）香港子公司飞霓控股（Furniweb Holding）宣布，以682亿1256万9205越南盾（约1195万8700令吉）脱售在越南的弹性织带公司PEWA。

该公司今日向交易所报备，飞霓控股上周五闭市后，与买家女性内衣配件生产商Four K订立资本转让协议。



“董事部相信，脱售这个业务有助精简旗下制造业务，同时更好将资源分配给其他销量更佳的产品，同时也可探讨多元化业务创造其他收入，产期强化公司及股东利益。”

根据文告，Four K将以现金支付这笔收购价，包括92亿6200万越南盾（约162万3770令吉）的注册资本代价，及协定偿还债务的协定贷款589亿5056万9205令吉（约1033万4900令吉）。

“在完成托售后，PEWA将不再是飞霓控股子公司。”

PEWA的主要业务是制造与销售窄幅弹性织带，根据截至去年6月底未审核净资产价值，向飞霓控股及相关公司的贷款账面值，分别约为287万6000令吉及1248万2000令吉。

闭市时，鼎昇集团报58仙，跌1仙或1.69%，成交量49万1400股。

@yip1983 For new warrent, it's normal to expect about 40% premium over the mother depending on the duration. If warrent price is 25 cts, add 60 cts conversion making it 85 cts. Dividing by today's closing price of 62 cts gives you a premium of 37%.
