Don't buy warrant as director selling them as they got it for free from private placement. Moreover warrant exercise price is high ie RM1.

Last quarter EPS 3.1sen or 4.02sen half year. NTA RM2.77. Time to accumulate while still low. Expect another good quarter report next month.

顶佳集团削资50仙 设新公司合并再上市

（吉隆坡20日讯）顶佳集团（FARMBES，9776，主板消费产品股）与来自中国的SHH大马控股有限公司签署暂定协议书（HoA），透过多项企业活动，以为两家公司业务进行合并。

根据协议书内容显示，顶佳集团将透过设立新公司，并进行包括削资、转换上市地位等来完成以上合并献议。

顶佳集团计划将每股面值1令吉的现有股，削减50仙，至每股50仙，以抵消累积亏损。

随后，顶佳集团设立新公司，以总值3亿8000万令吉购入SHH大马；这项献购将透过发出新公司的股票来完成，每股发售价为50仙，预计将发出7亿6000万股。

在完成削资活动后，所有顶佳集团6108万3263股，并将以1配1比例，转换成6108万3563股新该公司股份。

顶佳集团2776万5052个凭单也透过以同样比例，转换成新公司凭单。

完成后，新公司将献售（Offer For Sale）高达1亿8500万股，对象为特定投资者或大众，每股发售价50仙。

发1.3亿新股

另外，新公司也建议将同以每股50仙发售价，公开发售1亿3000万股。

随后，顶佳集团建议除牌，并转换上市地位给这家新公司。

顶佳集团表示，这项建议是将两家公司家禽业务合并，以达到协同效应、扩大客户群，提高产量的效益。[南洋网财经]

1) NTA Is RM2.66
2) 4 Quarter Earnings 0.52 2.87 3.10 0.92 = 7.41 Cents per year.
3) Share Price at 67 cents. P/E is 9.05 or 11% Growth.

Since Food, Especially chicken is recession proof. Farmbest Is Quite A Good Defensive Counter.
A 75% Deep Discount to NTA Makes It A Graham Net Net Value Buy!
