(Unless otherwise stated, defined terms used in this announcement shall carry the same meanings as defined in the announcement of SMTRACK dated 12 August 2016 in relation to the Proposed Acquisition).

Further to the Company’s announcement made on 12 August 2016, the Board of Directors wishes to announce that the Company and the Vendors had on 20 February 2017 mutually agreed to extend the Exclusivity Period to 11 June 2017.

All the terms, conditions, covenants, provisions, powers and terms contained or subsisting in the MOU shall remain in full force and effect and shall be read and construed and be enforceable as if the variations, modifications and additions therein had been substituted or added or formed part of the MOU.
