3. After (2) and the Proposed Private Placement

Net assets per Share (sen) 11.11


The Proposed Private Placement is not expected to have any material effect on Securemetric’s earnings and EPS for the financial year ending 31 December 2021as the Proposed Private Placement may be completed up to 6 months from the date of approval from Bursa Securities whilst the proceeds to be raised are expected to be used over a period of up to 24 months from the date of listing of the Placement Shares.

The issuance of Placement Shares will causeSecuremetric’s EPS to be diluted as a result of the increase in the number of Securemetric Shares.

However, the Proposed Private Placement is expected to contribute positively to the future earnings and EPS of Securemetric when the economic and financial benefits from the use of proceeds are realised.
