Reason
(1) These 213,706,793 shares in MPHB Capital Berhad ("MPHB Capital") were allotted to Casi Management Sdn Bhd pursuant to the renounceable offer for sale by Magnum Berhad (formerly known as Multi-Purpose Holdings Berhad)("Magnum") of 715,000,000 ordinary shares of RM1.00 each each in Magnum ("Offer Shares") to the existing shareholders of Magnum on the basis 1 Offer Share for every 2 existing ordinary shares of RM1.00 each held in Magnum ("Offer for Sale"). Tan Sri Surin Upatkoon is deemed to have an interest in these 213,706,793 shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Casi Management Sdn Bhd. (2) These 34,871,000 shares in MPHB Capital were allotted to MWE Holdings Berhad pursuant to the Offer for Sale. Tan Sri Dato' Surin is deemed to have an interest in these 34,871,000 shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Pinjaya Sdn Bhd, a substantial shareholder of MWE Holdings Berhad. (3) These 156,200 shares and 9,900 shares in MPHB Capital were allotted to Tan Sri Dato' Surin's daughters, Ivevei Upatkoon and Maythini Upatkoon respectively, pursuant to the Offer for Sale. Tan Sri Dato' Surin is deemed to have indirect interest in these shares by virtue of Section 134(12)(c) of the Companies Act, 1965. (4) Magnum ceased to have interest in 715,000,000 MPHB Capital shares following the completion of the Offer for Sale on 27 June 2013. Arising from Magnum's cessation of interest in MPHB Capital, Casi Management Sdn Bhd also ceased to have indirect interest in the above 715,000,000 shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Magnum. Accordingly, Tan Sri Dato' Surin also ceased to have indirect interest in the above 715,000,000 shares by virtue of Section 6A(4) of the Companies held through Casi Management Sdn Bhd.
