Reason
(1) These 508,000 shares in MPHB Capital Berhad ("MPHB Capital") were allotted to Dato' Lim Tiong Chin pursuant to the renounceable offer for sale by Magnum Berhad (formerly known as Multi-Purpose Holdings Berhad)("Magnum") of 715,000,000 ordinary shares of RM1.00 each each in MPHB Capital ("Offer Shares") to the existing shareholders of Magnum on the basis 1 Offer Share for every 2 existing ordinary shares of RM1.00 each held in Magnum ("Offer for Sale") in conjunction with the listing of MPHB Capital on the Main Market of Bursa Malaysia Securities Berhad. (2) These 1,015,000 shares in MPHB Capital were allotted to Keetinsons Sendirian Berhad pursuant to the Offer for Sale. Dato' Lim is deemed to have an interest in these 1,015,000 shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Keetinsons Sdn Bhd. (3) These 3,145,000 shares in MPHB Capital were allotted to T. C. Holdings Sendirian Berhad pursuant to the Offer for Sale. Dato' Lim is deemed to have an interest in these 3,145,000 shares by virtue of Section 6A(4) of the Companies Act, 1965 held through T.C. Holdings Sendirian Berhad.
