Tienwah(7374) - 旧爱(天华兄)还是最美，感情(BAT妹)怎么能说放就放 - bluefun
今天2016年10月5号， Tien Wah 天华突然宣布在 午休过后的交易时间里暂停交易。 而这个时候， bluefun 就猜想应该是有 "大件事big announcement " 宣布了？ 也许是有关于 BAT Group即将到期的合约消息吧 ？
而过了 5.00pm 之后，天华向 bursa 发布文告说攫取了 印尼第二大烟草公司 PT Bentoel Internasional Investama Tbk or Bentoel Group(BAT group company in Indonesia) 的六年印刷香烟盒的合约，条件是天华必须透过本身或者旗下的子公司全购 Bentoel Group 的子公司 PT. Bintang Pesona Jagat 的发行股份。
这就是所谓的“联姻”，就好像一个大富家庭，把他家族的生意全盘交托于你，条件是你必须迎娶他那唯一的“千金“， 想迎娶千金必须先赢得她的心，哈哈哈。
好样的天华兄，就用你的魅力来诱惑 BAT呗，所谓”旧爱还是最美，感情怎么能说放就放” :P。 看来那即将到期的 BAT contract 续约有谱啊，机会大大地增加了 XD。
Bentoel Group 是一家烟草公司，在2009年的时候被 BAT Group 收购了。 Bentoel Group 也是印尼第二大烟草公司，排在 Sampoerna 之后。 幸好 bluefun 略懂一些皮毛的印尼语，经过搜索之后，找寻到了 Bentoel Group 2015 年的 annual report。
看来Bentoel Group 是一家逐渐上扬 sales 的公司， sales比起 2014年， 2015年上升了16.06%。 而 gross profit 也上扬了 5.50%。为了方便大家的解读， bluefun 转换了印尼盾成为马币的汇率。
美中不足的一点就是虽然营业额逐渐成长中，可是Bentoel Group是一家亏钱中的公司。但是亏利已经逐渐收窄中。 不过既然天华不是买进 Bentoel Group 公司的股份，只是全面收购子公司的股份，不必太在意 Bentoel Group 的 loss。
可能 Bentoel Group 需要 Tien Wah 的管理层帮忙或者 consultation services才把PT. Bintang Pesona Jagat 转让出去也不一定呢 XD。
所以这事双赢的局面，况且之前天华发行附加股，其中之一不就是为了在印尼扩展业务吗？ 看来这与天华管理层的大计划“不谋而合”， 真是可喜可贺呀，哈哈哈。
PT. Bintang Pesona Jagat是 Bentoel Group 100%拥有权的子公司。 2015 Annual report如下。
根据探子回报，Bentoel Group在 2016年6月里透过子公司注资了大约 IDR11,427million 的投资额进入即将成为 Tien Wah天华全购公司的 PT. Bintang Pesona Jagat。附上印尼语的报导，让大家解读下， XDD。 还好 bluefun去过印尼，还会一些皮毛的印尼语， wahaha

有了印尼新客户的合约之后，而且还能成为 Bentoel Group的 printing carton supplier agreement， bluefun 也只能说“一切有如计划进行， 想大赢请耐性。”
而根据 WHO的报告，印尼的烟民逐渐上升啊，所以天华在印尼扎根，是明智的选择，有远见有高见 XD。
废话不多说，随手附上bluefun对于 Tien Wah 的calculation与analysis。
1. ROIC (RM1.00 invested capital earn RM0.15)
2. EBIT multiple (7.04 < 10.00), average 6 years =7.79
3. Cash Yield (average 23.82% > +5%)
结论：

Lol， 你们都太夸奖了。 小弟不才，只是平凡的一个小伙子。
学习的路还很漫长，学海无涯。
bluefun 小弟只是一个长期持有的小散户，因为真的了解到赚钱真的不容易，所以在买进一家公司的股份之前，专研做一下功课，若符合选股的 criteria，就买进长期持有基本面好股总比进进出出好 XD

A very good write-up article, keep up the good work.
I also recommend Tienwah to my group this week.
I selected it based on TA and FA. FA is good but the stock is down trending until after breakout above 1.88 on 6/10/2016.
