What happened to the share price of Netx the last 3 years?


Despite multiple private placements, the company did not perform, destroying value?

All those who bought the private placements saw their share worth decimated.


Similarly, the rights issue here.

Why do they need to raise this capital? Yes, they have run out of cash. If not enough people buying, they may be in financial distress.

What are they going to do with the new capital? Is it to grow their existing business? Doesn't look like it. No meaningful or significant business of note at present. Is it to improve their finances? Maybe. Did Next say it is to develop new businesses? Yes, they did. Your money will be used by Netx to try to develop new businesses to earn more returns for you, the shareholder. (I think I prefer to invest in a company where the business has already succeed and having high ROE. Less risky. More certainty. Do you disagree?)

What if the new business proves challenging (putting it in a mild manner)? Do you think the share price per share will still be 110/7 = 15.5 sen or lower?

Such a gruesome company, new business ( lotss of uncertainty) and you think you can unload the share at a premium to the next buyer or sucker? Maybe. Assuming you are smart money and not dumb money and you are always looking for bargains, what marginof safety do you demand? Let us assume 50% margin of safety discount to the 15.5 sen per share. Immediately, ex-rights you may be starring at 7.8 sen per share, a huge loss of your capital. More worrying, the longer you hold on, the bigger the opportnity cost.

Why Companies Have to Make Rights Issue?


To put it bluntly, a company only needs to make a rights issue when it is short of money.


Depending on which category of rights it is issuing, we can then carry out a further analysis to decide whether the rights issue is a good or a bad one.

Through examining each type of rights issue, an intelligent investor can tell the wolves from the sheep.

Pricing the rights also requires proper evaluation.

Under the normal circumstances, a company should be able to finance its additional purchase of assets from either

- retained earnings or
- new borrowing or
- a combination of the two.

But, companies may have to raise new capital by making rights issues under three types of abnormal circumstances. These three cases are:

(1) The company is improperly managed such that it is either not very profitable (or even losing a lot of money) such that the incoming cash is not adequate to support the need to purchase more assets. Or owing to poor management of its assets, it now requires a lot more assets to support its operations.

(2) The company is moving into another line of business which is large relative to its current size and it requires a great deal of additional capital to start up the new venture.

(3) The company is in a very fast growing business. In fact, it is so fast growing that retained earnings and new borrowing alone are insufficient to sustain the growth.

In order to be a prudent investor, we must analyse the situation of the company which has announced a rights issue carefully to see which category it falls into in the first place.

This company grew its outstanding shares at a compound rate of 24%+ yearly.

A back of envelope calculation:

1. it doubles its outstanding shares every 3 years

2. if you invested 3 years ago, your shareholding will be diluted 50%.

3. if you have bought at 2.5 sen then and today the price is 1 sen, how much have you lost?

Using your analogy, your house is already on fire. Some strangers are raising the alarm. :-)

When I commented on his sharing that he was 100% in cash in March, I was just trying to point out that somehow this was not smart.

When the market was the lowest anf you were 100% in cash, it just did not sound right. Please educate and learn more on investing.
