“N33TCRAZE > An intelligent investor sees an opportunity in dip than risk”
Today trading ‘sees an opportunity in dip than risk’ with TXCD up 29.41% and TXCD-PA up 100%. I have prepared some write-up before the ‘disaster’ Q1 YR2025 out on the 29 Nov. 2024, hoping a good report with some reversal of impairment; that not to be…as below.
“crazycatlady > The biggest risk in investing is not taking risk at all. Inaction can lead to misled opportunities and and stagnant growth.”
Biggest Risk? Inaction? Now Ageson D-day plus two and count down before Deepavali, will the submission for out of PN17/Guidance Note 3??
Recent Timeline:
On 9th Aug. 2024,
“The Board of Directors (“the Board”) of the Company wishes to announce that the Company has withdrawn the EOT Application on 9 August 2024 as the regularisation plan submission deadline is 30 October 2024, which the Company still has sufficient time to prepare for the regularisation plan submission.”
*continue…*
On 14 Oct. 2024,
“The Board of Directors of the Company wishes to update that the Company had on 14 October 2024 submitted an application to Bursa Malaysia Securities Berhad (“Bursa Securities”) for an extension of time of an additional period of 6 months until 30 April 2025 for the Company to submit its regularisation plan to Bursa Securities ("EOT Application")”
What a reversal of confidence!!
On 30th Oct. 2024,
“the Board of Directors (“the Board”) of Ageson wishes to announce that the Company’s external auditor, Messrs. LTTH PLT had expressed a disclaimer of opinion on the Company’s Audited Financial Statements for the 18-month financial period ended 30 June 2024.”
What happened to “the actions taken by the management to address the key audit matters in relation to the Disclaimer of Opinion are consistent with the findings from the Independent Assessment Report dated 6 May 2024.”??
The ‘disaster’ Q1 YR2025 out on the 29 Nov. 2024,
Details: EPS of -31.30 and Net Assets per share from 0.41 to 0.01; a loss of 0.40!!
How to turn around?? Therefore, I stopped my write-up then…
On 6th Dec. 2024,
“The Board of Directors of the Company wishes to announce that the Company had on 6 December 2024 received the Notice of Registration of New Name pursuant to Section 28 of the Companies Act 2016 dated 5 December 2024 issued by the Companies Commission of Malaysia.
Accordingly, the name of the Company has been changed from "AGESON BERHAD" to "TXCD BERHAD" with effect from 5 December 2024.”
What next?
A new major shareholder with the new name; and hopefully a new direction Trading and TradeAtYourOwnRisk …Going forward.

“Sslee > The fact capitalA operating cash flow is not even enough to pay the lease and finance cost lease libilities for lease payment due to lessors.
Hence need more borrowing…”
Actually CapA/AAX need to sell more future seats. As I mentioned earlier, CapA/AAX is in a very niche market selling something on borrowed $. The financial difficulties started due to C19. It is at a recovering phase. Will the lessors take back the plane to operate if there is a default? Can the lessors re-lease the old plane to some other operator? Most likely NOT to answer both questions. So the only option is to go along the flow, just like the cow chained by the nose…just my opinion for Happy Trading and TradeAtYourOwnRisk

Noted. Please notice that I changed the word from story to narrative and gave two examples of possibility to your narrative; therefore no doubt on your truthfully.
Good sharing; everybody has their investment strategies, there is no wrong or right. I only buy at a dip and sell half if prices move up 30% to 50%. Recent purchase of JAG is a good example. My holding cost now is close to 10sen vs trading price around 34sen..Happy Trading and TradeAtYourOwnRisk.

Good narrative. True or False? No need to mention which counter. My investment in MFCB and Pmetal has almost the same narrative. Invested prices of RM2.xx in MFCB and around RM1 in Pmetal. Still holding MFCB, easily gaining more than 8X including good Dividend and the split/bonus issue. For Pmetal, sold early close to RM3 many years back; if not, easily can gain 10X. That's investment risk, not telling how many counters holding for years are still at negative regions or just break even. For Insas, sold 80% of investment with a gain of easily 3X considering the Dividend and free $ every 5 years..Happy Trading and TradeAtYourOwnRisk.

“speakup > rm2.1bil sale of Indonesia unit, dah guarantee big special dividend mali”
Yes,yes..actually USD400 million initially; from the link: https://www.klsescreener.com/v2/announcements/view/8612465
“At completion, shareholding equalisation will result in Axiata receiving up to USD475 million. At transaction closing, the Group will receive USD400 million, along with an additional USD75 million at the end of the first year subject to the satisfaction of certain conditions. The Group will use the funds to primarily pare down debt. Additionally, by continuing to own shares of XLSmart, Axiata shareholders will have the opportunity to capture synergies and participate in the new company’s long-term value creation potential.”
The proceeds most likely to pare down debt, seems no ‘big special dividend mali’..only the gist for Share Price move up for Happy Trading and TradeAtYourOwnRisk

Yes, the best time for investing with Spare Cash. Recently, there are shouts of ‘cherry picking’; join for fun and pick JAG at 22.5sen. Reason, a rare chance of price adjustment of 2 bonuses issue i.e. adjustment close to 37sen to 28sen; and drop further below 22sen. “Metaverse >..Looking at Focus Dynamics (stock code 0116), they announced a share reduction of RM126.8 million, and now it's trading at just RM0.02 and interestingly, Focus Dynamics used to announce big-name shareholders like Morgan Stanley, with an address in 1585 Broadway, New York, but it remains an unsolved mystery why a global investment bank would invest in a company trading at 2 cents which involved in share reduction exercises…”
Interesting mystery?? Let's compare the two Capital Reduction CR (NOT share reduction?).
The comparison will be biased toward Focus Dynamic base on latest Focus Dynamic announcement at referenced link: https://www.klsescreener.com/v2/announcements/view/8546821
‘1. “The Proposed Capital Reduction entails the reduction of up to RM126,800,000 of the issued share capital of the Company pursuant to Section 117 of the Act via the cancellation of the Company’s issued share capital which is lost and unrepresented by available assets. The corresponding credit of up to RM126,800,000 arising from such cancellation will be used to setoff against the accumulated losses of the Company as permitted by the relevant and applicable laws, the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad as well as the Company’s Constitution.”
After the CR, the accumulated losses will be RM398.692million. The losses “ Included RM389.13 million arose from the initial recognition of warrant reserve in financial year ended (“FYE”) 31 December 2020.” The warrant reserve will ‘disappear’ after 26 Nov., 2025, the warrant maturity date. Will wait for the said date…as The edge article silent on this.
For CapA, I reserve my comment as both are in different leagues…
‘2. “The Proposed Capital Reduction will enable the Company to reduce its accumulated losses to more appropriately reflect the value of the underlying assets and financial position of the Company and the Group.”
One is under PN17 and the other NOT. CR for Focus Dynamic could be beneficially over a long period, reserved comments for CapA. Both businesses are affected by C19 pandemic; both are on the recovering path…to be fair, CapA has its own niche market, Focus Dynamic don't have.
‘3. On the trading price, Focus Dynamic is trading at P/B of 1.16, whereas CapA is at -0.63. How to compare??
Now comes the mystery part; as at 8 Dec.,2023 Morgan Stanley held 615,446,638 Focus Dynamic shares representing 9.658% of NOSH. When is it acquired?
Before, passed the 5% substantial holding requirements for public reporting, “Increase of 355,780,638 in shares held in respect of which Morgan Stanley may exercise its right to rehypothecate or dispose of on 27 December 2021.” (Rehypothecation is the practice where banks, brokers, or individuals use collateral that they do not own to help finance assets. Previously pledged collateral is used as collateral for a new loan, creating a leveraging cycle that promotes profitability but increases default risk.)
I view this CR for Focus Dynamic optimistically, bought at 2 sen after the announcement; willing to hold until Warrants maturity date around in a year. Happy weekend, Trading and TradeAtYourOwnRisk.

1…Other projects are less clear and are more longer-term in nature…”
Very good info, give you a like. My ex company wanted to venture into FPSO; did a study into most FPSO operators, not as detailed as this. The risk vs success is not favorable, did not take up the venture.
Most FPSO's starting point is to acquire a very large still serviceable sea going vessel to tailor for the intended O&G field. The M&A/MOU/JV of MISC and BAB could solve one of these risks; a win-win situation. Another risk is connection; again a win-win situation for both. I traveled quite frequently on businesses and leisure using AA/CapA services; therefore my observations of recent changes happening in their operation.
First, from home to the airport, I tried two ride hailing services to see which would pick up my request. Last year, AA ride/Move hardly responded to my requests. This year, ALL my rides to and fro the airport are using AA ride/Move. Out of my curiosity, my conversation with the drivers found out most of them switched from one popular ride hailing service to AA ride/Move due to the benefits of picking up travelers from the airport. The code for the ride discount is displayed at the back of the AA airplane seat. The drivers told me the request for the ride hailing swapping approved within 2 days with no question asked.
Next is the onboard food; I can get a good discount if I book online. On a recent trip, I requested a second pack of their chicken rice with the response of ALL being sold out. ALL their staff (except the pilot, ha ha) are good salesmen/women.
I heard about flight delays mainly due to staffing problems. So far I don't have this problem; the most is sitting in a plane waiting for take-off permission; up to two hours.
On the cramped seat; I have no such problem as I fit nicely in those seats. Of course I enjoyed my trip to the EU with transit via Dubai/Doha with extra leg room!! Only I have paid a few $k extra for comfort, give some and take some…
I hope AA/CapA will ride thro’ this storm and I can continues my cheap travel..Tq

“MakeMoneyAllHappy > I have been warning since last year that Insas is a value trap,... issue a cash call in 2020 is already a significant red flag.”
Yes, MakeMoneyAllHappy, me inclusive. The topic of ‘Insas is a value trap’; depends on looking at which angle. Let me give my angle.
My average investment of Insas at around RM0.575 to RM0.668 years back (snapshot of Detail 1: My average price with 2 Trading House; shown in my discussion link: https://klse.i3investor.com/web/blog/detail/BLeeInsas/2024-02-26-story-h-187561002-Insas_Is_it_a_value_trap )
If calculate w.r.t. initial investment value and dividend of 2.5 sen; the returns are better compared to the present bank FD rate!! The share price has almost doubled; will it be considered a ‘value trap’? Furthermore, I have sold 80% of my holding together with Offer Rights (Insas-OR) during the 3rd Feb.,2021 Right Issue; the remaining 20% at zero cost. Only a ‘value trap’ if compare w.r.t. NTA which I think none of us invested at this price…
As for the cash call, it is RPS with a coupon 3.8% rate and free warrants to replace previous cash calls. Those who subscribe for this cash call still MakeMoneyAllHappy..why ‘significant red flag’? At RPS maturity, the R(edeemable) PS investment returns every sen. The free warrants are in the money now, and can easily ‘untrap’...therefore theoretically above the ‘value trap’; just my opinion for Happy Trading and TradeAtYourOwnRisk.

“5. Keep printing billions of shares(ESOS/RI/PP) to suck cash from shareholders”…
Option of Not Subscribing for RI. I am Speechless for ESOS and PP as Shareholders No direct option to reverse the dilution. Good compilation, give you a ‘like’…
On item “4. ACCOUNT RECEIVABLE is unusually high vs account payable. Money stuck or goods sold to cronies.” is a bit debatable. If it is reported in Non-Current Assets, the Term for collection is long. If it is in Current Assets, the Term is short. The reverse is the truth for Liabilities. If high value payable in Current Liabilities, the Cash in-hand much lower, then really Don't touch..
When investing, we must look at every angle, recently an example of an excellent counter with good EPS and Dividend Yield; two major shareholders sold out due to Resignation of Auditor. What dictates a Share Price?
Everyday we hear of Share Punters shouting Share Prices Limit Up (LU) or Limit Down (LD) when Good or Bad news is announced…
Can Fundamental or Technical behind a Share can change overnight? Definitely NOT for Fundamental; as Financial Data is built up over a very long period. Then the reason could be Technical Data.
What constitutes LU or LD? The baseline is 30% price fluctuation at RM1; RM0.30 below a Ringgit or 30% changes above a Ringgit. Can a Share Price at RM0.30 go LD? Definitely NOT as the minimum price of a share is RM0.005… As for LU, the sky's the Limit.
Let's start with the Good News for LU. Is announcing Memorandum Of Understanding (MOU) or a Letter Of Award (LOA) of a few Billion projects over more than a decade is Good News for LU?
Is selling assets worth a few Hundred Million NOT knowing ‘just a gain of a few Million Missing a future gain of a few Hundred Million’? One off Gain vs Constant Gain is another factor to look out for a reason for LU..
On the other hand, no reason for LD for one off Bad News if the Fundamental still good. Bear in Mind, Cut-Loss is easy (including Margin Call) as buying up is a bit difficult as new funds are needed to ‘chase-up’ a Share…the herd mentality applied for both ways.
My conclusion, what goes down will come back up if FA/TA is still intact and what goes up too high will correct nearer to the Fundamental value. There are many other reasons for LU and LD, welcome to share…Happy Trading and TradeAtYourOwnRisk.
Hints: Although no LU or LD for 3 counters as examples, one recently awarded AI projects for a very long period. Will AI be the in-thing for such a long period? The next selling land to par down debts; the revenue most likely will reduce due to lost production. The third is answerable to the investigation that happened years back…

Hahaha, I missed the buy low part of the recent RM0.095..as quite busy then. Before I get my $bullet, it's already gone up. Have you managed to buy at this low price? About the negative statements, partly correct due to the QR losses, low cash, etc…the bright sides are low Liabilities and settling of Bank Loan.
Details:-
Total Assets reduced from RM377.907 mil to RM111.086 mil,
Total Liabilities reduced from RM148.977 mil to RM11.115 mil
Conclusion, assets 10 times more than Liabilities, still a going concern.
The only concern is Cash and bank balance of RM12k after settling the Bank loan of RM43.866 mil, as the QR cut-off was at June 2024, how did Ages survive for the last 2 months??
There is one part in the QR report I don't quite understand, someone please school me on “B4. Some share the same directors, some are not. Some share the same registered office (so called Lien Hoe group), some do not.
The big ‘web’ (old info) is well illustrated in the article link:

As shown in the chart, Mlab is not directly under Fintec. Fintec only holding 1.31% in AT; after “ABC had disposed an additional 150,551,800 ordinary shares in open market” and

“5354_ > Up 1.5 sen it because of QR EPS 7.13 sen and NTA finally adjusted to RM 1.2024? Insas supporters also said Insas very undervalue.”
Insas is CASH undervalue, and every Quarters selling Inari shares to give Dividend from the sales. It is NOT employing the CASH to generate more profit.
On the contrary, Fintec is CASH poor, only Marketable Securities Rich. The Current and Non-Current Marketable Securities of RM122.9 mil vs Total Liabilities of RM33.035 mil; will do well in a bull market…
“M55555
Traders talk about point of entries… AND THIS is NOT the Counter. ANY Counters that do not increase shareholder value , pay dividend and have realistic biz( Not marketable securities) , should be avoid.”
Well said. Fintec needs to improve holding good Marketable Securities; and “THIS is the Counter that increase shareholder value, pay dividend and have realistic biz…and becomes everybody's darling stock” in the not so near future. If we know the future, that won't be any investment risk and won't be ‘TradeAtYourOwnRisk’...

“M55555 > May 2024 consolidated. Shareholder left with dust”
Very interesting questions, especially the profit is very much higher than the revenue. Almost the same question asked at Bornoil forum, i.e.
“Jack Khan
What type of standard of accounting by reporting Invested share valuation as profit ? so confuse!”
“Jack Khan
Paper profit should not be in the income Statement!! This only show the company try to CON investor!”
Yes, so confused! When Paper Loss is considered as Loss, why Not Paper Gain Not considered as Profit? I am also confused as I am not an Accountant; what I know for ‘Double Entry’; the manner for any Paper Losses and Paper Gain shall enter on the same Ledger…
Why do I compare these two counters? The reason is one is Consolidated and the other is not; not to discredit Bornoil as I have no interest in Bornoil, just trying to answer the second question on ‘Shareholder left with dust’...
Bornoil reported RM128.318 mil profit and EPS of 1.07sen. If based on Fintec Consolidated of 30 shares into 1; will be 32.1sen, a fantastic figure…
In the Fintec case, reported RM14.098 mil profit and EPS of 7.13sen (cumulative of RM 22 mil profit and EPS of 11sen). The two sets of figures reflect EPS could be higher with Consolidation as the numbers of shares reduced in the calculation; is it ‘Shareholder left with dust’??
In the latest QR, Fintec NTA was adjusted from RM0.0362 to RM1.2024; compared with the last closing price of RM0.18, sooooo undervalue… is it ‘Shareholder left with dust’?? It all depends on timing of entry, mine is at RM0.005 for both mother and ICPS before Consolidation and purchased more ICPS at RM0.1 after consolidation.

Quite true, my only contribution to CapA is to get the best Discount Fare Promotion (DFP); planning to go to Japan or China next month…CapA, do Not abandon ZFP, hopefully can restructure the debts and don't touch any of the promotion gimmick. Will buy some CapA shares if visualise any turnaround!!

“Sslee > Is growth [Zero Fare Promotion (ZFP)] at the expense of profit good/sustainable?”
My only involvement in CapA is ZFP; not holding any CapA share…therefore will try to answer the above question. Is ZFP related to CapA growth? My opinion on ZFP is just a gimmick to lock in my Cash for future travel at a discounted price. Actually, ZFP should be Discounted Fare Promotion, as needed to pay some taxes and Fuel Surcharge and some miscellaneous charges up front. It is Willing buyer, Willing seller. Does it equate to growth? The answer is Yes and No; Yes if the Cash Not for offsetting debts and a big No in CapA case as foreign currency debts over a Billion RM.
The next question on profitability; the moment the flight takes-off with empty seats, definitely it will be a loss of revenue. With some seats on ZFP (DFP?), the incidentals expenses like Plane Parking fees, Fuel Surcharge, etc already partly covered. On a sustainable level, your guess is as good as mine; at least Cash already collected up front, it is just filling the small gap among the big stones…Happy Trading and TradeAtYourOwnRisk

"Sslee > Page 40 of Financial Report...CapA need to stop the zero fare promotion and seriously increase airfare to make meaningfull profit to pay down its debts."
AA (CAP A) without zero fare will be meaningless, full of foolishness or just not meaning(ful) to compete as a budget Airline. Zero Fare Promotion (ZFP) is Not for all seats, non-peak time and with Term and Condition. Pre Pandemic, AA ZFP is doing so well with the tagline 'Everybody can Fly' and I am one of the regular flyers..to South Korea, Japan, Australia and many other places. Recently, I flew to Japan and China with such good promotions; with hardly any empty seats on the flight. Without the ZFP, will there be so many flyers? It is just like 'chicken and egg'; which is which? It is better to sell the empty seats to pay for the incidentals expenses and make profit from the higher cost seats. I also noticed the on-board F&B is also selling well..should make very healthy profit. As I mentioned in one of my posts, the foreign currency debts are killing AA (CAP A). Without debts restructuring, my regular ZFP will go down with the Airline, hopefully NOT...Happy Trading coming week and TradeAtYourOwnRisk

“dompeilee > calvin tan tua pao = HDB-dwelling scammer…”
Nothing wrong with HDB-dwelling as
‘…it can be seen that the majority of Singapore residents (77.8%) live in HDB flats..’
Whenever I am in SG, I am part of this 77.8%, nothing wrong. So far no walking stairs, everything clean and well maintained. ‘Gym’ is just a few steps away from the natural air environment.. transportation is first notch.
I am NOT defending him; just admire his defending skill. He is just like us, half full or half empty ‘scammer’; trying to ‘share’ our knowledge. Remembering he tried to show a picture of an ‘abandoned’ Solar Field, maybe did not check that it was caused by a hurricane…benefit of doubt. Recently, I made almost the same mistake, NOT checking enough on JAG Berhad on owning JAG Capital Equity and NOT JAG Capital…to err is human. Just renewing my car road tax using the online system, can vow a great improvement compared with last year's renewal (by paying part of insurance charges). Last year only wording showed successful renewal, now will show the replicate copy. From insurance buying and paying for the road tax took less than ten minutes. Last year, I paid the insurance company to update the system; this year I just did the renewal myself…

“w0nderfultime > stock longkang ni”
What happens to the ‘longkang’ if out of PN17/Guidance Note 3 before 30th Oct.2024? Below are the announcements ‘tracks’ to be out of PN17/Guidance Note 3:-
Announcement on 1st Aug.2024:
“The Company has approximately three (3) months to submit its regularisation plan or waiver application for a waiver to submit the regularisation plan and to uplift the Company as a PN17 listed issuer (whichever applicable) to the relevant authorities for approval.” which plan for ‘a waiver’.
Thereafter on 5rd Aug.2024, amended the Announcement:
“The Company wishes to clarify that the Announcement should be read as follows (amended wordings are shown in bold):-...
The Company has approximately three (3) months to submit its regularisation plan to the relevant authorities for approval.”
Subsequently, on 7th Aug.2024, seek an Extension of Time:
“The Board of Directors of the Company wishes to update that the Company had on 7 August 2024 submitted an application to Bursa Malaysia Securities Berhad (“Bursa Securities”) for an extension of time of an additional period of 6 months until 30 April 2025 for the Company to submit its regularisation plan to Bursa Securities ("EOT Application").”
Finally, on 9th Aug.2024, confidently withdraw the EOT request:
“The Board of Directors (“the Board”) of the Company wishes to announce that the Company has withdrawn the EOT Application on 9 August 2024 as the regularisation plan submission deadline is 30 October 2024, which the Company still have sufficient time to prepare for the regularisation plan submission.”
Come 30 October 2024, will the ‘longkang’ become ‘River of Life’?? Time will tell, Happy Cherry Picking and TradeAtYourOwnRisk.

TECHNAX Capital Changes…Will FINTEC price follow in the footstep of TECHNAX ?”
Hi Newbies, I am Not defending any Parties Nor against any Forumer, just trying to put some info across for a thinker/tinker.
Fintec ‘Share Consolidation has been completed following the listing and quotation of 197,563,422 Consolidated Shares and 7,278,682 Consolidated ICPS on the ACE Market of Bursa Securities with effect from 9.00 a.m. on 9 May 2024.’
After 3 months and a recent ‘blood bath’; is Fintec still doing well?
After Consolidation, Price adjusted to RM0.15 and as at Noon 07082024, Price RM0.205; a gain of 36.7%
Lowest on 05082024, Price of RM0.16 vs RM0.205; a gain of 28.1% and recovered to last Friday closing.
I don't follow Technax; what I know is that Fintec is recovering well…

Blog: Insurance industry in limelight due to public outcry over steep medical premium
3 hours ago | Report Abuse
The Insurance company (ITOs) reason:
‘- the industry experienced an unprecedented cumulative medical claims cost inflation rate of 56 per cent from 2021 to 2023.’
My take: Last time the mentality was “buy insurance, hope no claim”. Nowadays, “buy insurance, must fully utilize it, if not, why buy??”
‘- advanced healthcare technologies and increased utilisation of healthcare services.’
My take: Insurance payor paid for “advanced healthcare technologies”, no matter use or no use!! Another problem is over-diagnosis. Each hospital admission will be like an ‘old car complete overhaul’ ??
‘- it was reported that the overall profitability of life insurance and family takaful funds has increased to RM8.4 billion in the first half (1H) of 2024, as compared with RM6.0 billion in 1H 2023 and RM3.2 billion in 2H 2023, respectively.’
My take: Meeting KPI?? Over profiteering??
Another reason (not in the article), insurance premium is pooling of all $ plus margin of profit; no risk of losing investment.??
Now awaiting my Insurance company to come up with a new premium invoice..due by the end of the month. Sigh
