“From the risk perspective, we are positive as we deem the disposals are necessary to uplift Capital A from its PN17 status or risk triggering a trading suspension.
“Moreover, the shareholders of Capital A are expected to continue to hold shares in the aviation segment via AAX,” it said in a report.

He shifted the whole airline business to AAX since they want to borrow more as CapitalA is currently a PN17 company which limits borrowing to expand his business. Capital A disclosed to Bursa Malaysia that it has entered into a non-binding letter of offer with AAX to divest AirAsia Bhd, which houses its Malaysian airline operations, and AirAsia Aviation Group Ltd, the holding unit of its airlines in Indonesia, Philippines and Thailand.
We built five amazing companies and in Asean, we really want to grow in Indonesia and Philippines. We think the tourism potential in both those countries are huge. We would love a licence in Vietnam and Singapore but that is not achievable right now, so really, our growth is going to be very heavily driven by the Philippines and Indonesia, on top of Malaysia and Thailand,” he said.
The Covid-19 outbreak had led all AirAsia aircraft to be grounded in 2020, leading both Capital A and AAX to be categorised as PN17 financial distress companies.
AAX’s PN17 was lifted by the local stock exchange last November, and Fernandes on Monday said the merger, coupled with the upcoming listing of Capital A’s brand royalty business and aircraft leasing unit in the US, would help Capital A in lifting its PN17 status as well.
Fernandes said post-merger, Capital A will be left with four businesses, namely the aviation maintenance unit Asia Digital Engineering Sdn Bhd; the super app segment carried out by 96.19%-owned AirAsia SuperApp Sdn Bhd; the 77.56%-owned logistics unit Teleport Everywhere Pte Ltd; and the 99.56%-owned digital payments business under BigPay Pte Ltd.

However, unlike SIA with Big Brother Temasek cumming to the rescue, CapitalA took many initiatives to revive and stay afloat without any help from the Malaysian Government. Yes lah..Before the Pandemic, all shareholders were celebrating as shareholders of AirAsia have been showered with 90 sen per share special dividend, which is worth more than RM3bil in total payout. The dividend is equivalent to 34% of dividend yield from the last traded price of AirAsia's shares at RM 2. The year before he showered us with 64 sen Dividends and 12 sens even before that. Mabel recall EVERY WANG in Air Asia were FLYING that time..

Benchmarking with Singapore Airline: Singapore Airlines has an ROCE of 9.3%. Basically the business is earning more per dollar of capital invested and in addition to that, 49% more capital is being employed now too. The increasing returns on a growing amount of capital is common amongst multi-baggers and that's why Mabel is impressed. As in any business Singapore Airlines does have some risks too. The group plans to divest its aviation group to AirAsia X in exchange for shares which will subsequently be distributed back to its shareholders. Benchmarking with Singapore Airline:
For those that aren't sure what ROCE is, it measures the amount of pre-tax profits a company can generate from the capital employed in its business. To calculate this metric for Singapore Airlines, this is the formula:
Return on Capital Employed = Earnings Before Interest and Tax (EBIT) ÷ (Total Assets - Current Liabilities)
0.093 = S$3.0b ÷ (S$47b - S$14b) (Based on the trailing twelve months to September 2023).
So, Singapore Airlines has an ROCE of 9.3%. Even though it's in line with the industry average of 9.3%, it's still a low return by itself.
Basically the business is earning more per dollar of capital invested and in addition to that, 49% more capital is being employed now too. The increasing returns on a growing amount of capital is common amongst multi-baggers and that's why Mabel is impressed.
To sum it up, Singapore Airlines has proven it can reinvest in the business and generate higher returns on that capital employed, which is terrific. Since the stock has only returned 9.6% to shareholders over the last five years, the promising fundamentals may not be recognized yet by investors. Given that, we'd look further into this stock in case it has more traits that could make it multiply in the long term.

Let me make a speculation on how the PN17 could be lifted. The banks (borrowers) would take a hair cut of 80% debts and will be paid in Sapura new shares at minimum 0.10 per share. With this, Sapura won't be burdened by the hefty interests every month. Thereafter, a white knight would inject cash into Sapura. This will help Sapura pays the vendors and cash flow for existing and future projects. Without monthly interests, Sapura could make up to RM1Billion per year. That's in the best interests of borrowers and all stake holders. Sapura will be profitable with current top managements
