Is JV partner Alfair facing problems to complete the 50% equity acquisition? Is JV real?

In the past, Coastal Contracts was known as an offshore support vessel (OSV) fabricator, but lumpy earnings and the collapse of oil prices in 2014 have shown that the business model is no longer sustainable. Today, the group owns five OSVs and it hopes to exit this business, too.

In March this year, the group sold one of its OSVs and two other vessels for RM109.7 million. The disposal is especially important because the group would need to free up some cash flow to work on its projects in Mexico as it needs to fork out almost RM1 billion to finance the Papan project.

The gas- field belong to Pemex Exploracion and Produccion, which is a subsidiary of Petroleos Mexicanos (“Pemex”), Mexican state-owned petroleum company.

Nuvoil claim in their website:
Nuvoil operates the first processing plant of natural gas coming from Ixachi field in Veracruz Planta Perdiz (Perdiz Plant), which is designed, built and operated by Nuvoil, processes the gas coming from Ixachi, considered as the terrestrial field with more gas resources in Mexico.

So is Coastal current 100% subsidiary company, Coastoil Dynamic SA De CV (“CD”) or Nuvoil designed, built and operated this gas processing plant???

In January 2021, Pemex has awarded to a consortium associated with Nuvoil Group (“Nuvoil”) a contract to provide gas sweetening service for Pemex’s onshore gas operations (“Contract”). The scope of work under the Contract mainly comprises of engineering, procurement, construction, operation and maintenance for a gas sweetening plant in Ixachi Field, Veracruz. The tenure for the Contract shall be 32 months (excluding the plant construction period) with a maximum contract
value of approximately RM258.7 million subject to further extension in tenure. Subject to Pemex’s approval, contract value shall be increased should there be any further extension.

On 17 February 2021, the Company and its Mexican strategic business partner, Grupo Empresarial Alfair S.A.P.I. De C.V.("Alfair"), has entered into a Share Purchase Agreement ("SPA") to sell and transfer its 50% equity interest in its indirect wholly owned subsidiary, Coastoil Dynamic S.A. De C.V. (the Joint Venture Company or "JVC"), to its JV Partner, Alfair. On the samedate, a Shareholders Agreement ("SA") was entered among a wholly owned subsidiary of the Company, Coastal Marine Pte Ltd,Alfair and JVC to set out the rights and obligations of Coastal Marine Pte Ltd and Alfair (“JV Partners”) under the JVC. The SPA, SA and other executed related documents are collectively known as "Transaction Documents". Pursuant to the Transaction Documents, the JVC shall undertake an onshore gas sweetening plant project in Mexico for Petroleos Mexicanos ("Pemex"),
Mexican state-owned petroleum company. The completion of the Joint Venture is subject to the fulfilment and satisfaction of thecondition precedents stipulated in the Transaction Documents.

On 30 December 2021, the Joint Venture was completed as all the conditions precedents stipulated in the Transaction

Most likely CharlesT is the most successful one among us. His timming in buying Topglov and Topglov warrant and sold its for a killing is what businese sense about.

I try to borrow a page from him and applied to HRC and HRC warrant when crack spread is on the raise (due to Russia-Ukraine war and sanction on Russia crude and refined products). Did James_Bond know what is insider trading?

So long as the person is held to possess material and non-public information of a company and that he knows that the information is not made public, that person can be regarded as an insider under Section 188(1) of the Capital Market and Services Act 2007 (“CMSA”).

Insider trading is an offence under the CMSA where the insider can be charged for a criminal offence and upon being convicted, the insider can be imprisoned up to 10 years or punished with a fine of not less than RM1 million. The insider can also be liable for civil remedies where the authority can recover three times of the amount of the profit or loss avoided or a fine of not more than RM1 million.

Technical Analysis (TA)
Technical analysis is a trading discipline employed to evaluate investments and identify trading opportunities by analyzing statistical trends gathered from trading activities, such as price movement trade volume and focus on patterns of price movements, trading signals and various other analytical charting tools to evaluate a security's strength or weakness. Thus TA pattern is influence by Greed & Fear (Behavior pattern) and will be most effective if use together with FA Qualitative study of Economic condition and Industry condition that create greed and fear where people will panic buy or panic sell as no one will look at FA quantitative financial data

Fundamental analysis (FA)
Fundamental analysts study anything that can affect the stock's value, including macroeconomic factors (e.g. economy and industry conditions) and microeconomic factors (e.g. financial conditions and company management). The end goal of fundamental analysis is to produce a quantitative value (Intrinsic Value) that an investor can compare with a stock's current market price, thus indicating whether the stock is undervalued or overvalued. 1. Debt to Equity Ratio < 0.5

2. Dividend yield > 3%

6. Getting the Free Cash Flow is very important steps to ensure profit is real.

Mental model 1 - How to build a network

Mental model 2 - How to get married
It was simply the best meal I have ever had in my entire life.
Oh, did I mention also that there was 2 other people getting married at the same banquet hall that Mr Kuok prepared and paid the expenses for?

Mental model 3 - How to run your business
I was less than number 6 now. I gave a few viewpoints, which he then said, ok later we have lunch and discuss further. Boss was not invited, which was really problematic for me later on.

It was during lunch when I learned my next big mental model, I remember it very very clearly.

"Philip, the most important thing to learn in business is to know who you can trust. If you cannot trust the person, even if you can make hundreds of millions, it is not worth the trouble. And if you know you can trust them, even if they are more expensive, the benefit will make it worth doing."

Know what wrong with above Philip Mental model/business sense?
My company has a very clear policy never meet/do thing with business associate behind the boss back, never accept any gift from business associate and if you need to have dinner with business associate then you pay the dinner and not the business associate.

the funny thing if we think about it,

DPS | DY | Payout %
48.00 Cent | 5.75% | 48.61% - PCHEM
57.36 Cent | 6.56% | 85.10% - Maybank

MBB is giving out 85.1% of its profits and can only give 57.36 cents of profits to shareholders, while pchem only gives out half its profits at 48.6% and still pay out 48 cents, the difference is pchem is selling to the entire south east asia while mbb is only allowed to do business mainly in malaysia. Pchem can still grow much much more while pay out a good dividend with more money to spare for growth and is only 66 billion, which is a fraction of the value of its worldwide competitiors with incredible profit margins and lack of competitors. if korea can give 10 year bonuses to its refinery staff, how about pchem?

Investors are giving Maybank a higher valuation than Petronas Chem for some reasons. Maybank's earnings over the past 12/13 years has been very consistent, averaging around 70 sen a share. Dividend per share has never dipped below 50 sen, averaging about 56 sen a share. PChem earned only 20 sen share in 2020 and 35 sen in 2019. Its eps exceeded 90 sen in 2021 and I expect it to exceed 90 sen again in 2022, all because of high oil prices. DPS for 2019 was 18 sen and for 2020 was 12 sen. Just can't compare with Maybank

Sources told The Edge that Capital A has called for an analyst briefing on April 27, a day prior to the current deadline, to give an update on the group’s development.

Capital A and AAX are working on their respective regularisation plans. Capital A's submission deadline is July 7.

Capital A fell into PN17 status on Jan 14, 2022, while AAX did so on Oct 27, 2021, after accumulating pandemic-led losses, which resulted in negative shareholders equity for both companies.

I knew this theory in my 20s but then it had always been 100% speculative stocks for me. I wanted fast money, can't wait. Well, my ending was obvious. Not only did i lost 100%, i was in debt of RM200k before i was 30 years old from contra loss.

That was then. As of now, my equities consist of 60% in REITs with an average yield of 6% nett. 30% cash (Since i believe market would go lower), and 10% in stocks i won't yet consider speculative (Even CapitalA).

You raised valid arguements, i didn't bother to look into it. And i won't insist that CapitalA would get out of PN17 unscathed. I bought CapitalA for few reasons below.
1. I have traded CapitalA or AA for at least 6-7 times to date without a loss. Holding time frame range from weeks to 1 year plus and minus. % gain from 2% to more than 100%. It seems to be my lucky counter.
2. I am prepared for a loss of 40%. As for gains, depends on how well the regularization is.
3. Short term, CapitalA's profit growth only gonna continue. (i paid double for my Dec 2022 and Dec 2023 Japan trip compared to before pandemic)
4. I like the fact that regularisation plan is months away. That's when volatility is high
