I think the management are caught in a very unusual situation whereby normally ....the minority shareholders are normally not important in a listed company haha.

This is not unusual with our local coporate governance culture. So my guess is they do know how to react.

They shld know...the management IS the face of the co. No show face no action taken there goes the companys reputation.

Its really not easy being a ceo in a public listed co. But this is life.

I think many factors have come into play here. But looking at the recent plans strategies. I believe its really a 50 50 chance now.

The plan to entice the big shareholders maybe good. But the recent share price is not giving any confidence.

so i guess there are really 2 choices now:

1) vote no and get back 48.5sens 9% yield(guaranteed!!)

2) vote yes and assuming buy now at 44.5 and get back 8sens from capital repayment...NOT yield but STILL CASH of 18%

I still CANT see the logic in going for option 1.

honestly with option 2, u still have a chance.

with 8sens cashback with reduced shareholders equity(share price drops to 37sens) there are always chances of share price rising from 37sens. this is not guaranteed however. at least u still OWN the share n may get dividends in the future. dun like then sell lo.

thats why in investing all are subjective. i honestly doubt many investors care WHERE their cashback comes from. cash is cash. you receive it. that is good. There are also companies borrowing to give dividends....how do u relate to that? petronas dip into their shareholders equity to pay extra to our Government becoz their earnings are not enuf. how?

Sometimes i wonder what arguments are the naysayers trying to protray? Company this bad la that la. Cap repayment not good la..co nta go down la...aiyo

If u look at other companies majority are actually doing the same thing...plus heavy debt load heavy interest repayments to bondholders..sometimes i think they know too little n just jump to conclusions without basis n evidence of wrongdoing.

Even tho i agree that the share price shld go above 48 to be better...we have to admit that the latest cap repayment is very good. Its not perfect but investing in stocks are always subjective...those who don't know this really cant succeed lo.

however its known that pag n cs are yield investors whose main focus is in arbitraging returns like a hedge fund.

We know that swiss central bank has a negative interest rate environment(CS is from switzerland) hence they are very hungry for any kind of yield(malaysia mgs is 3%plus...excluding the exchange rate tho)

hence thats why they come in here for the spacs....juicy cash yield. invest for 3 years n get cash n accrued interest back...safely n guaranteed in a trust account...sounds good right?

they may vote yes of course but depends on how much yield they are getting...thats why sona is sweetening the deal to entice them.

we must may informed decisions even tho reading from the toilet...the chances of they rejecting are real. so theres really no right investment or bad investment its how u choose n act accordingly to infomation. dun get emotionally attached to an investment..this is call loss aversion bias...fear of losing hence didnt sell

CS holds shares FOR pag. CS is direct shareholder, pag is indirect shareholder. CS CAN vote and pag CANNOT vote. (but since pag is the beneficiary...we assume pag is the BOSS and controls CS to vote)

heres the update:

total indirect sona shares owned by pag = 15.353%
its all held thru 3rd party

CS holds 13.027% for pag(pag is beneficiary)
Deutsche bank holds 2.33% for pag(pag is beneficiary)

HENCE WE ASSUME PAG DECIDES TO VOTE NO(ON A WORST CASE BASIS)
PAG CAN SAY NO RIGHT?

sona shareholders = 100%
minus Platinum Autumn 20%(the management of sona) no right to vote
= left 80% of us holding sona shares to vote.

if pag says no....what is their percentage int his 80% ????
=15.353/80 = 19.2%(still below the 25% rejection criteria)

THATS WHY SONA STILL HAS HOPE LA!!!!

CS is buying reach shares on behalf of PAG
pag is the beneficiary while cs is the direct shareholder. cs can vote. pag cannot vote

CS holds 4.5% of reach for pag
Deutsche bank holds 0.8% for pag

total = 5.5%

reach energy holdings (20%) cannot vote.
hence left 80% to vote.
pag holdings = 5.5/80 = 6.9% (below the 25% deciding factor) assuming pag mau the cash n vote no.

good news is lembaga tabung haji has upped to 5.2% hence more friendly parties is good for us

yes i believe you speakup only up to the 2 years waiting period. nobody will ever wait for 2 years to get back their cash due to liquidation n court case. you are not admitting that it may be a problem for you but we can all see it.

if what you say about reach is so bad why not sell now? i think you may be banking on it succeeding too. so the moral of the story is be truthful and be impartial ...not govern by emotions/fear.

i rest my case n good luck to us all on reach being approved. i own lots of warrants so i guess i am more pressured but should anything go south i am out simple as that. so i am merely neutral based on news about reach. not DIE supporting it nor asking to fail.

sweet potato u can check out the annual report 2015 n look for the analysis on shareholdings for CS. there its stated they own 3.7%

ladyD i dun know about the outcome for sona media field trip since i am not an insider not the one to speculate on news. however i do like their new capital plan. sounds good a very good yield based on share price 8sen/45 share price = 17.7%

however whther retailers n funds believe or not hard to say. i guess even with the best plan..things can go north n south. i am just monitoring n see lo

it was a smart move. with mother 45sens now n 8sen repayment(dividend) of 17% its high. this is enticing ppl to buy shares n perhaps chase it up.

with warrants ppl may still collect without exercising it to speculate on the upside in price due to mother shares going up.

looks like a smart move. will see if we are correct.
