The Board of Directors of DMB wishes to announce that the Company and Daya Offshore Construction Sdn Bhd (“DOC”), a wholly owned subsidiary of the Company, have been named as defendants in a civil suit filed by Mark Leonard Midgley (British Passport No.: 500539048) (“Plaintiff”), the former Chief Executive Officer and Director of DOC, in the High Court of Malaya at Kuala Lumpur.

The Company had been notified by their lawyers on 18 March 2014 of the said lawyers’ receipt in the evening of 17 March 2014, of a letter dated 17 March 2014 from Messrs. Trevor George Partnership, the Plaintiff’s lawyers, together with a copy of the sealed Writ of Summons and Statement of Claim also dated 17 March 2014 (“the Suit”).

In the Suit, the Plaintiff is claiming that the Company had allegedly breached a Shareholders Agreement dated 30 April 2013 (“Shareholders Agreement”) in relation to DOC and the Plaintiff is claiming for inter alia a Declaration to that effect, valuation of the shares in DOC, damages and an injunction to restrain breach or further breach of the Shareholders Agreement.

The Company and DOC denies the allegations and have instructed solicitors to vigorously challenge and defend the Suit.

At this juncture, the Company is unable to determine if the claim has any reasonably foreseeable materially adverse financial and operational impact on the Company. The Company is seeking legal advice from its solicitors and will make the necessary announcements as and when there are material developments in this case.
