ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE EUROPEAN STYLE NONCOLLATERALISED
CASH SETTLED CALL WARRANTS OVER THE ORDINARY
SHARES OF SIME DARBY BERHAD (“SIME”) (“SIME SHARE(S)”) (“SIME-C14”)
We refer to our announcements dated 20 February 2017 and 6 October 2017, and the announcement
by Sime Darby dated 24 November 2017.
Following these announcements, we would like to highlight to the holders of SIME-C14 that effective
from 29 November 2017:
(1) SIME-C14 shall be over the ordinary shares of Sime Darby Berhad (“SIME”), Sime Darby
Plantation Berhad (“SD Plant”) and Sime Darby Property Berhad (“SD Property”). These three
ordinary shares shall be collectively known as the Underlying Shares of SIME-C14;
(2) The Exercise Ratio shall be 5 Call Warrants : 1 SIME share, 1 SD Plant share and 1 SD Property
share; and
(3) The Closing Price for the calculation of the Cash Settlement Amount shall be as stated in
Scenario 1 of the Attachment to our announcement dated 6 October 2017.
This announcement is dated 28 November 2017.
