KUALA LUMPUR (April 22): GIIB Holdings Bhd said on Friday (April 22) it has engaged independent consulting firm PKF Covenant Sdn Bhd to assist GIIB's investigative committee in the probe into GIIB's suspended executive director Wong Weng Yew's management and handling of the group's glove business and accounts.

In a Bursa Malaysia filing on Friday, GIIB said PKF's work scope includes independently examining the relevant evidence and information pertaining to the charges against Wong and providing comments and views on the evidence and information.

In addition, PKF's work scope includes preparing an investigation outcome report, which will be submitted to the GIIB investigative committee, and attending "meetings with the investigative committee or the board of the company (GIIB), as may be required, to present findings and commentary/views in the said report", GIIB said.

"Given that PKF was only engaged on April 22, 2022, the investigative committee is not able to determine the period of time to be undertaken for the investigation for the time being," GIIB said

PETALING JAYA: Jika disebut pelan pemulihan yang difikirkan secara mendalam namun tidak dilaksanakan dengan baik – ia tentunya merujuk kepada kemelut yang menimpa Sapura Energy Bhd (SEB).

Syarikat gergasi perkhidmatan minyak dan gas (O&G) itu terkesan teruk akibat harga minyak mentah yang merosot. Satu pelan kemudian dibentangkan untuk mengurangkan hutang dan menambah modal kerja agar ia dapat terus memperoleh kontrak baharu.

Bagaimanapun, pelan itu tidak dilaksanakan sepenuhnya. Satu daripada pemegang taruh utamanya – sama ada tidak dapat atau enggan – memberikan jumlah penuh dana seperti dijangkakan. Pada masa sama, kredit baharu yang ditawarkan kepada SEB disertai pelbagai syarat yang mengakibatkan kemudahan itu hampir mustahil digunakan.

Pelan untuk langkah penstrukturan semula pertama kali dicadangkan pada 2017 ketika SEB mula melaporkan kerugian.

Dalam mesyuarat dengan pemegang saham utamanya, Permodalan Nasional Bhd (PNB), pada awal 2018, SEB mencadangkan pemegang taruh utama menyuntik RM6 bilion dalam syarikat. Ini dilihat mampu membantu mengurangkan hutang dalam jumlah agak besar. Pendekatan itu juga memastikan sebahagian dana itu boleh digunakan sebagai modal kerja.

Sebaliknya, PNB mencadangkan dana RM4 bilion sebagai suntikan baharu, di samping penubuhan entiti baharu menerusi operasi penggerudian yang sedia ada dan menyenaraikan perniagaan berkaitan cari gali dan pengeluaran.

Ketika itu, peralihan kuasa politik berlaku apabila Pakatan Harapan menawan Putrajaya daripada Barisan Nasional pada 9 Mei 2018. Kurang dua bulan selepas itu, kepimpinan PNB sendiri dirombak. Bekas gabenor Bank Negara Zeti Akhtar Aziz menggantikan Abdul Wahid Omar sebagai pengerusi PNB pada 1 Julai.

Bagaimanapun, pelan penstrukturan semula yang dirombak itu diluluskan.

Namun akhirnya PNB hanya menyuntik RM2.7 bilion (RM1.7 bilion menerusi terbitan hak dan RM1 bilion menerusi saham keutamaan boleh tukar boleh tebus). Presiden dan ketua pegawai eksekutif Sapura Group dan SEB, Shahril Shamsuddin, seterusnya menambah RM532 juta, manakala pimpinan SEB menyumbang RM16 juta lagi.

Hampir keseluruhan jumlah itu digunakan untuk melunaskan hutang tertunggak syarikat. Maybank, yang dimiliki PNB, memperolehi manfaat terbesar dalam pembayaran itu, manakala SEB hampir ketandusan modal kerja.

SEB juga akhirnya membayar bank-bank sebanyak RM75 juta sebagai fi penaja jaminan bagi terbitan hak.

SEB kemudian memohon RM2 bilion sebagai modal kerja daripada bank tetapi akhirnya hanya menerima RM1.2 bilion, yang terikat dengan pelbagai syarat ketat. Kemudahan itu tidak dapat digunakan tepat pada masanya dan digantung pada Oktober 2021.

Keadaan menjadi lebih teruk untuk SEB susulan wabak Covid-19, apabila ia melaporkan kerugian RM8.9 bilion bagi tahun kewangan berakhir 31 Jan 2022, yang mencetuskan desakan untuk satu lagi pelan penstrukturan semula.

Kemelut SEB itu diburukkan lagi oleh beberapa beberapa lagi masalah, termasuk projek ladang angin Yunlin di Taiwan, dan projek pembangunan laut dalam Oil and Natural Gas Corporation (ONGC) di India.

Kedua-dua projek itu mengalami penangguhan berpanjangan kerana dibelenggu isu-isu teknikal dan operasi, yang menurut sumber dalaman, di luar kawalan SEB.

Menurut sumber industri, perkembangan itu menjejaskan asas kontrak berkenaan dan keadaan menjadi bertambah buruk apabila wabak Covid-19 melanda.

Sumber industri berkata, masalah dua projek itu berpunca daripada pembekalan “maklumat yang disangsikan” oleh Yunlin dan ONGC, sekali gus membayangkan SEB mempunyai asas untuk mengambil tindakan undang-undang bagi mendapatkan balik kosnya. Usaha mendapatkan komen klien-klien terbabit tidak berhasil.

Untuk kontrak Yunlin, SEB mengeluarkan notis pemberhentian awal tahun ini.

Dalam keadaan SEB bergelut dengan segala permasalahan serius itu, bekas perdana menteri Najib Razak tampil memainkan peranan utama dalam mencadangkan syarikat itu diselamatkan dengan bantuan kewangan.

Namun, cadangan itu ditentang oleh pihak tertentu termasuk bekas ahli Parlimen Pandan, Rafizi Ramli.

Mereka turut merujuk kepada rekod buruk Malaysia berhubung ‘bailout’ syarikat kaitan kerajaan (GLC) yang tenat pada masa lalu. Ini termasuk Malaysia Airlines, Perwaja Steel, Renong Group dan Felda.

KUALA LUMPUR (April 21): KPower Bhd has proposed to change its name to Reneuco Bhd, its Bursa Malaysia filing showed on Thursday (April 21).

In a filing, KPower said the proposed change in corporate identity is in line with the Group’s rebranding, restructuring and recapitalisation efforts of KPower in undertaking transformation and growth.

The proposed name change is to “further emphasize its rebirth and renewal, its heightened focus in the renewable, sustainable and green segment and its leadership shift and continuity from the former management”, KPower said.

According to the group, the proposed name, Reneuco, has been approved by the Companies Commission of Malaysia (CCM) on April 18, 2022 for a period of 180 days.

It would be the second name change for the company in two years.
KPower changed to its present name from Kumpulan Powernet Bhd in December 2020, following the emergence of major shareholder Datuk Mohd Abdul Karim Abdullah.

Mohd Karim, who is also the group managing director and CEO of Serba Dinamik Holdings Bhd, emerged as the largest shareholder in Kumpulan Powernet with 53.38% stake in November 2019, following a takeover offer at RM1 per share.

However, he resigned as chairman in Dec 2021 and ceased to be a substantial shareholder in January 2022.

With Abdul Karim’s exit, KPower’s largest shareholder is now Mustakim Mat Nun with 7.5% stake, who was redesignated as executive chairman on March 31. Another substantial shareholder is Grand Deal Vision Sdn Bhd with 7.31% stake.

Separately, KPower redesignated Amirul Afif Abd Aziz as its group CEO, also on March 31.

“Encik Amirul Afif bin Abd Aziz has more than 20 years of experience in corporate and investment banking, particularly in Islamic finance, privatisation projects / project financing, corporate fundraising, group restructuring, as well as mergers and acquisitions.

“He began his career in Cagamas Bhd and has held key various positions in Bumiwerks Capital Management Sdn Bhd, Kuwait Finance House (Malaysia) Bhd, Maybank Investment Bank Bhd, Binafikir Sdn Bhd, Amanie Advisors LLC (UAE), FCA Capital Sdn Bhd and Mirmas Holding Sdn Bhd,” KPower's filing said.

Shares in KPower closed five sen or 0.94% higher to 53.5 sen on Thursday, giving it a market capitalisation of RM290.40 million. Year-to-date, the counter has risen by 27.38%.

KUALA LUMPUR (April 21): Serba Dinamik Holdings Bhd has questioned the Securities Commission Malaysia's (SC) motive to press charges against the company in its lengthy reply to the court order dated Feb 7, 2022.

The oil and gas service provider, which is embroiled in audit issues, argued that the SC is obliged to prove that each and every director knew that the statement was false and caused it to be announced as it believes that the way the charges were framed was that the responsibility for the alleged false statement rested on the (Serba Dinamik) board.

“What is of course not explained in the press is the fact that the SC did not cause charges to be brought against the entire board but only against selected directors and persons who were not directors. This is for SC to explain,” it said.

To recap, in December last year, the SC pressed charges against Serba Dinamik’s directors and officers for submitting false information to Bursa Malaysia, an offence under Section 369(a)(B) of the Capital Markets and Services Act 2007 (CMSA).

SC also secured a warrant of arrest against the company’s chief executive officer and group managing director Datuk Mohd Abdul Karim Abdullah.

Meanwhile, Serba Dinamik also argued that the SC should provide a document that shows how entries amounting to RM6.014 billion were entered into the ledgers of the company and how such entries constitute false statements.

“What is of course necessary is that the alleged false statement is specifically the cumulative revenue figure in the announcement of the 4th quarter results, being results for Dec 31, 2020.

“The cumulative revenue figure for the 4th quarter is a cumulation of the revenue for the 1st, 2nd, 3rd and 4th quarter of the 2020 financial year.

“It is therefore surprising that the SC does not allege that the revenue figures for the first, second and third quarters are false,” said Serba Dinamik.

The group added, the SC has not shown how the entries in the accounting records of Serba Dinamik Sdn Bhd, a subsidiary of Serba Dinamik, could contribute to the cumulative revenue figure for the fourth quarter.

Serba Dinamik also alleged that the SC had threatened the staff of the company by offering them to become witnesses against the company and the management.

The group claimed that SC informed the relevant staff that they would not be charged by SC if they were to accept the offer.

“The SC should explain why the investigation is being continued even after the charges were made.

“The fact that charges were brought before investigations were completed suggests that the bringing of the charge and the subsequent refusal to serve documents on the company gives rise to the inference that the charges were made not to secure a speedy trial, but was motivated by other improper factors which only the SC can and should explain,” the group said.

KUALA LUMPUR: Lingerie maker Caely Holdings Bhd, whose bank accounts have been frozen by the authorities, reassures all its stakeholders that measures are being explored to ensure business continuity and sustainability.

Caely executive director and chief executive officer Lim Chee Pang said the unfreezing or partial unfreezing of the bank accounts was its top priority.

"We are exploring all avenues to resolve this issue, as we need to ensure that business operations can sustain.

"We are answerable to our shareholders for how the business is run. The board of directors is monitoring the situation closely too and is working with the management on the unfreezing of the bank accounts."

"We can confirm that we are in contact with the authorities and will extend whatever cooperation or assistance is needed for the matter to be resolved," Lim said in a statement today.

Caely is still assessing the impact from the order to freeze the bank accounts.

"We are working on the next steps, which also include measures to ensure that daily operations are not disrupted. The livelihoods of Caely employees as well as our suppliers and vendors are at stake," Lim said.

"The group also understands the concerns of stakeholders and is working as speedily as it can to resolve any issue arising from the freezing of the bank accounts and will make the necessary announcements to Bursa Malaysia as and when there are further developments," he added.
