KUALA LUMPUR (March 8): The High Court had on Tuesday (March 8) dismissed an originating summons by Serba Dinamik Holdings Bhd for an injunction to be imposed on Ernst & Young Consulting Sdn Bhd (EY Consulting) to restrain it from sharing any findings or opinions of its special independent review (SIR) with Bursa Malaysia or other parties.

This comes after the beleaguered oil and gas group argued that the firm is not a qualified auditor.

Justice Datuk Ahmad Fairuz Zainol Abidin in his broad grounds in dismissing Serba Dinamik's application ruled that EY Consulting had taken steps to ensure the team performing the SIR included a qualified auditor, namely Muhammad Syahrizal Abd Rahim, a partner in E&Y PLT.

“Syarizal, a partner of E&Y PLT, was listed in EY Consulting’s proposal dated May 31, 2021, as one of the partners who would be working on the engagement.

“Syarizal is registered with the Audit Oversight Board (AOB). Serba Dinamik too was well aware that Syarizal was on EY Consulting’s team as early as March 30, 2021. Thus, while EY Consulting was not registered with the AOB, it took steps to ensure it had a registered auditor in its team,” the judge said.

He added that an auditor must be a real person and the firm (E&Y PLT) merely houses the auditor.

“As such, what is crucial is for Syarizal to be authorised by the Finance Minister, and registered with the AOB. As provided for under the terms of the letter of engagement, EY Consulting is entitled to contract with E&Y PLT to obtain the services of Syarizal,” he stated.

Justice Ahmad Fairuz said the court found that the appointment of EY Consulting was regularly made under paragraphs 2.23 and 2.24 of the Main Market Listing Requirement (MMLR).

“This is consistent with the ruling in the other suit (filed by Bursa Malaysia versus Serba Dinamik). Apart from that, EY Consulting also had a qualified auditor in its team. In the circumstances, there is no room for Serba Dinamik to argue that EY Consulting was not qualified to be a special auditor (SA). Either way the argument is taken, EY Consulting was qualified to be appointed as SA,” he elaborated.

SIBU, Feb 28 — There are no major corruption cases happening in Sarawak, said Malaysian Anti-Corruption Commission’s (MACC) Chief Commissioner Tan Sri Azam Baki.

“Sarawak should be proud because it is not the state with the highest corruption issue in Malaysia. The trend is not rising. It is stable and so far, from our record, there are no big (corruption) cases happening in Sarawak.

“The cases are usually quite generic,” Azam said, when asked to elaborate on a point during his sharing on ‘Integriti, Tadbir Urus dan AntiRasuah: Cabaran dan Masa Hadapan’, prior to the ‘Majlis Amanat Perdana Integriti’ 2022 event here today.

Despite that, he proposed for the Sarawak government to look into procurement and power abuse issues.

Azam pointed out that some public officers probably do not understand the law, especially on power abuse.

In view of this, he said that he is going to get MACC Sarawak to roll out more education programmes to create a better understanding on the subject matter.

“I am going to mobilise my Sarawak state (MACC) to make more education programmes for Sarawak state officers and also to political parties to understand about this abuse of power issues,” he added.

Azam said he could see the good support given to MACC by the state government under the leadership of Chief Minister Datuk Patinggi Tan Sri Abang Johari Tun Openg.

“And we, MACC will support. Having the Integrity and Ombudsman Unit, and I think about 80 certified integrity officers – that shows the kind of initiative by Sarawak government to enhance the governance and integrity of public officers in Sarawak,” Azam added.

KUALA LUMPUR (Feb 28): Salcon Bhd posted a net loss RM4.8 million for the fourth quarter ended Dec 31, 2021 versus net profit RM171,000 the prior year due to higher operating expenses.

In a bourse filing Monday (Feb 28), Salcon said revenue slipped to RM58.29 million from RM61.58 million.

The decrease in the revenue and profit before tax is mainly due to decline in average selling price.

Loss per share was 0.48 sen versus earnings per share of 0.02 sen.

The company did not declare any dividend.

For the financial year ended Dec 31 (FY21), Salcon posted a net profit RM12.07 million versus net loss RM6.07 million the previous year, on the back of revenue of RM434.78 million against RM194.15 million.

Reviewing its performance, Salcon said the improved cumulative result was due to higher contributions from share of profit from joint ventures.

On its prospects, Salcon said the engineering and construction division successfully completed several water-related contracts locally and internationally, namely Vietnam and Sri Lanka, in FY21.

Looking forward, the group looks to leverage its operational performance to secure more water and wastewater projects locally and regionally in the coming years, it said.

“Prospects remain robust as the federal government continues to make huge investments to improve the water quality and services in the country.

“The group is expected to potentially benefit from the 12MP with its proven track record and experienced management,” the group said.

Salcon said as country borders open up, it will participate more actively in international water infrastructure bids.

The company proposed a final dividend of one treasury share for every 40 existing ordinary shares held in the company in respect of FY21 subject to the approval of the shareholders.
