KUALA LUMPUR (Feb 14): The High Court has dismissed Serba Dinamik Holdings Bhd's formal application for a stay of the Court's order for the oil & gas company to make public the fact-finding update (FFU) done by Ernst & Young Consulting Sdn Bhd (E&Y Consulting).

Judicial Commissioner Wan Muhammad Amin Wan Yahya made the decision following a hearing on Monday (Feb 14) afternoon.

To recap, on Feb 7, Wan Muhammad Amin directed Serba Dinamik to make a public announcement of the FFU by E&Y Consulting, which has been appointed to conduct a special independent review on the company's financial accounts for the 12-month period ended Dec 31, 2020.

In the written judgement last Monday (Feb 7), Wan Muhammad Amin concluded that the information sought to be announced in the FFU is “material and does not depend whether it is true, false or conclusive”.

He noted that Serba Dinamik is entitled to disagree with the information to be disclosed. However, Wan Muhammad also stressed that the stock exchange is entitled under Section 11 of CMSA (Capital Market and Services Act 2007) to give the directive in order to uphold and maintain “a fair and orderly securities market to safeguard public and investors' interests as well as take the appropriate action under the Main Market Listing Requirements for the purpose of monitoring and ensuring compliance of the listing requirements”.

Soon after the court order was made, Serba Dinamik formally wrote in to apply for a stay of Wan Muhammad Amin's decision.

The judgment by the High Court on Feb 7 was the result of legal action taken by Bursa Malaysia in November owing to Serba Dinamik’s “failure to comply” with the stock exchange’s directive to disclose the FFU dated Sept 30, 2021.

Serba Dinamik, which has been embroiled in audit issues for nearly nine months, had declined to release the FFU on the grounds that there was no material information to be disclosed.

KUALA LUMPUR (Feb 10): Green Packet Bhd’s newly emerged largest shareholder Leong Seng Wui has joined the company’s board as an executive director effective Thursday (Feb 10), according to its filing with Bursa Malaysia.

Leong’s appointment came after the group’s co-founder, Puan Chan Cheong sold his stake in Green Packet and resigned from the board on Jan 31.

Puan returned to helm Green Packet more than two years back in July 2019. He was made the group managing director.

Meanwhile, according to the filing, 42-year-old Leong is the former Executive Director of XOX Networks Bhd (formerly known as Macpie Bhd).

Leong emerged as the largest shareholder of the group after Puan sold his entire 8.91% stake in Green Packet to Leong via a Direct Business Transaction deal worth RM6.22 million, its Bursa Malaysia filing showed on Jan 31.

Based on the back of envelope calculation, Puan sold his entire stake to Leong at 0.05 sen per share — much lower than its current market value.

Notably, Green Packet shares have been on a downward trend for the past 12 months — reaching a high of 44 sen in February last year and a low of seven sen in December 2021.

Green Packet ended unchanged at 8.5 sen on Thursday, giving it a market capitalization of RM119 million. It saw a total of 2.25 million shares changing hands.

KUALA LUMPUR: AirAsia Aviation Ltd (AAAL), the holding company for the AirAsia airline group, will announce key organisational changes as it continues to embark on rapid transformation.

AirAsia said it would also announce the establishment of an independent board of directors, including new non-executive chairman.

The low-cost carrier said the announcement would be made by Capital A Bhd chief executive officer Tan Sri Tony Fernandes tomorrow (Friday).

The move would provide robust corporate governance for the future supporting strategic growth of the airline business, it added.

Capital A, formerly known as AirAsia Group Bhd, recently changed its name after obtaining approval from the Companies Commission of Malaysia.

The company also recently completed its renounceable rights issue to existing shareholders, raising RM974.5 million to provide support to its overall fundraising strategy.

The rights issue entailed the issuance of seven-year redeemable convertible unsecured Islamic debt securities (RCUIDS) with a nominal value of 75 sen each, plus free detachable warrants, on the basis of two RCUIDS with one warrant for every six AirAsia shares held.

BUTTERWORTH (Feb 10): The reopening of the country's borders is not an easy issue to decide as it involves various ministries and needs to be discussed by the Cabinet first, said Senior Defence Minister Datuk Seri Hishammuddin Hussein.

He said, however, the Covid-19 Quartet Ministerial Meeting welcomed the recommendation by National Recovery Council (MPN) chairman Tan Sri Muhyiddin Yassin for the government to fully open the country's borders as early as March 1.

“Among the ministries involved are the Ministry of Defence, the Ministry of Finance and the Ministry of Health.

'Sinovac booster better than none'
KUALA LUMPUR: The decision to allow Sinovac vaccine recipients to receive the same vaccine type for their booster dose, while acknowledged to be less effective than a heterologous (mixed) dose, is still "better than nothing", say public health experts.

They believe the move will at least provide the 3.5 million Sinovac recipients nationwide who have yet to get their booster doses with some degree of protection against Covid-19, which is now seeing a rapid surge in cases fuelled by the spread of the Omicron variant.

Public health expert Datuk Dr Zainal Ariffin Omar said allowing Sinovac recipients to receive the same vaccine for their booster was a preferable option to having no booster doses at all.

"These 3.5 million people make up a significant portion of the population. It will slow down the transmission (viral load) but they can still be infected.

"But most importantly, the majority should be protected by boosters. What boosters they take should be their choice," he told the New Straits Times.

Telekom Malaysia puts Menara TM up for sale after selling two towers next to it.
It appears that Telekom Malaysia (TM) is putting its iconic headquarters building Menara TM up for sale based on a newspaper ad posted by WTW Real Estate. Not to be confused with KL Tower, Menara TM is a 55-storey freehold office tower located at Jalan Pantai Baharu in Kuala Lumpur which can be seen along the Federal Highway.

Menara TM is shaped like a sprouting bamboo shoot and it even features a helipad at the top. It has 989,000 sqft of office space and a 92,431 sqft convention centre attached next to it. According to the ad, the sale of the building is by “Expression of Interest” (EOI) and interested parties can submit their offer by 12PM on 18th March 2022.

The tower was constructed at a cost of USD 160 million (about RM670 million today) by Deawoo Construction. It was designed by Hijjas Kasturi Associates, the same firm that designed Menara Maybank, Menara Tabung Haji, and Putrajaya International Convention Centre.

KUALA LUMPUR: Gamuda Bhd could secure contracts worth billions from several developments in 2022, namely the potential reactivation of the Mass Rapid Transit III (MRT3), a new bypass construction package in Australia and the revival of the Penang South Islands (PSI) land reclamation.

CGS-CIMB Research said Mass Rapid Transit Corp Sdn Bhd might relaunch the MRT3 project worth between RM20 billion and RM30 billion with civil works tender in the first half of 2022.

There are potential awards for the ongoing bid in Australia, averaging up to RM6 billion and the tender process for one new bypass construction package in New South Wales, for which the Gamuda- Ferrovial joint-venture (JV) has emerged as among the three shortlisted bidders.

The research firm said Gamuda could also benefit from the government's review of the divestment of the company's domestic highway assets via a highway trust proposal.

CGS-CIMB Research said Gamuda would still be among the main contenders for the MRT 3 in the civil works tender rounds, which could be launched in the second quarter of 2022, even with a potential change in the structure of the civil works component.

"We are positive the underground scope will likely be tendered as one single package as this bodes well for the MMC-Gamuda JV given its strong track record and credentials in the tunnelling scopes of MRT 1 and MRT2."

CGS-CIMB Research said Gamuda's end-October 2021 net gearing of 0.17 time translated into an additional borrowing capacity of over RM4 billion, based on the company's self-imposed net gearing limit of 0.7 times.

"This allows ample room for Gamuda to participate in the private sector funding component of the MRT 3 project."

CGS-CIMB Research said the PSI land reclamation project could also be launched in the second half (2H) of 2022, following the earlier setback related to a court ruling in favour of a fishing community's appeal to revoke the environmental impact assessment (EIA) approvals.

"We gather the progress is back on track, with resubmission of the project's EIA application targeted by March 2022 and likely approval by mid-2022, and the start of works is targeted for 2H of 2022."

The research firm said Gamuda's share price is at attractive levels and has reiterated an Add call with a target price of RM3.88.
