Anwar Ibrahim berkata, kerajaan guna peluang dan kesempatan untuk segera luluskan tender 5G tanpa maklumat yang banyak.
PETALING JAYA: Ketua Pembangkang, Anwar Ibrahim mempersoal tindakan kerajaan menyegerakan kelulusan tender besar untuk membina rangkaian telekomunikasi 5G di negara ini.

Ahli Parlimen Port Dickson itu berkata, dalam keadaan kerajaan Perikatan Nasional (PN) yang tidak stabil, rakyat dimaklumkan tender itu diluluskan tanpa banyak maklumat.


“Walaupun ada pertikaikan syarikat China iaitu Huawei menyempurnakan tugasan itu dengan kos RM5 bilion, maka saya mahu kemukakan beberapa soalan kerana tiada maklumat.

“Pemerintah guna peluang dan kesempatan ini untuk cepat-cepat luluskan tanpa maklumat lain dan kita bimbang apakah kedudukan latihan pemindahan teknologi bebankan rakyat,” katanya di Facebooknya.

Media sebelum ini melaporkan, Malaysia telah memilih kontrak dengan Ericsson Sweden bernilai RM11 bilion berbanding pesaing China Huawei Technologies untuk merancang dan membina rangkaian telekomunikasi 5G di negara ini.

XOX（香港）公司是在7月2日至5日期间，买下M3科技的1亿零650万股，相等于11.88%股权。

因此，XOX说所持有的M3科技股权，将从8.10%上升至20.02%。

XOX说不断地寻求与M3科技合作，包括共用科技资源、扩展数码生态及其他业务机会。

1. INTRODUCTION
Reference is made to the Company’s announcements dated 24 July 2020, 21 August 2020 and 25 August 2020, respectively
The Board of Directors of XOX Bhd (“XOX” or “the Company”) wishes to announce that XOX (Hong Kong) Limited, a wholly-owned subsidiary of the Company, had from the period between 2 July 2021 to 5 July 2021 acquired from the open market an aggregate of 106,500,000 ordinary shares in M3 Technologies (Asia) Berhad (“M3 Technologies”), representing 11.88% of the total issued and paid up share capital of M3 Technologies for a total purchase consideration of approximately RM8,571,600 (“Acquisition”). Upon completion of the Acquisition, the total shareholdings held by XOX in M3 Technologies are as follows :

The aggregate cost of investment of XOX in M3 Technologies within the period of 12 months immediately preceding from 2 July 2021 was RM13,730,301.
2. INFORMATION OF M3 TECHNOLOGIES
M3 Technologies is a public limited company listed on the ACE Market of Bursa Malaysia Securities Berhad.
M3 Technologies is one of the world’s leaders in the global delivery and settlement of mobile messaging and data services, which include Short Message Service (SMS), Multimedia Messaging Service (MMS) and Wireless Application Protocol (WAP). With connections to more than 175 mobile operators around the world. M3 Technologies is at the forefront of mobile interoperability messaging and the distribution of premium and value- added services.
Based on the latest consolidated audited financial statements of M3 Technologies as at 31 December 2019, M3 Technologies was recorded a loss after taxation of RM8.53 million and net assets was RM23.25 million.

3. CONSIDERATION FOR THE ACQUISITION
The cash consideration of RM8,571,600 for the Acquisition was based on the prevailing market price of M3 Technologies at the time of purchased and was funded via internally generated funds.
4. RATIONALE
XOX Group is looking into the opportunities to capitalise on the new relationship with M3 Technologies, including the potential of sourcing related technology and expansion of digital ecology and other business opportunities.
5. PROSPECTS OF M3 TECHNOLOGIES
M3 Technologies has over 18 years of experience in software development, as a leading mobile content provider, M3 Technologies covers a wide range of consumer, enterprise and partnership products and services, and making inroads to being the leader in the industry, regionally.
M3 Technologies lines of businesses included mobile app solutions and platform with multimedia display, AI and Temperature scanning solution running on Android, Microsoft .net and Apple. It caters to all facet of businesses from B2C, B2B and B2O to E- Commerce. The other line of businesses are Office Automation, HR Information Services and Sales Automation catering for the remote workers running from the Cloud. Lastly omni messaging platform integrating traditional SMS with WhatsApp and other messenger.
6. RISKS FACTORS
Save for the normal business and global economic risk, the Board of Directors of XOX is not aware of any other risk factors which may arise as a result of the Acquisition.
7. LIABILITIES TO BE ASSUMED
The XOX Group will not be assuming any liabilities, including contingent liabilities and guarantees arising from the Acquisition.
8. FINANCIAL EFFECTS OF THE ACQUISITION
The Acquisition will not have any effects on the share capital and shareholding structure of the Company as the Acquisition was fully satisfied in cash and is not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of XOX for the financial year ending 30 September 2021.

9. APPROVALS REQUIRED
The Acquisition is not subject to the approval of the shareholders of the Company or from any relevant authorities.
10. PERCENTAGE RATIO
The highest percentage ratio applicable to the Acquisition pursuant to Rule 10.02(g) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad is 3.28%.
As at the date of this announcement, the aggregate percentage ratio applicable to the Acquisition within the period of 12 months immediately preceding from 2 July 2021 is 5.25%, computed based on the latest consolidated audited financial statements of the Company for the financial year ended 30 September 2020.
11. INTEREST OF DIRECTORS, MAJOR SHAREHOLDERS AND PERSONS CONNECTED
None of the directors and/or the major shareholders of XOX and/or persons connected with them have any interest, direct or indirect, in the Acquisition.
12. STATEMENT BY DIRECTORS
The Directors of XOX, after taking into consideration of all financial and other factors, is of the opinion that the Acquisition is in the best interest of the Company.
