（新山24日讯）马登控股（Matang Holdings）小股东成立“马登股东捍卫小组”，避免马登董事部以贱价出售资产，严重危害1万9984名股东的利益，并要求罢免现任董事部。

12名马登小股东今早联合召开记者会，反对马登与实科工业（Scope，0028，创业板）的并购计划，并质疑董事部以低于市场价格，把资产转换成实科股权，因而决定捍卫权益。

去年11月，马登控股建议以1亿4500万令吉，倒置收购实科工业。

根据协议，马登控股把旗下所有资产注入实科工业；实科工业则发行5亿8000万新股，每股发售价25仙，支付给马登控股。

马华持股10.72%

马华公会透过旗下独资公司华仁控股（Huaren Holding），以最大股东的身分掌控马登控股的10.72%股权。

前马登控股财务总监兼该小组秘书王芳南指出，扣除马登拥有的2500万令吉现金，该集团仅以1亿2000万令吉出售资产。

他说，两家估价公司分别在去年7月和11月评估马登的资产显示，与脱售价有极大差额。

根据亨利行（Henry Butcher）7月的评估，马登总资产价为1亿6800万令吉，与脱售价相差4800万令吉；而KGV公司的11月份评估则显示总资产价达1亿9000万令吉，差额就更显著。

他认为，马登董事部以严重低估的价格出售资产，并换得实科股票而不是现金，间接造成股东亏损。

若无法解决将诉董事部

王芳南指出，若上述事件无法解决，小组将起诉现任董事部违反诚信责任，并强烈要求现任董事部主席拿督斯里陈财和、任美婷、郑贝川、侯振德、陈鸿华及黄友凤引咎辞职。

小组也将采取向法庭申请马登清盘，拍卖马登资产并归还给股东。

该小组是由刘迹民私人有限公司的代表刘良福及刘爱珠联合主席发动，理事成员包括萧养忠、侯风顺、胡阿晴、锺夏泉及法律顾问刘国元。

now prospectus were given to vote in favour of the injection of good tangible assets into scope which is not making any money or paying any dividend ? We as minority shareholders what are the steps we should take to avoid being played out in the deal. We prefer paying cash based on market value . We do not want any of scope valueless scrips ? It only costs around 5-10 cts per share but we are paying so much for a loss making company? We had cheated on many occasion by MCA , esp on Cooperative Kojadi and the illegal collection of deposits ? Now Matang which will be sold cheaply for land around Tangkak region? Lands in Tangkak are selling around 3-4 million /acre ; recently someone is selling for 450 million for 120 acres there? What a shoch to many minority shareholders. We hope that someone may enlighten us what are the next course of action to be taken? Please?????

Lands in Matang were valued at 145m for 2677 acres and approx at 54k per acre? At the moment can anyone enlighten me what is the market value per acre for lands around Tangkak area? Common sense can tell u that the lands were undervalued but scope shares at 10 cts par were overvalued at present market price. What are the minority shareholders doing? Just let them have the say or we plan something to abort the ridiculous sale.

now is less than 40k/ac after discounting 25m cash given free ? What a shock to many? what has been disclosed by captains of the industry is :
EPS by Scope is 0.21 cts and Matang is 4.3 cts Difference of 20xs
NTA by Scope is 12 cts and Matang is 118.9 cts Difference of nearly 10xs
under Matang -Scope Merger , it is clearly the minority shareholders were taken for by a free ride????
Assets of 12 cts will be valued at 25 cts??? Very smart move by Scope.Which is value by 2.1 x higher ..V smart n clever move compared with matang which is grossly undervalued.

Scope shareholders got to sell your shares fast before it starts to plunge when the Scope Taikos who have accumulated Scope shares (as they planned CSL will bulldoze the Matang merger deal thru) over the past year start to dispose off shares, by then it will be too late

Sell SCOPE shares now or you get burnt real bad when the taikos who hold millions of shares (hoping CSL can get them a revised Matang deal see no chance at all as CSL 'loyal' supporters now shift support from this rotten head) have no choice but to sell.
