We refer to the Company’s announcements dated 7 July 2020, 9 July 2020 and
17 July 2020 in relation to the Proposed Share Consolidation.

On behalf of the Board, Mercury Securities wishes to announce that the Company
and the RCPS Subscriber have agreed that as a consequence of and subject to
the completion of the Proposed Share Consolidation (which entails the
consolidation of every 2 existing Eduspec Shares into 1 Eduspec Share):-

i. the minimum conversion price of the RCPS shall be adjusted from RM0.015 to
RM0.030 upon completion of the Proposed Share Consolidation; and

ii. all other relevant provisions of the RCPS SA shall be adjusted accordingly
in accordance with the provisions of the RCPS SA (salient terms of which have
been set out in the circular to shareholders of Eduspec dated 18 July 2019) so
that the RCPS Subscriber shall be entitled to the same economic and financial
participation in the Company prior to and after the completion of the Proposed
Share Consolidation.
