rob_z3_man: yes, for 400 mother share, you will be entitled to 100 Wb, however be aware that censof mother’ price expect to drop after ex, within 8 cents you are still consider win but your wb will only issue to you on Friday morning.

ANNOUNCEMENT : ACQUISITION OF 100% EQUITY INTEREST IN GLOBAL STRATEGIC PARTNERS SDN BHD BY KNOWLEDGECOM CORPORATION SDN BHD, A SUBSIDIARY OF CENSOF HOLDINGS BERHAD

1.0 INTRODUCTION

CENSOF HOLDINGS BERHAD (“CENSOF” or “the Company”) is pleased to announce that on 29 September 2014, its subsidiary Knowledgecom Corporation Sdn Bhd (“KCSB”) had acquired Fourteen Thousand (14,000) ordinary shares of RM1.00 each (“Shares”) representing 100% equity interest in Global Strategic Partners (“GSPSB”) for a nominal value of RM2.00 only (“the Acquisition”). The authorised share capital of KCSB is RM5,000,000.00 divided into 5,000,000 ordinary shares of RM1.00 each and the issued and paid-up share capital is RM2,000,000.00 comprising 2,000,000 ordinary shares of RM1.00 each. Out of the 2,000,000 issued ordinary shares, 1,600,000 (80%) ordinary shares are held by Censof and 400,000 (20%) ordinary shares are held by Rubaneswaran A/L Thevasenabathy.

KCSB is a 80%subsidiary of Censof Holdings Berhad.

2.2 Information on GSPSB

GSPSB is a private limited company incorporated in Malaysia on 13 August 2008. The authorised share capital of GSPSB is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each and the issued and paid-up share capital is RM14,000.00 comprising of 14,000 ordinary shares of RM1.00 each.

2.3 Activities of GSPSB

The principal activities of GSPSB is the provision of publication of magazines, job placement and job portal services, workshops and conference events.

2.4 Rationale for the Acquisition

The Acquisition will enable KCSB to have a synergy with GSPSB as their business would complement each other. KCSB is specialized in delivery of high skilled based training services whilst GSPSB penetrates into industries that complements and drives the training industry.

2.5 Financial Effects of the Acquisition

The Acquisition is not expected to have any material effect on the earnings per share, net assets per share, gearing and substantial shareholders’ shareholdings of KCSB for the financial year ending 31 March 2015.

2.6 Liabilities to be assumed by KCSB

Save for RM2,853.00 due to Sundry Creditors, there are no contingent liability and guarantee to be assumed by KCSB arising from the Acquisition.

2.7 Risk Factors

The Board of Directors of Censof is not aware of any risk factors arising from the Acquisition.

2.8 Highest percentage Ratio

The highest percentage ratio pursuant to 10.02 (g) of the Bursa Malaysia Securities Berhad Main Market Listing Requirement is negligible as the purchase consideration is only RM2.00.

2.9 Approval Required

The Acquisition is not subject to the approval of the shareholders and the relevant government authorities.

2.10 Directors’ and Major Shareholders’ Interests

Save for Rubaneswaran A/L Thevasenabathy who is also a Director of KCSB and holds 20% of the equity interest in KCSB, none of the directors and/or major shareholders of Censof and/or persons connected with them have any interest, whether direct or indirect, in the Acquisition.

2.11 Statement by Directors.

The Board of Directors of the Company is of the opinion that the Acquisition is in the best interest of KCSB.

There is no announcement on the date of wb to be traded. Very likely in 2-3 weeks time. The last date of lodgement is 2/10/2014. Today is a big day for supporter of Censof. We will know the support level once it is traded today at 9am. Happy trading.

Opening at RM0.57 is considered reasonable mainly because WA has dropped to RM0.3. Expecting WB to be RM0.3 divided by 4 = RM0.075. RM0.63- RM0.075 = RM0.555. So, RM0.57 is higher than expected. But I believe the price to be above RM0.60. Happy trading.
