3. RATIONALE OF THE PROPOSALS

3.1 Proposed Bonus Issue

The Proposed Bonus Issue is intended to reward the shareholders of the Company for their loyalty and continued support to PCB and its subsidiaries (“PCB Group”). After due consideration of the various options available, the Board is of the view that the Proposed Bonus Issue is an appropriate avenue for PCB to reward its shareholders as it will enable the existing shareholders to have greater participation in the equity of the Company in terms of the number of PCB Shares held, whilst maintaining their percentage of equity interest.

3.2 Proposed Share Split

(i) The Proposed Share Split is expected to enhance the marketability and trading liquidity of PCB Shares on the Main Market of Bursa Securities as a result of the increase in the number of ordinary shares in issue; and

(ii) The Proposed Share Split would result in an adjustment to the market price of PCB Shares to a more affordable entry price, thus potentially appealing to a wider group of public shareholders and/or investors to invest in the growth of the Company.

Have conviction, fearless n finally Patience...!!! Actually not many fantastic companies in Bursa...!!! Even in SGX. Maybe Dow n Nasdaq have slightly more. Pentamaster just used its share premium for bonus issue, retained earning is not involved, i think that is the reason why the ratio is so odd. Cant understand why they didn't involve the retained earning since the company earn so much money. Anyone can enlighten me?

If they press down the price as was done in the past few weeks, others will take opportunity to buy cheap. Last quarter EPS 7 cents... animalized EPS 28 cents...at PE ratio of 20 for tech stocks should be around RM 5.60. This is even before taking into consideration the announcements on bonus issue and share split in addtion to the future earnings growth potential!

腾达25送2红股股票“1拆2”
腾达机构（PENTA）建议以25送2派发红股以及展开“1变2”股票分拆计划。
（吉隆坡21日讯）腾达机构（PENTA,7160,主板科技组）建议以25送2派发红股以及展开“1变2”股票分拆计划。

该公司在文告中表示，将以25送2比例派发1172万5386股，透过股票溢价户头资本化来进行，完成红股计划后该公司的股票溢价户头将从601万9703令吉，减少至15万7010令吉。

在完成红股计划，该公司也将展开“1变2”股票分拆活动，届时该公司股本将从原本1亿5829万2719股，倍增至3亿1658万5438股。

该公司进行股票上述企业活动原因包括：回馈长期支持公司股东、增加公司股票流通以及调整目前股价，以吸引更多扩大公司投资群体。

在完成所有活动后，腾达机构的负债比将从之前的0.04倍，走低至0.03倍。
