Description (I) DISPOSAL OF SUBSTANTIALLY ALL THE ASSETS AND LIABILITIES IN KUCHAI DEVELOPMENT BERHAD ("KDB") TO SUNGEI BAGAN RUBBER COMPANY (MALAYA) BERHAD ("SG BAGAN") TO BE SATISFIED ENTIRELY VIA THE ISSUANCE OF NEW ORDINARY SHARES IN SG BAGAN ("SG BAGAN SHARES") ("DISPOSAL"); AND
(II) DISTRIBUTION OF SG BAGAN SHARES HELD BY KDB ARISING FROM THE DISPOSAL TO ITS ENTITLED SHAREHOLDERS BY WAY OF A CAPITAL REDUCTION AND REPAYMENT AND DIVIDEND-IN-SPECIE ("DISTRIBUTION")

We refer to the Company's announcements dated 29 December 2023, 28 February 2024, 18 March 2024, 7 May 2024, 26 June 2024, 3 July 2024, 12 July 2024, 30 July 2024, 23 September 2024, 3 October 2024 and 10 October 2024 as well as the Company's circular dated 15 April 2024 ("Circular") in relation to the Proposals. Unless otherwise stated, the definitions used herein shall have the same meaning as defined in the said announcements and Circular.
Reference is made to Section 4 of the Circular and the Company's announcement on 10 October 2024 in relation to the completion of the Disposal.
On behalf of the Board, RHB Investment Bank wishes to announce that, following the completion of the Disposal, an application was submitted to Bursa Securities on 11 October 2024 to seek the guidance of Bursa Securities on whether KDB is considered as a Cash Company under Paragraph 8.03 of the Listing Requirements.
The Company is currently pending a decision from Bursa Securities on the abovementioned matter.

Considering both the 20c dividend AND the upcoming SBagan dividend in specie, the yield is an astounding 69.3% @ the current price of $2.16!

I'm neither a lawyer nor a corporate M&A expert but doesn't the latest announcement imply that SBagan already owns all of Kuchai's former assets except its cash pile & its Semenyih land while the latter already owns 26.7 mil of the former's shares?

My understandings, post distribution of SB shares and B4 x-dividend, the remaining assets held by KD(PN 16)
1. Cash (net) 84 M
2. Land 8 M
NOS123.7M. NTA 0.744.
Post x 0.20 dividend (12/12/24), NTA 0.544

SO if I have 1000 units. i will receive 216 units of Sbagan (Sbagan worth RM5.9/unit) on 2/12/24... if i keep Kuchai stock, i will get RM0.2/unit?

currently kuchai share is PN16 but it have also dividend. they split the share to part you get sbagan and retain same kuchai share but at lower value due to cost for allocating sbagan share.
effectively also for now you keep the kuchai share until 12th you get additional 20 cent dividend which is 21% return for share which is very high, partially also for directors to avoid dividend tax next year.
Unsure of what next step of Kuchai as they are now cash rich company so need for plan for new core business to remove PN16

I think they diversify, they are investor in invesment fund, commodity, security and also land and property for rental. Currently they sell of the land to sbagan and become cash rich, so they may use the cash for venturing different invesment. It is sort of like Matrix Holding where they invest for you (Invesment holding company)

I think all was given to Sbagan, and left with mostly cash and some land. They basically cash rich company and plan for new investment method, so this will depends on their next action.
Kuchai is under Kluang Rubber, Sbagan is sister company
Main company is Nyalas Rubber Estate Limited in Singapore

Yesterday closing was 1.14, today exdate, Bursa system automatic will adjusted 0.20 to 0.94 for the dividend which will be paid next month. However the share price open, up or down depend on market demand and supply
